Terms & Conditions of Sale for MRI Scanner System
These Terms and conditions of sale apply to the purchase of Equipments from M/s. 3i Medcial
Technologies Private Limited, Chennai. A written quotation is a request for an offer to sell to you. By
signing and returning this Investment Outlay to us or by sending us a Purchase Order in response to
the offer given, you make an offer to purchase under the terms for purchases described in our
financial offer. In these terms & conditions of sale, the terms “we”, ”us” and “our” refer to 3i Medtec
and the terms “you” and “yours” refers to the purchaser.
Validity:
Our offer shall be valid for a period of 30 days from the date of financial offer. We shall have
the right to withdraw or revise our offer within the validity period aforesaid if there are any changes in
any laws, rules or regulations in Govt. of India that have an impact on our offer.
Dispatch Instructions:
Dispatch instructions must be clearly mentioned in your Purchase Order indicating the place
of delivery, designated site etc. to us.
Price:
Price is Inclusive of Customs Duty, Clearance and exclusive of GST. You agree that the Customs rate
of Duty is based on the prevailing duty structure on the date of Purchase Order and that any change
in the rate of duty after such date will be to your account.
Warranty:
The Equipment is warranted for period of 12 months from the date of installation or 13

months from the date of delivery whichever is earlier. Quoted price is inclusive of 2 & 3 Year CMC

with helium up to 500 Liters p.a. Warranty starts from the date of 1 commercial scans or handing
over whichever is earlier. Warranty is applicable subject to operation of the equipment under
suggested conditions of voltage frequency environmental condition and operation by designated
trained doctors and technicians. We warrant the equipment with the exception of glass wares and
shock-proof cables, other consumables, Vendor Supplies like Dry Camera, Injector etc., however we
will help you by coordinating the respective suppliers during breakdowns. All equipment & parts
proving defective to us within the warranty period will be replaced or repaired free of charge, provided
such defect has not been caused, directly or indirectly, by your negligent actions or omissions or
those of your employees, agents, or any failure to comply with the terms hereof. The decision to either
replace or repair the equipment or part thereof rests solely with us. The warranties contained herein
shall be defined void at our discretion in the event of a breach of the contractual terms and conditions
by you, including non-payment of consideration or servicing by a person or agency not authorized by
us. Uptime warranty of 95% is agreed.
Payment:
Order with an advance amount of 10% must be paid. 70% must be paid within 15 days from
the date of order acceptance and signing of the proposal or the PO date. 10% on arrival at port. And
the balance 10% must be paid within 30 days of satisfactory installation. All the payments are to be in
favor of “M/s. 3i Medical Technologies Private Limited” payable at Chennai.

If any installation is delayed by more than 30 days after the delivery of the
products for any reasons, for which you are responsible, we will bill you and you will pay
us any remaining payments due to us under the signed offer or Purchase Order confirmation.
Please note that the payment on arrival if any agreed must be paid soon on receipt of arrival
notice letter from our end. In case of any delay in remitting the above said payment the customs
storage, demurrage charges will be to your accounts as actual.
Delivery:
Within 90 days after the realization of Second payment. Equipment will be installed and
handed over within 30 days from the date of Magnet arrival at site. However customs Clearance time
not included on the above 90 days as it involves Government formalities. Delivery dates are
approximate. We are not liable for delays in delivery due to a cause beyond our reasonable control.
These causes include, any delay of sources to supply materials and equipment, delay by the
transporter, Govt. priorities and labor or transportation problems. If such delay occurs, we may extend
the delivery date for a period of time equal to the delay. Partial delivery shall be permitted under this
contract. If you request a later delivery date within 45 days before the mutually agreed scheduled
delivery date or due to delay in site readiness at your end we may, at our option, deliver the
equipments to a storage facility designated by you or, if you fail to designate a storage facility, to a
storage facility designated by us, at your expense. At the time of such delivery, we will bill you for and
you will pay us for any amounts due upon delivery. In this case upon installation any payment due to
us must be paid without fail on delivery at a storage as designated by you or by our option within one
week of such delivery irrespective of installation. If you fail to schedule a delivery date with us within 6
months after order entry, we may, at our option, cancel your order upon written notice to you. Please
note Time for delivery shall not be of the essence of the contract unless otherwise agreed by
the parties.
Title & Risk of Loss:
In case of failure by you or by your bank etc to pay the agreed price as per terms, we shall
have the right to enter the premises where the products are stored or installed and repossess the
product without the necessity of any legal proceedings. Title and risk of ownership shall pass to you
upon delivery of the products at your place.
Pre-Installations, Environment & Safety responsibilities:
It is your responsibility for making the place ready as per the specifications and
recommendations given by us. The operating environment should be controlled to achieve the
ambient conditions reproduced in the product data sheets, which need to be strictly followed by you.
We shall not be liable, if any damage caused due to non compliance of the recommended conditions.
It is advisable to allot a space that is above the maximum water line in case of floods. Any installation
in basement or below the max water line the risk of damage or breakdown to the machine is to the
account of customer. After installation and handing over the machine if any damage is caused due to
relocation to other sites, 3i Medtec shall not be held responsible.

Environment and site conditions:
Since the equipment can be affected by dust and extreme changes in climatic conditions; you are
advised to install air conditioning system both in Magnet room (5 ton DUCT A.C.) and Console room
(3 Ton) is a must. And a separate 3 phase EB power Supply for MRI system 90 KVA + and 40 KVA
for Chiller Plant and separate Earthing for MRI room must be provided. The specifications for earthing
& power supply will be furnished after finalizations of this order. The responsibility of adhering to all
local govt. & non-Govt rules lie with the customer. Room Specification Minimum Requirement Magnet
Room Size: 16 feet X 20 feet X 11 feet, Console Room size: 16 feet X 10 feet X 11 feet. Any
additional Civil / structural modification for the proposed site shall be done by you at your cost at our
advice. It is advisable to allot a space that is above the maximum water line in case of floods. Any
installation in basement or below the max water line the risk of damage or breakdown to the machine
is to the account of customer. A separate Air conditioning system must be installed in equipment
room/Magnet room & Console room the requirement will be provided separately by the 3i Medtec
project team with the drawings and positioning of A.C. After installation and handing over the machine
if any damage is caused due to relocation to other sites, 3i Medtec shall not be held responsible. You
are required to maintain 24 X 7 air conditioner and EB power with sufficient Generator for the entire
MRI unit with chiller. . A separate disclaimer will be submitted to this effect for your signature.
Force Majure Clause:
In the event of the occurrence of force Majure, we shall be entitled to suspend delivery of the
goods and any delay thereof for the duration without being held responsible for any damage resulting
there from to you. The expression “force Majure” shall mean and include any happening or event
beyond our reasonable control which could not prevent or forestall the effects and which is of such a
nature as to prevent us either wholly or partially from carrying out our contractual obligations. Such
circumstances include but are not restricted to acts of God, war, insurrection fires, floods, strikes,
epidemics, govt. regulations, embargoes, non-availability of licenses and or authorizations etc.
Order cancellation:
After booking the order if it is cancelled without our prior written consent before the date we
raise an invoice, you will pay us a cancellation charge of 10% of the order value will be deducted from
the advance along with the expenses incurred on your account.
Special Conditions:
Any terms discussed or committed orally by any one representing 3i Medtec becomes void by
you receiving this letter. The terms & conditions mentioned here are final & others if any stay non-
committed. Any disputes’ pertaining to this deal is subject to Chennai Jurisdiction only.
We are sure that the payment schedule will be adhered by you, in the unlikely event of a delay in
payment interest @ 2% per month will be charged to your account.
