In continuation to the discussions with requirement for your Software products; we are hereby presenting our
best offer for the following along with terms & conditions for your kind perusal.
We hope that this is in accordance with your expectation and for any further clarifications in this regard kindly
feel free to get in touch with us.
3. Payment: 30 days credit & payment to be released on LAPSYS INFOTECH PVT LTD by DD or Account
payable Cheque or via NEFT/RTGS.
6. Cancellation & Termination: Failure to adhere to the agreed payment terms will result in automatic
cancellation of licenses and will attract 25% of the licenses cost if cancelled in 1 week & 100% will be
applicable thereafter. Licenses once processed cannot be transferred or cancelled.
7. Support: Above quoted rates does not include any support charges like implementation & trouble
shooting, training & customization.
8. Deferred payments: Delay in paying the monthly or annual invoices will result in suspension of
your cloud services & this is applicable for on-prem license also therefore usage rights will be
suspended. Lapsys infotech Pvt Ltd shall not be responsible for any business impact due to delay on
non-payments from your end.
9. Billing services: Public cloud services that we offer as part of services are billed to you on a
monthly or annual basis for the services consumed by you. We hold no responsibility for the
consumption incurred by you. Regular Monitoring of cloud services usage/ consumption is your
responsibility, any discrepancies on billing issues can be assisted by us in resolving & this is subject
to the acceptance from the cloud service provider only on the valid grounds.
10. Expiry of Prepaid cloud Services: if you are already using pre-paid cloud subscription or a trial
including Free credits, please note that services will be suspended once the limit (time or Free credits)
is exhausted. This is a system driven event, and hence we request you to please put into place
monitoring mechanisms or tools that can provide you proactive notifications to avoid any downtime.
11. Force Majeure: We cannot be held responsible for delays in execution or delivery due to circumstances
beyond our control
12. Warranty: As per the manufacture or the service provider’s guidelines only.
13. Acceptance of Terms & conditions: Above said conditions will be applicable until or unless specified
by us in any other documents submitted to you.
