CONTRACT SERVICES AGREEMENT

This Contract for Services Agreement ("Agreement") is entered into this date 30-Sep-2024 by and between
Maple software Pvt. Ltd, ("Company") with an office located at D. No 10-50-84/c, 4th floor Sun Towers, Waltair Main
Road, Visakhapatnam, Andhra Pradesh - 530002 with registration #01-31802 and ("Contractor") Mr. Prince Sharma with
an Aadhar# 9759-5159-3699 WHEREAS, COMPANY is interested in obtaining professional consulting and
programming services ("Services") from CONTRACTOR as further described below; and WHEREAS, CONTRACTOR
is interested in performing said Services.

NOW, THEREFORE, in consideration of the promises and the mutual agreements contained herein, and for other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto
agree as follows:

1. SERVICES
CONTRACTOR agrees to perform the Services, which may be further, described in the applicable Schedule – A,
the terms of which are expressly incorporated herein.

2. TERM
The term of this Agreement shall commence from Oct 03, 2024 and shall continue until terminated as
provided for herein. This contract for services agreement is for a period of 24 months from the date of joining
with the COMPANY with a possibility of extension based on the CONTRACTOR performance and the client
requirement.

3. CONSULTANT PERSONNEL
CONTRACTOR shall provide qualified services speci fied in the applicable Schedule – A for COMPANY CLIENTS
("CLIENTS"). CONTRACTOR shall perform the assignments with professionalism, decorum and according to the
highest moral standards of CLIENTS and of COMPANY. CONTRACTOR shall not, without the company’s prior
written consent, be in any way directly or indirectly engaged in or concerned with any other business or
employment during or outside your work hours in the COMPANY. CONTRACTOR has to perform his/her day to
day work activity from work location as described and set forth in the applicable Schedule – A, as soon as the
COVID-19 pandemic was stabilized. As part of this agreement with the COMPANY, you will be based at one of
the COMPANY’s offices or its client locations in India/Abroad – existing or may come up in the near future, as
per the COMPANY’s business requirement. If for any reason, CONTRACTOR's services are not found up to the
satisfaction of the Company (or) its clients within the 1st two weeks of service of the quality of work,
COMPANY will have the right to terminate the services of the CONTRACTOR without any financial liabilities for
either the COMPANY or its clients.

4. TERM & TERMINATION

COMPANY has right to terminate this Agreement at any point of time or any or all Schedule – A's in effect with
cause at any time upon giving 30 days prior notice to CONTRACTOR. In case the client terminates the
contractor services ahead of the notice period and same will be applicable to contractor, COMPANY may
notify CONTRACTOR in advance of the intended date of termination of this Agreement or any Schedule – A.
CONTRACTOR agrees to give 30 days prior written notice to COMPANY before terminating this Agreement and
upon successful knowledge transfer (KT) to the COMPANY nominated resource, whichever happens later.
COMPANY will arrange for payment to CONTRACTOR of any outstanding amounts owed for work performed

 for the hours approved and paid by the client, up to the date of termination when properly documented
pursuant to COMPANY and/or CLIENTS standard procedures for invoices. CONTRACTOR acknowledges and
agrees that CONTRACTOR will not cause any substantial harm to COMPANY, if CONTRACTOR abandons any
engagement with less than 30 days’ notice. Therefore, if CONTRACTOR fails to provide 30 days’ notice to
COMPANY, CONTRACTOR agrees to pay COMPANY liquidated damages in an amount equal to CONTRACTOR’s
daily billing rate to COMPANY (using an eight hours day) under the applicable Schedule - A times the number
of days of notice not so provided. (For example, if CONTRACTOR provides 5 days’ notice and its daily rate to
COMPANY is INR 5000/- per day, then its liability for liquidated damages is INR 25000/-).

5. Work hours
The CONTRACTOR has to perform his duties during the end client required time zone and shift timings.

6. General
CONTRACTOR is advised to be available online by using communication tool such as Skype/Slack (or) any other mode
of messenger provided by the COMPANY and its clients, during the work hours and should provide an easily
reachable contact number for any kind of exigencies.

7. Leaves and Holidays

CONTRACTOR can avail leave only with atleast one week prior notice unless it is an emergency and that too with
proper intimation and acceptance by the end client. These hours will not be compensated. Prompt and regular
attendance is an essential condition of this contract service agreement. Chronic Late Attendance and/or Absence
Without prior intimation in writing or any unauthorized absence from place of work will be considered “misconduct”
and the hours will not be considered for billing. CONTRACTOR has to follow the list of standard holidays published by
the COMPANY and any change in that holiday list should be intimated and accepted by the end client.

8. RATES
The hourly rate for Services shall be mutually agreed by the parties and set forth in the applicable Schedule –
A. CONTRACTOR agrees to keep accurate records, detailing specific time worked, duly authorized expenses
incurred (which shall be deemed to be only those expenses for which CONTRACTOR is entitled to bill and be
reimbursed) and will submit records to COMPANY on a monthly basis for COMPANY'S approval and
acceptance. The agreed rate in schedule – A will remain same in case of contract period extension.

9. REPRESENTATIONS AND WARRANTIES

(a) CONTRACTOR represents and warrants that all Services provided hereunder will be performed to the best
of its ability in a professional manner. CONTRACTOR further represents and warrants that all materials
provided by it hereunder will be of original development and that any and all items produced hereunder will
not infringe upon any patent, copyright, trade secret, trademark or other propri etary rights of any third party.
(b) CONTRACTOR represents and warrants that the execution and performance of this Agreement shall not
violate any agreement or contract which CONTRACTOR may have entered into or any obligation which
CONTRACTOR may be under, and CONTRACTOR expressly agrees to hold Employer harmless with regard to
any breach of the foregoing warranty.

10.RIGHTS GRANTED
To the extent that any of the Services provided hereunder by CONTRACTOR result in CONTRACTOR's creation
of any works that may be protected under the copyright law, including, but not limited to computer software
programs, modules, training materials, development tools and/or written documentation, (herein after

 "Work"), each such Work shall be deemed specially commissioned by COMPA NY and shall be considered a
"work made for hire", as defined in the Copyright Act. Accordingly, CONTRACTOR acknowledges that
COMPANY is and shall be considered the author of each such Work and to all revenues derived there from.
COMPANY shall also have the exclusive right (but no obligation) to obtain copyright registrations of, or
relating to, any and all such Works in the name of COMPANY or in such other name or names as COMPANY
may elect, and to obtain renewals thereof. If for any reason, it is determin ed that any such Work is not a work
made for hire, then this Agreement shall be deemed as an assignment to COMPANY of all rights in and to such
Work. CONTRACTOR agrees to execute and deliver to COMPANY, upon request, any documentation which
COMPANY may reasonably request to evidence COMPANY's exclusive rights as provided in this paragraph and
to enable and assist COMPANY in obtaining and protecting copyrights.

11.CONFIDENTIALITY
CONTRACTOR understands and acknowledges that services COMPANY provides to its CLI ENTS are confidential
and to enable COMPANY to perform these services, its CLIENTS may furnish to COMPANY confidential
information concerning their business affairs, properties, finances, methods of operation and other data; that
the good will of COMPANY depends, among other things, upon keeping such services and information
confidential and that unauthorized disclosure of the same would irreparably damage COMPANY; and by
reason of CONTRACTOR's duties hereunder, CONTRACTOR employees or agents may come into possession on
information concerning the services performed by COMPANY for its CLIENTS or information furnished by
COMPANY'S CLIENTS. All such information concerning CLIENTS of COMPANY and services rendered to such
CLIENTS are hereunder collectively referred to as "Confidential Information". CONTRACTOR agrees that except
as directed by the owner of the Confidential Information, it will not at any time during or after the term of this
Agreement disclose any Confidential Information to any person whatsoever, or permit any person whatsoever
to examine or make copies of any reports or documents prepared by CONTRACTOR or that come into its
possession or under its control by, reason of the consulting Services, and that upon termination of this
Agreement CONTRACTOR or its employees or agents will immediately turn over to COMPANY or the owner all
documents, papers, passes, ID cards and any other matter in its possession or under its control that relate to
COMPANY or COMPANY's CLIENTS.

12.NON-SOLICITATION
During the term of this agreement and thereafter, CONTRACTOR cannot solicit business or hire the personnel
of the COMPANY or its clients directly or indirectly.

13.RESPONSIBILITIES
 During working hours, you shall satisfactorily perform all tasks assigned by the client, to the expected
performance standards. You shall comply with the rules, regulations and procedures as notified from time
to time by the company in letter and spirit.
 During working hours, you shall entirely devote your time, attention and abilities to the b usiness of the
company/client and always available with active internet connection, Skype or any video call for immediate
communication between the parties.
 You shall not, without the company’s prior written consent, be in any way directly or indirectly engaged in
or concerned with any other business or employment during your work hours of the company.

13.SURVIVAL
In the event of the termination or expiration of this Agreement, the provisions of this Agreement, which by their

nature extend beyond the termination or expiration of this Agreement shall remain in full force and effect
beyond such termination or expiration until fulfilled.

14.GOVERNING LAWS
This Agreement shall be governed by and construed in accordance with the laws of the State of Andhra
Pradesh without regard to its conflict of law rules.

15.NOTICE
Unless indicated otherwise, any notices, requests or other communications provided for under this
Agreement should be written and mailed by registered mail or certified mail, return receipt requested ,
postage prepaid, or sent by registered email, personal delivery, delivery service or facsimile, to the other
party at the address set forth above or at such changed address as the addressee may have given by similar
notice.

16.ENTIRE AGREEMENT
This Agreement sets forth the entire understanding of the parties and supersedes all prior agreements,
arrangements and understandings between the parties hereto and can be modified only in writing and signed
by both parties. If any provision of this Agreement shall be held to be void or unenforceable, the remainder of
this Agreement shall remain in full force and effect.
NOW, THEREFORE, the parties hereto acknowledge that they have read this Agreement, understand it and
agree to be bound by its terms and conditions. The Agreement shall not be modified or amended except upon
written consent of authorized representatives of both parties.

 SCHEDULE – A
THIS SCHEDULE – A is hereby made a part of that certain Independent Contractor Services Agreement entered
into by and between Maple Software Pvt Ltd (hereinafter "COMPANY"), Mr. Prince Sharma and , (hereinafter
CONTRACTOR"), dated 30th Sep 2024 for work to be performed as per our client requirement.

1. In accordance with the independent Contractor Services Agreement, it is agreed as follows:

Scope of work: Senior Software Engineer (or) as defined by the client from time to time.
Work Location: Remote (Work from Home).
Compensation: INR 800/- per hour (All inclusive).
Hours: As per the time sheet approved by the client
Work Timings: As required and specified by the end client.
Termination: If for any reason, CONTRACTOR's services are not found up to the satisfaction of the Company (or) its clients
within the first two weeks of service of the quality of work, COMPANY will have the right to terminate the services of the
CONTRACTOR without any financial liabilities for either the COMPANY or its clients.

Invoicing Cycle: Monthly
Payment: Only for the total number of productive hours on monthly basis.
Payment Terms: Seventh working day of the month, subject to the client approval of time sheet.
Payment Mode: Deposit into Contractor's individual bank account in INDIA.
Taxes: Applicable as per Govt. of India regulation.

2. Unless otherwise notified, when the end date set forth above has elapsed, this Schedule – A shall be deemed
to have been extended beyond the original end date on a month-to-month basis, on the same terms and
conditions stated herein and in the Independent Contractor Agreement referenced above, until such time a s
the above-mentioned project is completed or CONTRACTOR provides 30 days prior written notice of a refusal
to extend this Schedule – A.
