Due to flexibility, all types of Projects will be considered on a Non-Status basis –
(regardless of Credit History)- with no upfront fees, subject to Terms and
Conditions.

For Companies; the Trades and/or Projects that we finance, are usually funded
up to 95% and up to 100% for certain Governments.
We are usually not interested in Joint Ventures, such as B.O.T., B.O.O., B.O.T.T.,
etc…except under special circumstances.
Therefore, the Financial Commitment of the Project Sponsors/Project Owners is
vital!
And although, owners’ Cash Inputs vary from Project to Project, please note: -
For example: in meeting the INVESTMENT PARAMETERS for QUALITY
PROJECTS, especially in the Heavy Industries, requiring shall we say,
£/€/$10,000,000(GBP/EUR/USD) then, people will typically need to have: -
o A Minimum Net Worth (Cash, Securities, Home-Equity…etc) of
£/€/$1,500,000
o OR be ready with an Owner(s)’ Minimum Cash Investment of 5% of the
Project Value;
Please note… In Funding Terminology “No Upfront Fees” relates only to the
preliminary review and preliminary due diligence to consider a project for
potential funding.
Therefore, please stop here, if you are seeking to finance your project with no
investment of your own, including Retainership Fees - the costs of attending
to you.
On the other hand, if you have a quality project in which you have a
reasonable equity, please read on; we may be of service to you.

i. Programme A: Funding via Private Placements, SECURED by certain
Government or Bank Guarantees, Land/Buildings/Hotels, Paintings,
Gold/Diamonds/Mines, etc…etc. Features include:

If the Collateral is not a well-rated BG or not even a BG; then the
Security Offered would have to be enhanced or backed by our 3rd Party
Financial/Bank Guarantees;
Project Sponsors/Owners’ Minimum Investment:
1. None: if Collateral is a well-rated BG;
2. Or: Minimum 0.5% (½ a percent for costs e.g. Appraisal,
Insurance etc)
[Some costs could be paid out of the loan proceeds, leaving no
financial burden – Subject to Terms and type of Collateral Owned];
3. If Project is a Fresh Acquisition or Start-Up;
Sponsors/Owners’ Minimum Cash Investment could be
3.5% (see Programme D) or 5.5% if “x amount” e.g. 25%
Deposit, is required to be shown; to Lender (see below -
Proof of Fund Leasing);
Loan Agreement: This comes from our bank and confirms the
credit line that is available against delivery of valid security –
in your name.
Collateral is returned at Loan Redemption / Maturity Date up to
10Years

ii. Programme B: Debt Finance with New Issue Bonds/Bank Guarantee &
Insurance Wraps via Private Placements & Special Purpose Vehicles
(Seeding Organisations), for up to 100% Funding!
Features include:

b. Big Projects: USD$100million – No Maximum;
Sponsors/Owners’ Minimum Cash Investment: 5% (including Set-Up
Costs for the SPV, Temporary Management Board Nominees,
Insurance Underwriting, Issuing & Banking Costs, Screening of Debt on
EUROCLEAR, DTC, BLOOMSBERG OR CLEARSTREAM …etc…etc
thus enabling our Introduced Private Investors to promptly adopt the
Papers and release Funds on a bank-to-bank basis);
Maturity up to 10Years.
The amount of time necessary to complete a SPV transaction is typically 3-4
months from the time a Letter of Intent is signed. Approximate timeline is as
follows:

iii. Programme C: Provision of Bank Guarantees & Funding
For Clients with Own Cash Lenders or Revolving Credit Lines, from well rated
Banks AND need Bank Guarantees, in order to have use of the Funds.
(Compatible with our Proof of Fund Leasing Services - see below)
Features include:
Commercial or Private Projects Acceptable
Minimum Credit Line (for Bank Guarantee) Requirements:
o Small Projects: from USD$10million;
o Big Projects: from USD$50million – No Maximum;
Lenders/Owners of Credit Lines must be prepared to exchange the
Credit Line or Reserved Cash against Well-Rated Bank
Guarantees; with Face Values equal to 100% of the Credit PLUS
INTEREST WHERE RELEVANT;
The Bank Guarantees (BGs) will be issued from Top Western
European Banks and will have a maturity date of between 1 and
5years with Face Values that include interest payable to the Lenders (if
any);
Your lender then makes the loan and pays the funds to the
Guaranteeing Bank in Exchange for their Undertakings & Guarantees.
Sponsors/Owners’ Minimum Cash Investment:
Retainership Fee: -
Big & Small Projects (from $10m): GBP£12,500 (USD$22,500
APPROX.)
BG Issuance Success Fee: -
Big & Small Projects 1 – 2% of Face Amount of BG/SBLC
OPTION 1: FOR Commercial (Big & Small) Projects
Projects Funding via The Guaranteeing Bank: here the loan
proceeds will be disbursed to you in monthly Drawdowns for
Project Start, as follows:
a. The Guaranteeing Bank guarantees your repayment
of Principal and the Interest (if any);

b. At the end of between 1 and 5years Tenor,
Guaranteeing Bank will repay the Principal and
the Interest of the loan to your lender and your
loan will be rolled over into a new loan with
them. This new loan will be for a period of five years
(or longer, if the success of the project requires it)
with an interest rate to be negotiated. Currently 8% a
year.
OPTION 2: FOR Private Big Projects ONLY
The BG-Seeking Client obtains Approved Credit Line for Minimum
of $100m Contract and completes an LOI with us for BG purchase;
to have the BG issued:
1. Client then offers the Credit Line as Proof of Funds for BG
purchase!!
Bankers do this on behalf of clients.
2. The client then receives the BGs and assigns it to the
Bankers.
3. The Bankers fund/pay the difference (e.g. 20%)between the
Credit Line (Face Amount of BG/SBLC =100% guarantee for
Credit Line) and the Cost of the BG (let’s Say 80%) to the
Client, to enjoy!!
4. The Clients then begin the Private Projects with the
remaining funds after paying fees;
5. Clients can obtain another Credit Line and start the process
all over again!!

OPTION 3: FOR Commercial (Big & Small) Projects ONLY
Funding (where appropriate) via Joint Venture: We enter into a Joint Venture
Contract with the Project Sponsors after having received A Business Plan; showing at
which time which amounts are needed; in order to realize The Planned Project(s) over
1 to 5years; Features include:
1. Delivery of Funds into Clients’ Projects via our High-Yield Trading or
Commodities Programmes linked to an equally weighted basket of commodities
(each a "Component" and together a "Basket"): Crude Oil, Natural gas, Aluminium,
Cocoa, Gold & Diamond (see below); over a period of 1 to 5years (using all or

only a part of the Client’s Net Credit Line as The Sponsor(s)’ Cash
Investment);
2. The Equity Ownership of the Project being funded is then split 25% to APEX
TRADING GROUP and 75% to Project Sponsors and handled as agreed in a
Joint Venture Contract (JVC) AND Memorandum and Articles of Association;
3. Annual interest rate @ LIBOR + 8% (E.g. 13%PA ~ depending on Project Size)
is payable by Project Sponsors; on the Amounts injected into the Project by
Bellavista Holdings;
4. At the end of Construction (where applicable ~ up to 5yrs), the client mortgages
adequate Company Assets to APEX TRADING GROUP and repays loan within the
Agreed Tenor (e.g. 5years) there from;
5. At the end of the agreed Loan Tenor AND full repayment 100% of the Total
Amount injected by APEX TRADING GROUP, the client assumes complete
control.
6. Afterwards, the Option of allowing Continued Participation (for Dividend to
APEX TRADING GROUP) or Compulsory Buy-Out of its 25% Equity Reward
can be exercised by the Project Sponsors.
iv. Programme D: 10-Year Interest Only Non-Repayable Commercial Loan
(Minimum Borrowing US$5 Million up to US$60 Million)
SECURED by Sinking Funds/Investments, which are designed to repay Loan Amount
at maturity. Features include:
1. Amount of Loan will be for twice the amount required for the Project
(subject to acceptance of the Business Plan by Lender’s Project
Evaluation Committee);
2. 50% of the Loan Funds are placed in a Sinking Fund to cover the Principal
Borrowing and
3. 50% of the Loan Funds are released to the Borrower for the Project;
4. Loan Repayment is merely for the Fixed Interest on the Total Borrowing
for 10years Period.
Example: Borrower requires USD$10 million, for 10 years. Borrowing is for USD$20
million. Interest is for 9% on USD$20 million (USD$1.8 million per annum). The total
payment to cover all costs by the borrower is USD$18 million (this is equivalent to an
8% fixed interest loan for 10 years).
Tip: A Small Portion of the Net Draw-down IF invested in another Sinking Fund…
pays-off the Annual Interest as well – thus making this Option a Totally Self-
Liquidating Loan!!
5. Mandatory Bank Account at Offshore Bank (with anonymous VISA Debit
Card);
6. Initial Set-up Costs (Refundable upon Contract Completion):
a. Retainership Fee: GBP£12,500 (USD$22,500 APPROX) Payable to
APEX TRADING GROUP;
b. Lender Application Fee: USD$25,000 (Blocked into the Client(s)’s
New Account);
((Initial Set-up Costs are payable only after the approval of the Project
Evaluation Committee))

7. Lender’s Establishment Fee: 3.5% of loan amount (to be Blocked into the
New Account);
8. APEX TRADING GROUP Success Fee: 2% of the Loan Amount, payable at
the Time of Loan Draw Down.
Note: (The Establishment and APEX TRADING GROUP Success Fees are
simultaneously debited against the Client’s Account(s) at the Time of the Loan Draw-
Down; in accordance with the Client’s Lodged Pay Orders)

v. Programme E: Where we are retained as Financiers
and/or as Project Managers for the Construction of Heavy Industries
mentioned below.
We are in position to supply many types of Turnkey Plants worldwide and also to supply
up to 100% financing for almost any type of Turnkey Power Plants and Petrol Refinery
which we supply, of course it depends on a Government Guarantee or better still, a
Bank Guarantee from Well-Rated Banks. BGs from any Reputable Local Banks are
acceptable.
Turnkey Projects Include:
Power Plants – for Energy via water, atom, coal, oil, gas, waste to energy, etc.;
Bridges/Toll Roads, Railways, Airways, Seaports, etc…etc.;
Industrial Plants – for Fertilizer, Cement, Iron & Steel Mills, Water & Waste
Water Treatment, Waste Incineration Plants and Industrial Automations
(Robotic Systems);
Refineries for Chemical, Petrochemical & Crude Oil Refining;
Commercial Marine Vessels – Tankers for Crude Oil, Chemicals, (New
Constructions and Pre-Owned (Used) Vessels!!!) Or Refinancing and Leasing to
100%!)

Commercial Agriculture/Farming, Hotels/Resorts, Golf Courses, Real Estate
Projects e.g. High-Rise Residences…etc…etc…Or Expansion Plans; for any of
the above Projects.
Features include:
Comprehensive and Customized Funding;
1. Available for Most Projects Worldwide ~ Business Mergers, Acquisitions or
Start-Ups;
2. Commercial & Corporate Financing or Refinancing and Leasing Up
to 100%!!!
Minimum USD$50million worth of each project (No
Maximum);
Sponsors/Owners’ Minimum Cash/BG Investment: 25% to 50%;
(The projects which we build, are financed 50% up to 75% for
companies and up to 100% for governments);
Project Management Hand-Over upon Completion of
Construction;
Loan Maturity 3Years up to 10Years;
Grace Time & Longer Loan Tenor negotiable;
Interest rate is LIBOR + about 2% - 3% per year.
Here is a general idea; FUNDERS do not like to be the only party investing in
Projects.
Therefore: -
1. It is fundamental that the Sponsor(s) and/or Owner(s) are capable of
introducing at least a quarter (25%) of the Project Costs with own Cash Funds
(or BG);
And
2. The projects must have very realistic possibility for success ~ with guarantee of
loan repayments otherwise – most of our Lenders are not ready to take the risk
of financing a project without the certainty of recovering their funds in case
of project failure. In order to reconcile the Bank Guarantee dichotomy,
Bellavista Holdings/Dr Oke and Associates would arrange for Acceptable
Guarantees to be issued by well-rated reputable Bank(s) or Insurers.
LEASING/RENTING OF COLLATERALS
FOR CREDIT ENHANCEMENT PURPOSES
In addition to the above Funding Programmes, we provide services covering the Issuance
and Leasing of Financial Instruments such as Bank Guarantees (BG) and Standby
Apex Trading Group -1999 x
Letters of Credit (SBLC), Proof of Funds/Reserved Funds & Credit Lines, to be used
as Collaterals by Borrowers for Credit Enhancement Purposes; in situations where
Clients have come to an Understanding with a Lender.
Please Note:
The use of "Leased Guarantee" is limited to those cases where there is an
agreement between the Lessee’s Bank and the Lessee to use the instrument
for enhancement only and not to attempt to cash the instrument or to give
any credit line using the "Leased Guarantee" as the only Security for the
loan.
The Lessee/Client must have good projects that produce alternative (actual)
security if lent money by his/her Bankers and his/her Lending Bank merely
needs to see an "Upgraded Balance Sheet" from the Lessee – hence the
Client’s accountants; for Asset / Credit Enhancement Purposes, can
incorporate the “Leased Instrument” into the Budgeted Balance Sheet; before
the Client’s presentation at the Lending Bank!
Thereafter, Clients revert to us for “Leased Instruments” once “the figures” have
been accepted and a Credit Line Agreed ~ against delivery of “the BG/SBLC”
to be issued either with bank as the beneficiary (or to be assigned to bank by the
Client IF Client is to be the named beneficiary);
Credit Enhancement Instruments only help create a line of credit at your own
bank AND usually cannot be sold or discounted. You should consult your
own Professional Financial Advisor or your APEX TRADING GROUP Advisor
for further relevant advice, IF REQUIRED!
We would reiterate that, this opportunity is recommended only for clients
having Excellent Financial Standing and Enjoying Mutual Trust with their
Banks!

2. Programme B: Proof of Fund Leasing
Features include:
1. Cash Funds can be proven available for Clients’ Projects and
confirmed Via a Bank Letter /Certificate of Cash or in the form of BG or
SBLC; (The bank also confirms the funds, as clean and clear, of non
criminal origin and free of any liens and encumbrances) and/or Via
SWIFT or KTT;
2. Cash Funds can be Reserved or Blocked for the benefit of the
borrower in our bank, for an agreed period of time.
3. Sub accounts (IN YOUR NAME) and print out of bank statements can
be arranged.
4. Funds confirmations can also be arranged on DTC or Euroclear.
Purpose of such Confirmations:
a. To confirm the Capacity to Pay in a transaction and a Collateral needs
to be advised;
b. To provide Proof of Financial Capability to conduct certain other
transactions.
MOVING FUNDS into YOUR ACCOUNT AT ANOTHER BANK *

1. Acceptable against the delivery of financial instruments issued by AA
rated European or American Banks. Former “Eastern Block” countries, South
American, Indian, Asian or African issuers are usually not acceptable.
2. Or: if the receiving banks enter into Funds Management Agreements with
us, guaranteeing the safe return of the Principal and Payment of the Monthly
Arrangement Fees…The borrower can use the funds for any legal
transaction as long as his in-house bank consents.
*USD$1.5billion of assignable funds IS available to be used under this Capital
Support Concept.
Leasing Cost (per month): 5.5% including 1%Success Fee. You can have this
service for any period of time. The monthly fee is negotiable if required – for more than
1month.
The Leasing Cost would have to be put on Escrow with an independent major law
firm in New York or London (in good standing, fully licensed and insured for
Escrow work)
Generally, the entire Leasing Cost has to be placed on Escrow.
o If wishing to pay by Letter of Credit or Conditional SWIFT MT103; 10%
of the arrangement fee must be placed on Escrow (NO EXCEPTION)
and the 90% balance plus 3% Extra Charges; totalling 93%, is payable
by a Letter of Credit or Conditional SWIFT MT103;
The arrangement fee is released only after independent third parties viz; the
Escrow Lawyers, have verified the services provided.

3. Programme C: Leasing of NASDAQ Stocks
(Stock Exchange-Listed and Traded Stocks) for Credit
Enhancement
Leasing Options include:
1. Placement in your name into a Sub Account of our SEC-Regulated Securities Firm;
2. Assignment of Stocks to you (in your name) can be verified on-screen through
DTC;
3. Your bank provides credit line against the stocks;

The transaction is based on a Standard REPO Agreement with the client, selling the stocks to a
client now, and reselling it for an agreed future date, all at the same time. Such a transaction is
‘over collateralised’ by 130% to make up for possible stock price fluctuation.

ENTERPRISES
To finance International Trades AND Projects (e.g. Iron & Steel, Consumer Goods,
Machineries, Components etc…and/or Services worldwide), we provide access to the
London Money Market and other exciting funding opportunities via:
1. Discounting and/or Loan Advance against LC, BG, Promissory Notes etc.
2. Issuance of Deferred Payment (Usance) LCs, Bills of Exchange and SBLCs
3. Issuance of Letters of Credit to your Suppliers, against the incoming Letters
of Credit from your Buyers, on a Back-to-Back basis!! …Etc;
Features include:
Enabling Good Companies Worldwide to have a London Money Market window within the
following Scenarios: -
i. Converting a Sight Payment Liability into Deferred Payment Option:
For example: a company can contract to buy (import) goods and services on “at
sight” payment basis, knowing that, it can convert the sight payment liability, into a
deferred payment option.
ii. Converting a Deferred Payment Option into Sight Payment Liability:
For example: in order to be more competitive or get a better price, a company can
contract to sell (export) goods and services on “Deferred Payment” basis, knowing
that, the “deferred payment instrument” can be discounted (converted) into “at sight
payment instrument” for immediate cash; as soon as the goods are shipped.

The Costs:
i. Retainership Fee
Either:
a. One-Off Registration Fee of GBP£12,500 (for Unlimited Trade (Transaction)
Processing)
Or
b. Between GBP£795 and up to GBP£10,000 per transaction; assessed on a case-
by-case basis (depending on Transaction Size, time and other matters involved)

ii. London Money Market Interest Charge
Interest Charge is variable and has two parts:
a. London Inter Bank Offer Rate (LIBOR) for the particular currency and time of
transaction. For example, for US Dollar let’s say two and a quarter percent per
annum (2.25% p.a.)
And
b. Country Specific Risk Premium Charge on credits to a particular country
from time to time depending on Market Views. For example, for Indonesia let’s
say seven and a half percent per annum (7.5% p.a.)
Total London Money Market Interest Charge = 9.75%
iii. Service Charge
Our Success Fee Payable; is a Fixed Fee of between two-and-five percent (2-to-5%) of
invoice amount or loan facility depending on Transaction Size;

At this stage:
1. The Project Owner delivers the Government Guaranty or BG and

APEX TRADING GROUP, may expect more than GBP£5million (GBP£5,000,000.00) in
Funding.
2. Minimum Success Fees: depending on Type of Collateral and Project Size.

APPROVAL CYCLES
As soon as a Service Request is submitted and the Retainership Fee paid, the Success
of the Project becomes our constant concern. Simply put; we are, from there on,
committed to “Making it Happen” and would dig into our expertise in Financing
