Dear Sir,
We, Princelong (Beijing) International Trading Co. Ltd. the undersigned, have stable
customer resources in China, intend to seek long term cooperation with an Indonesian coal
seller to supply our Chinese clients. We are writing to confirm that we are ready, willing, and
able to purchase the following commodity as per specifications in the terms and conditions
as stated hereunder.
我们，普林斯隆(北京)国际贸易有限公司，在中国拥有稳定的客户资源，有意寻求与印尼煤卖⽅
⻓ 期合作为我们的中国客户供煤 。我们起草此函旨在确认我们已经准备好 ，愿意并且有能
⼒按照下列条款和条件中的规格采购以下商品。
To be specific, this is our first batch of procurement in order to build cooperation and trust
between partners. If this procurement goes smooth, we intend to sign an annual purchase
agreement with you, to buy 200,000 metric tons of coal monthly.
值得强调的是，这只是我们的⾸批采购意向，旨在与合作伙伴建⽴合作和信任。如果本项 采购
进展顺利，我们有意签署每⽉采购 20 万吨煤 的年度采购协议。
1. Commodity: Standard Coal NAR 3800 kcal \5000 kcal each 50,000 tons for the first batch
of procurement.
商品: 标准煤 3800 ⼤卡\5000 ⼤卡各 5 万吨⾸批采购

2.Country of Origin: Indonesia
原产国: 印度尼⻄亚
3.Quantity: 50,000 MT X 2 shipments for first (trial) batch, followed by 50,000 MT X 4
shipments X 12 months contract.
采 购 量 : ⾸ 批 (试 ⽔ ) 2 艘 船 ， 每 船 5 万 吨 ; 后 续 1 2 个 ⽉ ⻓ 协 ， 每 ⽉ 4 艘 船 ， 每船
5 万吨。
4. Price: Open to Seller's quotation
价格:待卖⽅报价
5.Incoterm: FOB acceptable, better CIF or CFR if Seller would arrange shipments
贸易条款: 可接受 FOB，如果卖⽅可安排船运，则 CIF 或 CFR 更佳
6. Payment terms: L/C. For FOB terms, 90% shall be paid offshore, the balance will be
paid via T/T upon arrival once pass third party inspection. For CIF or CFR terms, full
payment will be made upon arrival once pass third party inspection
付款⽅式: 信⽤证结算。如果是 FOB 条款，离岸解付 90%，到岸检测指标合格后 电汇 余
款: 如果是 CIF 或 CFR 条款， 到岸检测 指标合格后付全部款项。
7. Loading Port: Seller option / to be determined through negotiation
装货港: 卖⽅指定/ 待协商确认
8. Discharging Port: Buyer option / to be determined through negotiation
卸货港: 买⽅指定/ 待协商确认
9. Inspections: To be inspected by mutually agreed independent inspector. Seller will
provide testing report on quality and quantity at loading port at Seller's costs. Buyer can
engage equivalent inspector to verify the quality and quantity at discharging port at
Buyer's expense. All test reports shall be in English
检验: 由双⽅同意的独⽴检验机构实施检测。卖⽅将提供装货港的货物质量和数 量的检测报
告，费⽤由卖⽅承担。买⽅可以安排同等检验机构在卸货港实施检测， 以确认货物的质量和
数量，费⽤由买⽅承担。所有检验报告均应 英⽂。
10. Performance Bond: 2% PB in advance before L/C

履约保证⾦: 信⽤证前预付 2%的保证⾦。
The exact S&P terms (including but not limited to, purchasing procedure, detailed payment
terms, specification and rejection rate, L/C, discount etc.) shall be discussed in good faith by
both parties during our subsequent engagement.
确 切 的 采 购 条 款 (包 括 但 不 限 于 采 购 程 序 、 详 细 付 款 条 款 、 货 物 规 格 和 拒 收
率 、 信⽤证、折扣等)应由双⽅在随后的沟通期间友好商定。
We would highly appreciate it, if you could advise your best offer SCO/FCO with full product
specifications for our quick reference and further action. Moreover, please provide following
information to complete our registration: Certificate of Registration, Registration Documents,
Articles of Association (AOA), Company Profile, Trading License, Shareholder Structure,
Extract of Directors, Audit Reports, Bank Account Information, Information related to
transactions with Chinese Companies.
