TERMS & CONDITIONS OF SUPPLY

1. Basis of Contract
Our offer is on FOR Site basis as per Incoterms 2020.
2. Scope of Supplier
The scope of Supplier shall be design, manufacture, supply, procurement and inspection of the spare parts / goods. The
activities of transportation and transit insurance are to the purchaser’s scope.
The Supplier’s scope of supply shall be limited to the scope mentioned in price schedule. In the event of any
change/variation in scope, the price and delivery shall be subject to change.
3. Validity of the Offer
Validity of the offer for Spare parts shall be for a period of 30 (thirty) days from the date of submission of offer and any
subsequent extension thereafter shall be subject to written confirmation by the Supplier.
4. Local Conditions
Supplier’s offer is based on the local conditions prevailing on the date of offer. In case of any change in local conditions or
legislations, the resultant implications thereof shall be to Purchaser’s account.
5. Price Basis
The prices quoted are exclusive of taxes, duties, levies and cesses which are payable/ reimbursable extra at actuals by the
Purchaser at the rates prevailing on the date of despatch.
The prices shall remain firm for scheduled delivery period except for statutory variation and new levies and for any
variation in the scope.
6. Taxes, Duties, Levies and Cesses
All taxes, duties, levies, cesses, statutory charges by whatever name called shall be payable by the Buyer extra at actuals
at rates prevailing at the time of dispatch. Any statutory variation to the existing taxes, duties, levies and cesses and any
new levies shall be to Buyer’s account.
7. Payment Terms
The Purchaser shall make the payment for supplies in the following manner free of interest.
100% advance payment along with 100% applicable taxes & duties against proforma invoice, prior to despatch.
8. Variations
Any variation/alterations/modifications in the Scope of Work shall be carried out by the Supplier only after written
agreement regarding change in scope, price, effect on time schedule, warranted performance parameters and other
affected terms.
9. Submission of TC/MTC/QAP - Not applicable for spare parts supply. However, tkII shall provide internal inspection report
along with dispatch.
10. Warranty – Warranty is not applicable for spare parts supply.
11. LD for Delay – Not applicable for spare parts supply.
12. Time of Completion / Effective Date of Contract
Delivery will be completed within 8-9 months. The effective date of Contract for delivery shall be reckoned from the date of
receipt of technically and commercially clear order or advance payment whichever is earlier. In case of delay in releasing
advance, suitable cost compensation and delivery extension shall be provided and delivery schedule shall be revised
accordingly. Delivery schedule shall be reckoned from EDC. Adherence to Completion of Supplies shall be subject to
Buyer fulfilling all his contractual obligations in time as per agreed schedule and further subject to Force Majeure
conditions.
13. Force Majeure
If at any time during the continuance of the Contract, it shall become impossible for either party to complete their
obligations in time by reasons which shall include but not be limited to acts of God, any act of Government, fire, war,
concerted action of workmen, accidents, power failure, civil commotion, epidemic, coronavirus Covid-19,lockdowns
imposed by local, state or central government, impact from the Russia/Ukraine crisis, terrorist attacks / acts of terrorism,
Tsunami, volcanic activity, earthquake, storm or flood, trade embargoes, restraints on transportation and shipping, Force

majeure prevailing at the sub-Sellers place of business and / or all such causes or circumstances beyond control of either
party, the affected party shall not during the continuance of the calamity, delay or hindrance, be bound to execute the
Contract provided always that the supplies and services will be resumed as soon as possible thereafter and neither party
shall be considered in default in the performance of its obligations under the Contract or be responsible for any delay in
the carrying out of such obligations.
The affecting party due to Force Majeure events specified above shall notify the other party within 15 days of occurrence
of the Force Majeure event. Completion Schedule shall be suitably extended and the Cost compensation shall be provided
to Seller.
If the conditions constituting Force Majeure last for a continuous period of two months or aggregate period of three
months, either party shall be entitled to terminate the Contract and the Seller shall be paid for the entire work completed
as well as work in progress including raw materials procured till the date of such termination.
14. Suspension
Either party can suspend the Contract for breach or failure by the other party which could not be remedied during the
period agreed between the parties or for any Force Majeure conditions after issuing 30 day’s notice. Seller shall be
entitled for extension of Completion Schedule and price escalation as well as any incidental charges arising thereof for the
duration of Suspension.
If Buyer fails to certify a payment or pay the Supplier, amount due within 30 (thirty) days after expiry of the due date of
such payment, Supplier may suspend the supply after giving 30 (thirty) days’ prior notice to the Buyer. Such action shall
not prejudice Supplier’s entitlements to payments otherwise due and to terminate the Contract as per the provisions
hereof.
15. Termination
Any Termination of Contract by either party could be only for breach or failure by other party which has not been
remedied, or for bankruptcy or insolvency of either party and for causes which are beyond the control of either party.
Either party can terminate the contract in case suspension continues for more than 60 days after giving 30 days.
Supplier has the right to terminate the Contract if the Buyer fails to pay the Supplier the amount due within 60 (sixty) days
of suspend the contract.
In the event of termination such, the Supplier shall be entitled to receive all payments for the supplies effected and for the
work in progress including raw material procured up to the date of receipt of such notice.
16. Arbitration
Any dispute in which amicable settlement could not be reached by and between the Parties in connection with or in
relation to the Contract shall be referred to arbitration according to the provisions of Arbitration and Conciliation Act, 1996
and any subsequent amendments in force. Arbitration shall be conducted by three arbitrators, each party shall appoint
one arbitrator and the two appointed arbitrators shall appoint the third arbitrator who shall act as the Presiding Arbitrator.
Venue and seat of arbitration shall be Mumbai, Maharashtra, India and language of arbitration shall be English.
17. Governing Laws
This Order / Contract shall be governed and interpreted in accordance with the Indian Laws and shall be subject to
exclusive jurisdiction of Pune Courts only.
18. Limitation of Liability
Except in case of wilful misconduct, gross negligence and IP infringement, overall liability of the Supplier under
the Contract is limited to a maximum of 5% of the Contract Value.
Neither party shall be liable to the other party by way of indemnity or by reason of any breach of the contract or of
statutory duty by reason of tort, loss of profit, loss of contracts, loss of use, loss of production, loss of interest and for any
financial or economic loss and for any indirect and consequential damage whatsoever.
