once intimation is given by HZL post one truck load at site or HZL can
take decision to forfeit the CMD/EMD & cancel the order
. For Lots linked to LME, material shall be lifted as per plan shared by
M/s HZL, However M/s HZL will try to provide the customer for
full/complete shipment of material. In case of any default from the
customer side the applicable LME shall be highest among those if there
are two LME months lying betweenthe lifting materials

individual can represent as a bidder on his own behalf and on behalf of other companies provided, he registers
himself in those capacities separately i.e. for each representation he should pay separate Earnest Money
Deposit. Successful Bidderis that Bidder inwhose name confirmation of sale is issued by the Seller.
4. TIMING OF ONLINE BID: Time wherever mentioned in any document relating to the bidding event including
the auction catalog refers to Indian Standard Time (IST) i.e. UTC + 05.30 hrs. All the timings of the Online Bid
shall be based on the time indicated by the Server hosting the Auction Engine. It shall be the endeavour of
MatexNet toensurethatthe ServerTime reflects ascloselyas possible the IndianStandardTime (IST)i.e. UTC
+ 05.30 hrs. However, in the event of any deviations between the Server Time and the Indian Standard Time,
the functioning of the Auction Engine (Start, operation, closure) would be guided by the Server Time. Bidders
are advised to refresh the page by clicking link provided at the top right side of the Auction room to check the
exact Server Time that is displayed there.

II. GENERALTERMS& CONDITIONS
1. Subject to the reserve price, if any, fixed by the SELLER and subject to the terms and conditions set out herein,
sale shall be made to the HIGHEST BIDDER on “AS IS WHERE IS BASIS” and “NO COMPLAINT BASIS.” The Seller
does not undertake any responsibility to procure any permission/license etc. in respect of the auction property
offered for sale.
2. SELLER reserves the right to modify and amend the terms & conditions and announce the same at any time
before the auction concludes. Announcements during the auction on the website including announcement of
any additional conditions OR correction in the catalogue and/or additions or deletions of items being offered
for sale are being done with the consent and knowledge of the Seller, and it is binding on the bidder. Bidders
are advised intheir owninterest not to leave auctionroom till the entire auction is closed.
3. Participation and bidding in this Auction shall be treated as conclusive evidence of the fact that the bidder has
inspected the Auction Property and the documents pertaining to it and is satisfied in all respects regarding
quantity, quality, condition of the Auction property, taxes, and other extraneous factors and the Principle of
Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through
and understood the terms and conditions of Auction including the amendments if any, prevailing at the time
of Auction. Seller/MatexNet will not entertain any complaints or objections once Bid is placed. Final decision
regarding participation shall rest with the Seller.
4. Seller/MatexNet does not give warranty or guarantee of the quality, quantity, measurement, condition
Chemical composition of each individual item/s or lot/s that form the auction property and about its “End Use”
or fitness for a particular purpose.
5. The highest bidder does not get any right to demand acceptance of his offer. SELLER reserves the right to
accept/ reject/ cancel any bid, withdraw any portion of the Auction Property at any stage from Auction even
after acceptance of bid/ issue of delivery order or release order/ deposit of full value by successful bidder
without assigning any reason thereof. In the event of such rejection/ cancellation/ withdrawal, SELLER, shall
refund the value of Auction Property, if paid for, to the successful bidder. SELLER shall not be responsible for
anydamages/loss whatsoever to the successful bidder on account of such withdrawal.
6. EMDamountwill notcarryinterest.
7. In the event of failure on the part of the successful bidder to fulfill his contractual obligations, Seller /
MatexNet reserves the right to debar such bidder from participating in any future auction conducted by
MatexNet on behalf of Seller.
8. GSTintroduced byGovernmentof India:
A. Bidders participating in MatexNet Auctions should verify with the selling companies about the tax
structure and ascertain themselves of the new tax rates and other statutes inplace.
B. Any differential with the old structure shall be clarified by the Bidders directly with the selling clients
and MatexNet is not responsible for any form of misunderstanding or dispute arising out of such
differences. MatexNet is only a E Commerce Service Provider and has minimal knowledge arising out
of anychanges instatutes that is promulgated by the Government from time to time.
III. DISCLAIMER
1. MatexNet runs its business on the basis of a robust Web Site. MatexNet is outsourcing server space from a
third-party hosting company and hence shall ensure the smooth running in all good faith and intention.
However, MatexNet will not be held responsible for any failure of power, Network, server, hosting server,
Internet connectivity, ISP or otherwise at Bidder's end or at MatexNet directly or indirectly affecting online
method of Bidding.

2. MatexNet takes no responsibility of the quality, quantity, documentation details of Buyers/Sellers. Both the
Buyers & Sellers agree to defend, indemnify and hold MatexNet harmless, from any loss, damage, cost and
expenses caused by any reason during this transaction. In no event, shall MatexNet be liable for any loss for
the transactors by business, revenues, profit, costs direct and incidental, consequential or punitive damages of
any claim. Both the parties agree to have discussed all the related matter regarding this transaction and have
understood in full that MatexNet has provided a source of supply and has nothing to do any further especially
with regards to quality, warranty, guarantees, delivery schedules, payments, rejections, transportation, legal
laws and regulations to be followed from time to time etc. Since MatexNet does not possess knowledge base of
the commodities under transaction both the parties agree that the matter contained in the materials as a part
or as a whole does not violate any applicable law. MatexNet is only an e- commerce service provider andis not
and cannot be a party to or control in any manner any transactions between the Seller and Bidder. MatexNet
shall neither be responsible nor liable to mediate or resolve any disputes or disagreements betweenthe Seller
and Bidder.
3. The Seller/Bidder agrees to limit the liability of MatexNet to them for any and all claims, losses, costs, damages
of any nature whatsoever or claims expenses from any cause or causes, including attorneys’ fees and costs, so
that the total aggregate liability of MatexNet to the Seller/Bidder shall not exceed its total fee receivable from
the Seller/Bidder. It is intended that this limitation apply to any and all liability or cause of action however
alleged or arising, unless otherwise prohibited by law.
4. Wherever images of the auction property are displayed, Bidders may note that MatexNet does not represent
or warrant that the images are accurate, complete, reliable, current or error-free even though care has been
taken to present them. They are only indicative in nature. Hence bidders are advised to physically inspect the
auction property before placing bids.
IV. PARTICIPATION
1. The prospective bidders have to register with MatexNet by submitting the Membership Registration form duly
filled and signed along with self-attested copies of their PAN Card, Aadhaar Card, valid GST registration
certificate and address proof by way of electricity bill, or telephone bill, or Bank account statement for the last
six months. The Membership Registration form along with the prescribed documents shall be submitted to
MatexNet. The Prospective Bidders, who have submitted the Membership Registration form along with the
prescribed documents to MatexNet once, need not submit the same again. The prospective bidders after
completing the registration process as above shall have to deposit Earnest Money Deposit (EMD) for each lot
separately or for all lots as prescribed by DD / NEFT / RTGS (as prescribed by the Seller) in favour of
“Hindustan Zinc Ltd.”, payable at Udaipur. CASH WILL NOT BE ACCEPTED.
2. Bidders/Seller may note that any payments by DD or cheque or any other means towards EMD/Security
Deposit or other purposes received by MatexNet on behalf of Seller/Bidder shall be handled in good faith and
intention. However MatexNet shall not be responsible for the loss of the DD/Cheque from its custody due to
reasons beyond its control such as fire, theft, burglary, loss in transit, accident, war, riots, civil commotion,
anyterrorist activity, anynatural calamity, adverse weather andclimatic conditions etc.
3. On completion of the registration process and payment of prescribed EMD as outlined above, Seller/MatexNet
will activate the User – Identity to enter into the virtual auction room of the website www.matexnet.com.
Prospective Bidders may please note the following:
a. Failure to submit the Membership Registration form duly filled and signed along with the prescribed
documents will lead to non-activationof the User IDevenif the prescribed EMD has been remitted.
b. For any auction, a bidder acting as an individual or as proprietor of various firms registered under
different user ID and having the same PAN will be allowed to participate under one user ID only, unless
otherwise permitted by the Seller in writing.
c. If payment is made for any PCB / CPCB Lots, MatexNet will activate the User ID for that lot/s only after
successful verificationof necessaryPCBdocuments which are to be provided bythe bidder before the

prescribeddate&time.
4. Your user ID will be activated for participation in the auction only if the prescribed EMD amount is received in
the Bank account of Hindustan Zinc Limited within the prescribed date & time. Hindustan Zinc Limited will not
be responsible for delayed receipt of the EMD for whatever reasons.
5. Password and Security - After intending bidders register with MatexNet on the website, they will be allotted
a unique user identification (User ID) by MatexNet and they will be prompted to set a password. This is the
login password. The login password is a string of characters (combination of alpha, numeric & special
characters) used to authenticate the identity and provide access to various resources on the website. The
length of the login password has to be a minimum of eight characters and has to be a combination of alpha and
numeric characters. Special characters can also be included to strengthen the login password. However, the
following special characters ~, ., /, ?, <, >, : , ; , \ ' , \ " , +, =, _, -, ^ are not allowed and will be ignored. Bidders
are solely responsible for all use and for maintaining and protecting the confidentiality of their User ID and
password.
6. Forgot Password - In Case Bidders forget the login password, the only way they can change their login
password is by clicking on the “Lost Password” link on the homepage of the website. Bidders will receive a
verification code on their registered e-mail address and their registered mobile phone. Using the verification
code Bidders can change their login password. The e-mail carrying the verification code will also contain a link.
Bidders can also change their login password by clicking on the link that will directly take them to the change
password page. Bidders are advised to check their spam / junk mail to check for the e-mail carrying the
verification code. MatexNet will not be responsible for non-receipt of SMS/e-mail carrying the verificationcode.
Bidders are advised in their own interest to login and check to ensure that their credentials are valid before
the auction starts to avoid complications in the last minute. Bidders reporting loss of access to their registered
mobile phone & their registered e-mail may please note that their request for resetting their login password
will be done only after receipt of a written request along with the full set of documents. Resetting of login
password will be done after verification of the documents submitted and will take at least two working days.
Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to
change the Password.
7. Transaction Password - To have an additional layer of security, Bidders have to authenticate their entry into
the virtual auction room using their transaction password. Only then they will be able to place their bids.
Bidders can set their transaction password and have to confirm the same with the OTP that will be sent to their
registeredmobile number and their registerede-mail ID. Transaction passwordis session specific.
8. Multiple Log in from same IP Address – Bidders participating in the auctions may please note that multiple
logins from the same IP Address will not be permitted.
1. Validity: The Online auction bidders and Tender bidders must keep their bids valid for a period of 30 days from
the date of closing of e-Auction excluding the date of closing. In case the 30th day falls on a holiday or remains
closed for the Seller, such Bids will be deemed to be automatically extended to be valid up to the next working
day of Seller.
2. Time Extension: If any valid bid is received within the last 3 minutes (“Time Extension” as mentioned in the
Bidding Room will be in force & 3 Minutes is an example) of closing time, the time will be extended
automatically by 3 minutes. Bidders are advised to look for the number of extensions left in the virtual auction
room in cases where the number of time extensions are restricted.
3. Training: MatexNet will provide training (online) if required by the bidders at a mutually convenient date and
time before the Auction.
4. By default, the system will not permit the bidders to increase/decrease (FA/RA) bids beyond a maximum of
five times the prescribed bid increment/decrement. However, this limitation can change and hence Bidders
are advised to contact MatexNet to ascertain about this feature before placing bids.

5. By default, the system will set up the next bid value (current highest/lowest bid value plus or minus the
prescribed minimum increment/decrement). Bidders can use the + or – symbol in the bid box to
increase/decrease the bid values. The bidders can override this feature to place their bids manually as well.
All bid values in figures will be displayed with a comma separator as per International Standards and all bid
values in words will be displayed as per Indian system for numbers.
6. Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once the
bid is placed, the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the Seller will
forfeit the EMD. The highest and the latest bid on the Auction shall supersede all the previous bids of the
bidder. Bidders may please note that in the event of a manual bid amount matching that of an auto bid, the
manual bid will prevail and be considered. The bidder with the highest offer/ bid does not get any right to
demand acceptance of his Bid.
7. For deciding the successful bidder, only the highest bid placed in the Closed Bid event or the Online Auction
will be considered. In the event of a tie (highest offer received in the online closed bid matching the highest
bid received in the e-auction), Seller will decide the successful bidder. No complaints in this regard will be
entertained.

9. Bidders may please note that the virtual auction room will normally refresh automatically in every 10 seconds.
It can also be refreshed manually by clicking on the link provided therein. In case of any difficulty torefresh
the window, Bidders are advised to clear browsing history, download history, cookies and other site and
plugin data, cached images and files etc. from their browser. Bidders may also contact MatexNet officialswhose
contact details are provided herein.
VI. CONTRACTVALIDITY
VII. PAYMENT
1. All payments towards the sale of material shall be made in the form of Demand Draft/Pay order issued by any
Scheduled / Nationalized Bank /Scheduled Co-operative Banks in favour of “Hindustan Zinc Limited” payable
at Udaipur or by RTGS/NEFT as may be advised by Seller from time to time. If the successful biddersare
required to remit the sale proceeds by RTGS/NEFT, Seller / MatexNet will provide the Bank account details of
Seller.
2. On receipt of sale confirmation, Successful Bidder/s shall deposit 100% value of the material for the respective
lot/s inclusive of the applicable taxes, if any, (calculated as per the bid/s placed and approved by the Seller)
beforecollecting the sale order OR as maybe directed bythe Seller (Please refer other conditions).

3. Unless otherwise specified elsewhere in this catalogue, Bids placed/Rates offered are for the basic price only
and are exclusive of all applicable taxes like GST, IT, TCS etc. Taxes will be in addition to the basic price and
will be added at rates applicable at the time of delivery.
4. In the event of default or delay in making the payment or not complying with any of the terms mentioned
herein by the Successful Bidder, the contract will stand terminated automatically and the security deposit will
stand forfeited.
VIII. DELIVERY
1. On receipt of full Sale Value along with applicable Taxes/TCS & other charges by the Seller, the Seller will
issue final Sale/ Delivery / Release Order to the Buyer thereby enabling him to lift the materials within the
period as may be prescribed by Seller from time to time.
2. Lifting of materials will be allowed only as per Seller’s instructions. Successful bidders are advised to contact
the concerned officials of Seller for exact timings in order to ensure that the material clearance is as per their
instructions. Neat and clean maintenance of the stockyard from where the material is lifted is the responsibility
of the successful bidder. In the event of non-adherence to the above by the successful bidder, Seller will reserve
its rights to impose penalties/forfeiture of EMD. Weight recorded at the Seller’s premises shall prevail.
3. In case the Seller is unable to deliver the goods within the specified time due to unforeseen administrative
reasons, then the Seller shall grant suitable extension of delivery period to the Buyer without any penalties
till the expiry of such extended period. In such eventuality, however, the Buyer shall not be entitled to claim
anycompensation for such delay.
4. If the goods sold or portion thereof remain un-cleared in the premises of the Seller beyond the stipulated
period, the sales proceeds of the un-lifted assets shall be forfeited and the un-lifted portion of the assets may
be removed at the risk and cost of the Buyer and the Buyer will have no claim whatsoever on the goods
remaining uncleared and the amount paid to Seller will stand forfeited. Seller shall have right to dispose of
such goods in any manner they like. The Buyer shall have no right whatsoever for any compensation on this
account.
5. While taking delivery of the material, it will be at the discretion of the Seller or its authorized representative
to direct the manner / order in which the materials or lots shall be removed. No segregation of the items of
anylot is allowed inside the Seller’s premises.
6. Breaking/ cutting may be allowed to the extent necessary for facilitating loading into vehicles as per the
discretion of the Seller. No gas cutting equipment or any equipment, which are likely to cause damage, will be
allowed in the premises. Only safe oxy-acetylene gas cutting equipment will be allowed with permission of
Seller. The decisionof the Selleror his authorized representative shall be final in this regard.
7. The Buyer shall arrange for all tools and tackles, forklifts and hoists or cranes or labour at their own expenses.
The Buyer will make his own arrangement for dismantling, removal, lifting, loading and transporting of the
material from the Seller’s premises and he will not claim any sort of assistance or charges whatsoever from
the Seller.
8. It will be successful purchaser’s responsibility to weigh the empty truck at the weighbridge and produce the
weight certificate so that the weight of the empty truck will be deducted from the weight of the fully loaded
truck.
9. Should the original purchaser wish to take delivery of the surplus material through a representative, he must
authorize the latter by a letter of authority or continuing authority, which shall be presented to the Seller. The
Seller may in his entire discretion decline to act on any such authority and it shall be for the purchaser to satisfy
the Seller that the authority is genuine. Delivery to such authorized person will constitute valid delivery and no
claim shall lie against the Seller on any account thereafter.

10. Once the goods / materials are taken out of the factory gate, purchaser will be solely responsible for all sorts
of claims like shortage, missing parts, damage, incident, accident, loss of material etc.
11. Resale will not be recognized. The purchaser shall not be entitled to resell any lot or part of a lot while goods
are still lying within the premises of the Seller and no delivery would be effected by the Seller to any person
other than the Purchaserwhose names are mentioned in the sale order/Delivery order.
12. Purchaser and his men are subject to the security rule of the Seller in force while in the Seller’s premises. The
purchaser/s, their workmen agents or representatives shall not commit any nuisance, theft or indulge in any
antisocial activities in the Seller’s premises and the purchaser shall be liable for the good conduct, safety &
discipline of his workmen. In case of any such activity, delivery will be suspended and strict action as per law
will be taken including forfeiture of EMD.
13. While taking delivery of the material, the Purchasers shall be responsible for any damage that may be done to
premises / fittings of the SELLER in the course of removing the lot or lots purchased by them. The SELLER may
at its option arrange to make good such damages and the purchaser shall pay for the same on demand. If such
payment is not made on demand, the SELLER may forfeit the EMD/Security Deposit or may stop delivery of the
material till payment is made.
14. SELLER will not at any time be responsible for any injuries caused due to accident within its premises either
to the Buyer or his representative / labour etc., and the Buyer will make proper arrangements for any claim
arising out of the employment under any statute. It is the responsibility of the Buyer to provide necessary
safety appliances (like hand gloves / safety shoes etc.,) to the labourers, who are engaged for loading the
materials.
15. If any accident or damage to the property / life etc. arises by reason of any act of negligence / omission / default
or non-compliance with any of the Terms & Conditions or statutory regulations or rules and regulations
applicable within the Seller’s premises, on the part of the Buyer / his representative or employees, resulting in
death or injury to any persons or damages to the property of the SELLER or any third party, then in such an
event the Buyer will have to pay compensation to such person including the employees of the SELLER for such
accident or injury / death or damage caused to their employees or to any of the Seller’s employees or to others
or to the Seller’s property. The Buyer shall in such event, keep the SELLER fully indemnified from any demand,
claims or proceedings thereof.
16. The Buyer shall be responsible to secure compliances with all Central and State laws as well as the rules,
regulations, byelaws/notifications and orders of the local authorities and statutory bodies as may be in force
from time to time. Buyers must comply with all statutory obligations like Labor License, Workman
Compensation policy, ESIC, PF etc., whichever is applicable.
1. In case of any dispute arising out of or relating to the terms of the sale order the matter shall be referred to
one arbitrator appointed by Seller. The arbitrator shall act in accordance with the provisions of Arbitration
and Conciliation Act, 1996. The venue of arbitration shall be Udaipur.
2. DisputesbetweenSeller&bidder ifanyshall be withinthejurisdictionof Udaipurcourts only.
3. In the event of any dispute with regard to not taking possession / non-availability of inspected Auction
Propertyetc. andforfeiture of 'EMD', MatexNet willnot be held responsible for the loss / forfeiture.

INSTRUCTIONS TO THE Tender cum E-auction PARTICIPANTS
1. All those who have registered online with the auctioneer and wish to participate in the auction, should send their Caution
Money Deposit (CMD) as instructed above. CMD must reach the Auctioneers as mentioned in cover page by the cut-off
time.
2. Declaration and Letter of Interest (LOI) received thereafter or on the d ay of Tender cum E-auction for becoming
Registered Participants will be rejected out rightly and such bidders will not be allowed to participate in the Live
Tender cum E-auction and their DD will be returned to them through Courier at his/their risks. Hence, in your own
interest, you are requested tocomplete all the formalities to become Registered Participant inadvance and well intime.
3. Please Note the DD against CMD must be received by us in advance along with Registration Form and Profile Form attached
herewith on or before date and time mentioned above. The Auctioneers / Seller are not liable for the delay or late receipt of DD
whether sent through Courier or Post.
4. Please do not reveal / pass your User ID and Password to any other person/s. It is your personal property and we will not
be responsible for any leakage or misuse or illegal use of your User ID and Password. Nevertheless, you will be held
personally liable to the Seller and the Auctioneers for any misuse or illegal use of your User ID and password by other
person/s and any successful transaction online by such unauthorized person due to your negligence will be considered as
your own transactionand you will be required to fulfill the contract as per terms and conditions of the sale.
5. HZL reserves the right to modify and amend the terms & conditions and announce the same at any time before the auction
concludes. Announcements during the auction on the website including announcement of any additional conditions OR
correction in the catalogue and/or additions or deletions of items being offered for sale are being done with the consent and
knowledge of the seller, and it is binding on the bidder.
6. Participation and bidding / submitting Offer in this tender shall be treated as conclusive evidence of the fact that the bidder
has inspected the Tendered Material/goods and the documents pertaining to it and is satisfied in all respects regarding
quantity, quality, condition of the Tendered goods, taxes and duties, and other extraneous factors and the Principle of Caveat
Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through and understood the
terms and conditions of Tender including the amendments if any, prevailing at the time of Tender. Seller will not enter tain
any complaints or objections once Offer is submitted.
7. Seller does not give warranty or guarantee of the quality, quantity, measurement, condition Chemical composition of each
individual item/s or lot/s that form the auction / tender property and about its “End Use” or fitness for a particular purpose.

8. The highest bidder/ offer do not get any right to demand acceptance of his offer. SELLER reserves the right to accept/ reject/ cancel any bid, withdraw any
portion of the Auction / tender Property/material/goods at any stage from Auction / tender. Even after acceptance of bid/
issue of delivery order or release order/ deposit of full value by successful bidder, seller can reject/cancel the deal without
assigning any reason thereof. In the event of such rejection/ cancellation/ withdrawal, SELLER, shall refundthe value of Auction
/ tender Property, if paid for, to the successful bidder. SELLER shall not be responsible for any damages/loss whatsoever to
the successful bidder on account of such withdrawal.
9. In the event of default on the part of the bidder in fulfilling his contractual obligations, seller reserves the right to debar such bidder from
participating in any future auction / tenders conducted on behalf of seller.
10. The prospective bidder has to register with the Auctioneer.
11. On payment of CMD, and on satisfying the pre-qualification norms as may be fixed from time to time by HZL, Auctioneer will
activate the User – Identity to enter into Website as mentioned above.
12. Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to change the
Password.
13. Time Extension: If any leading bid (bid higher than the highest at the point in time) is received within the last 5 minutes of
closing time, the time will be extended automatically by 3 minutes.
14. Training: auctioneer will provide training (online) if required by the bidders at a mutually convenient date and time before
the Auction.
15. Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once the bid is placed,
the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the seller will forfeit the EMD. The highest
and the latest bid on the Auction shall supersede all the previous bids of the bidder. Bidders may please note that in the event
of a manual bid amount matching that of an auto bid, the manual bid will prevail and be considered. The bidder with the
highestoffer/ bid does not get any right to demand acceptance of his Bid.
16. Proxy Bid: -
a. Proxy Bid facility is provided for bidders intending to place a maximum value for a lot/lots.
b. Proxy bid is nota confirmedbid. It is only the maximumceilingamount setby the bidderto enable the auctionengine to
place bids on his behalf, whenever he is outbidded, up to the ceiling set by him.
c. Once proxy bid is set, the auction engine will consider the ceiling amount for the next possible Bid only, depending on the
highest bid prevailing at that point of time and the increment amount prescribed for that particular lot.

responsible for any failure of power, Network, server, hosting server, Internet connectivity, ISP or otherwise at Bidder's end
or at auctioneer directly or indirectly affecting online method of Bidding.

GENERAL CONDITIONS OF SALE
1. The Company reserves the right to accept or reject the highest offer and all or any other offer without assigning any
reasonwhatsoever.
2. Inspection of the materials: For inspection of materials lying at various units of Hindustan Zinc Ltd. Please contact the
concerned person as mentioned in list attached herewith on any working day during working hours.
3. BALANCE PAYMENT & DELIVERY
a. Materials must be removed (after making balance payment along with Sales Tax, Excise Duty and TCS, if any) on or
before due date, failing which penalty for delay in collection / balance payment (As given below) of the terms and
conditions of the sale will be applicable.
b. In the event of the failure of the purchaser to pay the Balance sale value of Lot mentioned in clause for Balance payment
& delivery ( As above ), the contract will automatically stand terminated and the Earnest Money Deposited will stand
forfeited for the breach of contract by the purchaser. The lot in question shall be resold by the Company without any
further reference to the Purchaser.
c. Balance to be paid within prescribed time by DD to the respective Unit directly. DD to be drawn on Bank as mentioned
in Annex. – I.
4. Description of Materials and Quality and Quantity:
a. The materials shall be disposed off in “AS-IS-WHERE-IS basis & NO COMPLAINT” AND “WET, DRY OR RUSTY”
conditions. Only material mentioned in the catalogue/bid sheet shall be delivered. Inside & outside attachment
shall be removed from the nearest point, unless and otherwise mentioned.
b. Oxy-cutting / cutting may be considered on specific request by the purchaser depending upon the merit of the case, at
the sole discretion of the Seller. Necessary cutting tools should be arranged by the purchaser at his own cost. However,
CLZSshall notallow cutting
c. Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the materials will be
sold without any regard or consideration to these numbers/ tonnage or nature of materials and no Warranty or
guarantee shall implied. The quantity of material may vary considerably viz. it may be much more than the approximate
quantity indicated in the catalogue or much less. The Purchaser must lift the entire quantity within the prescribed time.
d. Description given in our enclosed list is in brief. Offers by the bidders will be deemed to have been made on the clear
understanding that intending bidder / bidders have satisfied themselves fully with regard to the nature, condition,
quality of goods during inspection or otherwise. No error, omission or mis-statement or mis-description whatsoever
and howsoever made or published whether in advertisement or list or otherwise and no defects or faults in the goods
shall invalidate the contract or be subject matter of any claim on the part of the bidder whether in compensation or
otherwise howsoever nor will any such claim be entertained by the sellers.
e. The quantity indicated in our list of scrap items is only an estimate for calculating the amount of deposits required to
be paid by the bidder and has nothing to do with quantity of material that may be available. However, since the
paramount interest of the Seller is to get the area cleared from the accumulated material, the purchaser will have to
remove the entire quantity whether these are far beyond the limit of approximation indicated or much less than the
approximationindicated.
5. Removal of Materials:
a. Purchaser is responsible to weight the empty truck at the Seller weigh bridge and produce the necessary document so
that the weight of the empty truck so taken could be deducted from the weight of the fully loaded truck.
b. Alltheconsignments must be weighedevenifthey are soldonlot basis for Seller’s record.
c. In order to facilitate the Seller to complete the transaction before 4.00 p.m. the goods should be collected before 3.30
p.m. on any working day with prior permission from the concerned Department within the stipulated delivery
period.
d. Should the Actual purchaser wish to take delivery of the scrap material through a representative, he must authorize the
later through a letter of authority or continuing authority which shall be presented to the officer concerned. Officer
concerned may refuse to act on such authority and the authority holder/agent/purchaser to satisfy the officerconcerned
that the authority is genuine. Delivery to such person shall be sole responsibility of the purchaser & no claim shall lie aga inst
the Seller on any account whatsoever, if delivery is offered to a wrong person.
e. The Sellerreserves the right to unload the vehicles for inspection purpose. If it is suspected at any point of time that
the purchaser has loaded the material / materials for which he is not actual purchaser or if the purchaser is found to

carry excess material than what has mentioned in the documents, the Co. has all power and authority to detain the
truck, unload the goods at the cost & expenses of the purchaser & terminate the contract forthwith and forfeit the sale
value & claim such further losses and damages that may be caused to the Seller.
f. It shall be the responsibility of the purchaser to see that he or his servants or agents collect and load only that quality
and kind of scrap that is covered under the contract and in the event of his servants or agents finding any other quality
or kind or scrap mixed with the scrap allotted to him he should forthwith bring it to the notice of the yard master and
lift scrap only after segregation.
g. During the course of removal of the scrap material, if any damage is caused to the Seller's premises, installations or
instruments, the buyer will be entirely held responsible to make good such losses. Till such period, the damage is
repaired orcompensated to the Seller; delivery of any lot/s will not be affected to the said bidder.
h. Lots sold on Accumulated / Arranged basis as per the tender must be removed by the purchaser on or before the
scheduled period as mentioned hereinabove.
6. Decisionincase of disputes:
a. In case of any dispute regarding the contract, the decision of the Seller shall be final and binding. If there is any dispute
as to the last or highest bid or dispute in identifying the item belonging to particular lot, the dispute shall be determined by
the Seller and their decision shall be final and binding to all.
b. Only the appropriate Court in Udaipur, Rajasthan will have Jurisdiction to deal with any disputes arising out of this
contract.
c. In case of any dispute arising out of or relating to the terms of this contract the matter shall be referred to Sole
Arbitrator appointed by the Seller. The arbitrator so appointed shall act in accordance with the provision of
Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Seller’s Office or as suggested by the Seller.
7. Right of Acceptance / Rejection ofoffer :
a. The Seller reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the
period of contract without assigning any reasons.
b. The Auctioneer/ Selleralsoreserve the right to acceptany bid on"Subject To Confirmation” and the Seller’s final
decision will be informed to the purchaser as mentioned above.
c. The goods are sold subject to the reserve price fixed by the Seller. The Seller is not bound to accept the highest offer.
The Seller reserves the right to reject any CONDITIONAL offers.
8. Termination of Contract: The Seller reserves the right to terminate the contract at any point of time by giving three days’
notice on the following ground.
a. Unsatisfactory execution or performance of the contract by the purchaser.
b. For improper behavior of the purchaser or breach of the terms and conditions of the contract.
c. Decision of the Seller to terminate the contract shall be final and binding and no claim for damages and compensation
shall not be entertained. In the event of the purchaser or his agent or servant committing or attempting to co mmit theft, fr a ud,
dishonesty or gross misbehavior in connection with the subject matter of this contract or in any other - connection
whatsoever concerning the business of the Seller, the Seller will be entitled to terminate the contract - forthwith and
forfeit the Security Deposit at its sole discretion.
9. Passing of Property In the goods: It is expressly made clear that the property in the form of goods whether sold by units,
weights or lots, whether arranged or otherwise, will remain that of the Seller and will pass on to the purchaser only when
material is taken out by the Purchaser from the factory Premises after getting valid dispatch documents.
10. Other Terms and Conditions:
a. GST, Excise, Sales Tax, TCS or any other taxes under the relevant Act will be charged extra at the prevailing applicable
rate at the time of delivery and the rate offered shall be exclusive of all taxes. The rates mentioned in the catalogue are
only indicative for the guidance of the bidders.
b. Contractors shall be fully responsible for safety of their workers & equipment and materials/ equipment of Hindustan
Zinc Limitedundertheircustody. Contractorshall abide the safety rules prescribed by the Govt.
c. Contractor shall be responsible for and shall follow safety rules under the provision of Factory act 1948, Rajasthan
Factory Act 1951 & Indian Electricity Safety Rules as amended from time to time and other statutory safety rules &
regulation in force during pendency of the contract.
d. The Contractor shall provide all safety gadgets/ equipment to his workers before putting them on job and shall also

ensure that his workmen make use of the safety items while at work.
e. Charges towards any damage of the HZL equipment / material caused due to mishandling by contractor’s workers shall
be deducted from Contractor’s bill after assessment by Seller’s Engineer In charge. The assessments of Seller’s Engineer
Incharge shall be final & binding on the Contractor.
f. RULES AND REGULATIONS: The contractor shall follow all the rules and regulations under contract Labor Act, Factories Act,
Industrial Dispute Act, Payment of Bonus Act, PF Act, ESI Act, Gratuity Act, Maternity act, All India Motor Vehicle Act1988,
Rajasthan Motor Vehicle Rules 1951, as amended from time to time and other laws in force during the currency of
Contract.
g. For Batteries, LSHS/FO Oil Sludge, TORCH CELL/PENCIL CELL, USED HSD/ OLD HT OIL /Used oil etc MOEF certificate
isrequired.
h. Alltrucks,handcarts,carryingsuchmaterialsoutside Seller’spremisesaresubjecttoinspectionby Security Deptt.Atthe
gate. If required, the buyer will have to unload the vehicle if Security Officer Demands for a surprise check.
i. Any person employed or engaged by the buyer for the purpose of execution of the contract shall be required to observe
and follow the rules and regulations that are prevailing in Seller’s Company. The movement of Buyer’s persons shall be
restricted only to the place of work assigned to them. Each person engaged by the buyer shall be required to obtain a
Pass from Security Department for entering and leaving the Factory premises. All the labor engaged by the buyer shall
be subjected to inspection by Security Dept.
j. Allnotices,letterssent to the purchasershall be deemed to have beenreceived by him/them on expiry of 48 hours from
the time of posting if the same are sent at the address given by the purchaser.
k. If any person/s bid at the auction on behalf of the undisclosed principal, he / they shall immediately after the bid at the
time of payment of EMD, has to disclose the name of his / their principal who is the actual purchaser and the receipt for
the caution money and/or earnest money would be issued in the name of the principal.
l. Resaleofmaterial/goodswillnot beallowed. Releaseorderwill be issuedinthe name of actual successful purchasers
only.
m. The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises of
the Company and no delivery would be affected by the Company to any person other than the purchaser whose names
are mentioned in the delivery order.
n. All purchasers of the lots before collecting purchased materials from inside the works should contact the Company's
authorized officer to get them fully acquainted with safety rules and regulations. Purchasers will be allowed to start
collecting materials only when they have confirmed in writing that they are agreeable to follow the various safety rules
and plant regulations.
o. The Company will in no way be responsible for any accident, damage or injury to the contractor's workmen or equipment
while on HZL, s premises.
p. If the successful purchaser at any stage either neglects or refuses or is unable to take delivery of the materials for any reasons
whatsoever or the performance of the purchaser is unsatisfactory, the Company will have the right to terminate the contract,
enforce forfeiture of purchaser's EMD/security deposit and claim such further losses and damages that may be caused to the Se ller
determined and declared at its sole discretion.
q. In the event of purchaser failure to remove the materials and to pay price thereof, the Seller shall be free to sell the goods to
any person or persons and to recover from the original purchaser the amount by which materials actually sold, falls short of
the priceagreedby the originalpurchaser. Thisdoesnot inany wayaffectthe right of the Sellertoforfeit EMD asprovide dherein.
r. The successful purchaser is also required to sign an agreement to complete the sale proceedings according to the
conditions hereof and subscribe his signature to the Bid-sheet against the lot or lots knocked down to him. In the
event of the purchaser failing to sign the agreement or Bid-sheet the goods may, if the Auctioneers / Company think
fit, be put up for sale again immediately and resold on account and at the risk of the defaulting purchaser who shall
be responsible for the deficit, if any, in the price and such deficit shall be debt due from the defaulting purchaser, but
he shall not be entitled to any increase arising from such resale.
s. Special Conditions of sale or Additional Conditions of sale, if any, will be announced at the time of auction.

receipt, retention, and treatment of Complaints and to protect the confidentiality and anonymity of the stakeholders / employees
/ cases reported. These policies and procedures apply to and are available to all employees of the Company, and all external
stakeholders.
I. POLICY
Customers have the opportunity to submit / report ‘Complaints’ pertaining to the following areas such as:
a) Fraud (an act of willful misrepresentation which would affect the interests of the concerned) against investors, securities fraud, mail or wire fraud,
bank fraud, or fraudulent statements to the Securities and Exchange Board of India (the “SEBI”), the U.S. Securities and
Exchange Commission (the “SEC”), the relevant stock exchanges, any other relevant authority or members of the investing
public.
b) Violations ofany rulesandregulations applicable tothe Companyand related toaccounting andauditing matters
c) Intentional error or fraud in the preparation, review or audit of any financial statement of the Company
d) Any violations to the Company’s ethical business practices as specified in the Company’s Code of Conduct policy
e) Any other event which would affect the interests of the business
The company will protect the confidentiality and anonymity of the complainant to the fullest extent possible with an objective
to conduct an adequate review. External stakeholders such as vendors, customers, business partners etc. have the opportunity
to submit ‘Complaints’; however, the Company is not obligated to keep ‘Complaints’ from non-employees confidential or to
maintain the anonymity of non- employees. We encourage individuals sending ‘Complaints’ / raising any matter to identify
themselves instead ofsending anonymous ‘Complaints’as it willassistinaneffective complaint reviewprocess.
Post review, if the complaint is found to be have been made with MALA FIDE intention, stringent action will be taken against the
complainant. We encourage employees to report genuine ‘Complaints’ and those submitted in true faith

2. Once everysixmonthsand wheneverelse as deemed necessary, Group Head- Management Assurance shall submit a
report to the Audit Committee that summarizes the number of ‘Complaints’ received, and status of actions taken.
All reports and records associated with ‘Complaints’ are considered confidential information and access will be restricted to
members of the Audit Committee, Group Head – Management Assurance and any other person as permitted by the Group Head
– Management Assurance. ‘Complaints’ and any resulting investigations, reports or resulting actions will generally not be
disclosed to the public except as required by any legal requirements or regulations or by any corporate policy in place at that
time
Retention of Records
All documents relating to such ‘Complaint’s made through the procedures outlined above shall be retained for at least five years from
the date of the ‘Complaint’, after which the information may be destroyed unless the information may be relevant to any pending or
potential litigation, inquiry, or investigation, in which case the information will be retained for the duration of that litigation,
inquiry, or investigation and therefore as necessary.

INTRODUCTION:
MatexNet, a company incorporated and registered in India and having its registered office at Bangalore.
The General Rules and Regulations provided herein govern the conduct of online Forward Auctions arranged by “Matexnet” on
its Auction Platform. These rules cover the roles and responsibilities of the Parties in the online Forward Auctions on the Auction
Platform. The acceptance, in-toto, to these General Rules and Regulations governing conduct of Online Auctions, and Terms and
Conditions for sale of Materials belonging to Hindustan Zinc Limited by Online Auction is a pre–requisite forsecuring
participation of each Customer in the Online Auctions.
The key terms pertaining to the online Forward Auctions are provided in the as under. Prospective customers are advised to
read through the same.
The responsibility of fulfillment of the contract rests between the customers and the client and the responsibility of the “Service
Provider” shall be restricted to the extent of the Services provided by them.
ROLE OF CUSTOMER
The role of the Customer is outlined below:
● The Customer would participate in the auction with the aim of bidding to secure the auctioned item in the Online
Auction.
● The Customer would be provided access to the Online Auction through a “User ID” protected by a “Password”. The
Customer needs to ensure that the “User ID” and “Password” is not revealed to unauthorized persons. Customers are
also requested to change the Password allocated to them by the “Service Provider” to keep their confidentiality.
However it would be Customer’s sole responsibility to ensure the security and privacy of the same and he/they would not
hold the “Client” / “Service Provider” responsible in any manner whatsoever for any misuse of these user IDs and/or
Password. The access to the auction mechanism shall be provided to all the approved Customers subsequent to
obtaining their written consent to the General Rules & Regulations and the Letter of Interest. The payment of Pre- Bid
Deposit as decided by the Service Provider before the start of the Online Auction will be one of the necessary
conditions for participating in the auction.
● Customers hereby confirm that they shall commit to lift the item (being bid for) at the price entered by them in the
auction engine AND at the terms and conditions specified herein by the Client. All prices entered shall be legally
binding on the Customers. Customers are strongly advised to exercise due diligence while placing bids. Failure to
honour the bids placed during online bidding shall render the Customers liable for penal action as deemed fit by
“Client” / “Service Provider”.
● In the event of winning an allotment in the auction mechanism, the Customer shall commit to fulfill outlined
obligations under the contract between Winning Customer and Client.
● The Customers shall bid on the terms & place their bid in the auctionengine in the manner specified herein. The

Customers shall not stipulate any conditions on their own unless the terms herein expressly permit such conditions
being stipulated by the Customer. Bids entered with conditions attached shall be considered Conditional bids &
“Service Provider” retains the right of rejecting these bids even without intimating the Client.
BIDDING RULES
● The Bidding Rules refer to the information and terms defined specifically for a particular auction. The purpose of
the Bidding rules is to provide approved customers with the information and terms specific to the aucti on in which they are bidding.
This would include:
● Definition of the unit bidding.
● Start Time and duration of the auction.
● Anyextensionofthe durationofthe auctionintheevent of bids beingreceivedtowards theend of the pre-specified
duration.
● Start Bid Price.
● Specified Unit for Bidding.
● Price Increments and any reduction in the price increment in the auction in the event of inactivity.
● Other attributes (informational/non-negotiable in nature).
● While it shall be the endeavor of “Service Provider” to specify these rules at the earliest for each Online Auction. The
“Service
● Provider” only in the case of unforeseen contingency beyond its control shall retain the right to delay the
announcement of these biddings rules or modify rules specified earlier at the time of the online bidding in prior
writtenconsent of the Client. Thesedetails would be available to the customers on the Auction Engine at the time of
bidding.
● The participation in the auction process presumes complete awareness and understanding of the bidding rules.
CONDUCT OF THE AUCTION:
● Only those Customers who have been approved by the “Client” and handed over stamped and manually signed
“General Rules and Regulations governing conduct of Online Auctionalong with Letter of Interest, required EMD
amountandothernecessarydocuments to the “Service Provider” priortothestart of Online Auctionwill begiven
“LoginID”and“PASSWORD” toenable themviewandparticipateinOnline Auction.“HindustanZinc Limited” will
have the sole discretion to approve the Customers who have submitted bids and no requests will be entertained in
this regard by Service Provider from the Customers.
● The Online Auction shall be conducted on pre-specified date. The Key Terms pertaining to the conduct of Online
Auction such as “START TIME”, “DURATION”, “END TIME” AND “AUTO EXTENSION FACILITY” Shall be specified
separately for each Auction.
● “Service Provider” retains the right to cancel or reschedule the Online Auction, with the prior written approval of
the Client, on any of the following reasons:
● The number of confirmed Customers is deemed insufficient to conduct the Online Auction
● Some of theconfirmedCustomersareunable to accessthe module due to infrastructure problemssuch as sustained
power failure or telecommunication breakdown.
● There are no bids, which are equal to or below Start Bid Price.
● Any other reason, which in the opinion of “Service Provider” / “Client” requires such action to be initiated.
● Thedurationof Online Auctionmayalsovaryfromthe pre-specifiedperiod of timeeitheron account of termination
of the Online Auction by “Service Provider” on the advice of the Client.
OR
● In case of situations where it is felt that continuance of the auction proceedings is prejudicial to the smooth conduct
and / or the integrity of the auction process.
OR
● due to Auto Extension during the Auction, duration may increase from specified period.
● In the event of any problems being faced in the smooth conduct of the Online Auction, “Service Provider” with the
approval of the Competent Authority of the Client, shall have the right to undertake one or more of the following
steps:
● Cancellation/ premature termination of the Online Auction with/ withouta subsequent rerun of the auction ona
mutually decided date

● Cancellation of a bid
● Locking / deactivate a Customer’s account (suspension of operations in the account), etc.
● In case of failure of net connection, Customer will communicate his best price to the “Service Provider” and “Service
Provider” will bid on behalf of the Customer with the minimum increment until the bid price reaches the best price
offered by the Customer, by proxy bidding mechanism.
● The best price communicated by the Customer will have to be authenticated by written confirmation or fax to the
“Service Provider” and will be kept confidential between the “Service Provider” and the Customer. Customer will be
bound by the price offered.
● LIABILITY OF “SERVICE PROVIDER”
● “Service Provider” shall not be liable to the Client/ Customers participating in the Online Auction or any other
person(s) for:
● Any breach of contract between winning Customer and Client.
● Anydelaysininitiatingthe onlineauctionorpostponement/ cancellationofthe online auctionproceedings due to
anyproblem with the hardware / software / infrastructure facilities orany othershortcomings.
● While, reasonable care and diligence will be taken by “Service Provider” in discharge of its responsibilities such as
design of the online bid, communication of bid details and rules, guidance to client/ customers in accessing the
Auction Engine and placing bids, etc. the customers shall specifically indemnify “Service Provider” from all
liabilities for any shortcomings on these aspects. It is clearly understood that these activities are undertaken by
“Service Provider” to assist the Customers in participation but the ultimate responsibility on all these counts lies
totally with the customers.
CONFIDENTIALITY CLAUSE:
● “Service Provider” undertakes to handle any sensitive information provided by the Client or confirmed Customers
for the auctions conducted with utmost trust and confidentiality.
JURISDICTION
● Any disputes relating to the online auction module shall be subject to the sole jurisdiction of Court of Law having
jurisdictions over the Plant from where the Materials are being sold.

DEFINITION OF KEY TERMS
Auction
Auction refers to a forum where the requirement for one/more lots of anitem is statedand the participants (customers) are
required to bid down the price to be selected to supply the requirement.
Online Auctions
Online auctions refer to those auctions conducted through the Internet with the customers (from one or more locations)
simultaneously bidding to be selected for supplying the item/s on Auction. In other words, the venue for the auction is on an
Internet website/ platform.
Services refer to the Online Auctions conducted by the Service Provider through its website as the venue for the purpose of the
Online Auctionandalso includes the responsibilities narrated under the head “ROLE OF SERVICE PROVIDER” above.
In a single winner format, only one customer (normally the customer who quotes the highest price) is awarded all the units of
the item being auctioned. The customer quoting the highest price is normally allotted the item.
Client
Client is the individual/business entity who has contracted "Service Provider" to conduct such auction. In case of auction, the
purpose would be the genuine intent to sell the selected item/s (Lot) to the customers desiring to buy these items from the
Client.
Customer
Customer is the individual/business entity participating in the auction, intending to buy the item(s) from the Client. To be
become a Customer in the auction, a business entity has to secure client approval for participation and also provide written
assent to the General Rules and Regulations.
Auction Engine
Auction Engine refers to the software that encapsulates the entire auction environment, processing logic and information flows.
"Service Provider" is the sole owner of the auctionengine and retains exclusive right overthe utilisation of the same.
All the timings of the Online Bid shall be based on the time indicated by the Server hosting the Auction Engine. It shall be the
endeavor of "Service Provider" to ensure that the Server Time reflects as closely as possible the Indian Standard Time (IST) i.e.
GMT + 0530 hrs. However, in the event of any deviations between the Server Time and the Indian Standard Time, the functioning of
the Auction Engine (Launch, operation, and closure) would be guided by the Server Time. Customers are advised to refresh both
the windows of the Auction Module check the exact Server Time (displayed in both the windows).
Preview Time
Preview Time refers to the period of time that is provided prior to the commencement of bidding. This is to facilitate approved
participants to view the auction details such as item specifications, bidding details and bidding rules. The purpose is also to
familiarize participants with the functionality and screens of the auction mechanism. It is not mandatory for "Service Provider"
to provide Preview Time.
Start Time.
Starttime refers to the time of commencement of the conduct of the online auction. Itsignals the commencement of the Price
Discovery process through competitive bidding.

Duration of the Auction.
It refers to the length of time the price discovery process is allowed to continue by accepting bids from competing customers .
The duration of the auction would normally be for a pre-specified period of time. However, the bidding rules may state the
conditions when the pre-specified duration may be curtailed/extended. The conditions include:
Curtailment of auction duration in the event of no bids for a specified period of time (Inactivity Time)
Automatic extension in the event of bids being entered towards the end of the scheduled duration to facilitate the other
customers to view and react to the bid.
In the event of bids in the last few minutes of the scheduled bid time, the Bid Timings are automatically extended for a specified period from each such bid.
Such Auto Extension shall continue until no bids are placed for the specified period (Engine remainsinactive for the spe cified period). The
Inactivity Time for Auto Extension purpose is normally X minutes. "Service Provider" however retains the right tochange the
same. The Inactivity Time applicable for the particular Online Bid shall be visible to thecustomers under the Bidding Rules
module on the engine.
End of the Auction refers to the termination of the auction proceedings signaling an end to the price discovery process.
Auction Report.
"Service Provider" would provide an Auction Report to the Client containing a summary of the auction proceedings and
outcome. The Auction Report would constitute the official communication from "Service Provider" to the client about the
outcome of the Auction.
