12. TAXES AND LICENCES:

Any export license and other taxes, duty, levy, etc in country of origin for Seller's
account. Any import license and other taxes, duty, levy, etc in country of import for
Buyer's account. Any delay or failure by Buyer to obtain export license arising any
consequence, cost, expense, damages to cargo, container demurrage/detention or
storage and/or price difference shall be for Buyer's account and risks.
13. FORCE MAJEURE:
Force Majeure such as wars, embargoes, fire, floods, civil commotion, insurrection,
riots, strikes, earthquakes, tempests including but not limiting to Acts of Gods and
Government's restriction or to any condition beyond the Seller's control subject to ICC
Force Majeure Clause 2003.
14. ARBITRATION:
In case of dispute/claim occured out of or concerning this contract, if the contracting
parties cannot reach amicable settlement within 30 days from its occurrence, the case
shall be transferred to Vietnam International Arbitration Center (V.I.A.C) for final
settlement. The rules of V.I.A.C are to be applied for this case. The award of arbitration
will be binding for both seller and buyer. The losing party bears all expenses thereof.
15. DURATION OF AGREEMENT:
The present contract comes into effect the date of signing by all participants of the
agreement. The time of duration of the present Contract is until the fulfillment of their
obligations by the parties.

and year first written above.
