1. General
1.1 Scope of Works
The Works shall comprise work as specified in the contract documents.
The Contractor shall familiarise themselves with all aspects of the project, including design and construction,
site conditions, access/loading, program requirements and authority approvals & requirements and make due
allowance for all required items in accordance with the Contract documentation. Adequate supervision must
be maintained by the Contractor for the duration of the works.
The Contractor acknowledges that the contract and tendering conditions and the contract documents provide
a description of the works sufficient to enable the Contractor to carry out its obligations notwithstanding any
omission, discrepancy, or inadequacy in these documents.
The Contractor assumes the risks of all increased costs, losses and expenses arising out of any omission,
discrepancy or inadequacy in the contract documents and will not be entitled to any extension of time or
adjustment to the contract sum in respect of any variation in the works to the extent that such variation
remedies any omission, discrepancy, or inadequacy.
a) examined all the information made available to them by the Principal for the purpose of tendering
including the drawings, specification, schedules, conditions of tendering, contract and the like;
b) examined all information relevant to the risks, contingencies and other circumstances which could affect
the price, and which is obtainable by making reasonable enquiries;
d) informed itself of all relevant physical conditions upon and below the surface of the site;
e) visited the site to ascertain all site conditions, conditions of access, the state of any structures thereon
and services and their effect on the costs of carrying out the works. The Contract Price shall be deemed
to include all such costs. No claim for additional costs will be considered on the grounds of the Site
Conditions;
f) informed itself as far as practicable of the nature of the work and materials necessary for the execution of
the work under the Contract, the means of access to the facilities at the Site, and transport facilities for
deliveries to the Site;
g) informed itself to the availability of labour and the accommodation required; and
h) satisfied itself that they have examined all documentation and carried out all necessary investigations
relating to the integrity of the existing structure and it’s as-built condition.
Failure by the Contractor to do all or any of the things under this Section will not relieve them of their liability to
perform all their obligations under the Contract.
1.3 Inspections
Contractors shall inspect the site and shall make arrangements for inspection through the Project Manager. It
is the Contractors obligation to confirm existing conditions, levels and the locations of existing services.
Contractors shall allow for all work involved including removal of obstructions in the way of the work and allow
any consequential make good.
For any discrepancies, the more expensive or stringent of the alternatives shall be deemed included in the
contract sum.
It is noted that the documents supplied by the Principal are not designed as trade packages, but a set of
Contract Documents to be read as a whole.
1.5 Documents
a) Drawings & Specifications
The Contractor and any intended Sub-Contractor shall check all relevant dimensions on-site before submitting
the Tender. In no circumstances shall dimensions be scaled off drawings. No claims for additional costs
arising from the Contractor’s failure to obtain measurements and other information on site will be allowed.
b) Shop Drawings
Contractors shall allow for the preparation of all necessary shop drawings required by the projects Consulting
Engineer. Sufficient detail must be given to permit a full appraisal of all parts of the installation and their
relation to the building structure.
Within the timeframe stipulated in the Contract, the Project Manager shall advise as to the suitability or
otherwise of the documents. This advice shall not constitute an instruction under the Contract, nor shall it
relieve the Contractor from responsibility for the Contractor's errors or omissions or compliance with the
requirements of the Contract.
Documents shall be supplied in sufficient time for examination, and revision, if necessary, to occur before they
are required for use.
The Contractor shall provide constant and competent co-ordination and management of its duties under the
requirements of the Contract.
The Contractor shall provide not less than the following requirements:
a) A Construction / Project Director who shall be responsible for the overall management of the project for
the duration of the design and construction of the works.
b) A Project Manager dedicated to the project for the duration of the works that shall have a technical ability
and field experience commensurate with the scale and nature of the Works for progressing the works
during this time.
c) A Design Manager dedicated to the project during the design period that shall have a technical ability and
field experience commensurate with the scale and nature of the Works for progressing the works during
this time.
d) Such additional resources required to ensure the objectives and deliverables of the design phase are
achieved.
1.8.2 Construction
The Contractor shall provide constant and competent direction, co-ordination, and superintendence of all
trades in all phases and parts of the Works so as to comply with the required standards of the Contract.
The Contractor shall provide not less than the following requirements:
a) A Construction / Project Director who shall be responsible for the overall management of the Works and
the compliance with the terms of this Contract.
b) A Project Manager - who shall be employed during the construction period and thereafter as necessary
who shall have a technical ability and field experience commensurate with the scale and nature of the
Works.
c) Site Manager - who shall be employed full-time on Site during the construction period and thereafter as
necessary who shall have a technical ability and field experience commensurate with the scale and
nature of the Works. The Site Manager shall be available for a period of one month after the issue of the
Certificate of Practical Completion of the last Separable Portion or until such time as all the identified
completion items have been completed.
d) Such additional site management, foremen, sub-foremen, leading hands and first aid attendants as are
necessary for the satisfactory carrying out and completion of the Works and compliance with all OH&S
requirements.
e) Clerical and administrative staff for the effective and efficient support of the supervisory staff.
Note:
• The names and relevant details of experience of the personnel detailed above are to be provided to the
Project Manager for acceptance prior to the execution of the Contract.
• Any intended changes in such personnel during the construction of the Works shall be immediately
advised 14 days before in writing to the Project Manager for prior written approval.
• The Contractor is to allow for necessary supervisory staff and industrial relations and safety personnel to
be in attendance during any necessary after hours works post-handover and as required for the duration of
the Works.
2. Administration
2.1 Meetings
Throughout the duration of the Contract, the Contractor is to arrange meetings, as required by the Project
Manager with appropriate consultants, subcontractors, and the Project Manager and, unless otherwise
directed by the Project Manager, keep minutes of such meetings.
Within two working days after each meeting, the Contractor is to issue a draft of the minutes, for approval by
the Project Manager, prior to formal issue to the Project team.
The inclusion in the minutes of any oral instruction given by the Project Manager or Principal shall not be
taken to be a written instruction or direction under the Contract notwithstanding confirmation of the minutes at
a subsequent meeting.
At the first design and site meeting the Contractor is to submit to the Project Manager the names and
telephone numbers of all responsible persons who may be contacted after hours during the course of the
Contract.
At award, the Contractor assumes responsibility to attend, contribute to and lead the design team, design
coordination and subcontractor meetings. The Contractor will be the lead coordination consultant and be
responsible for design, design coordination, buildability, value engineering, cost management and fulfilling
Principals requirements of the development.
The Contractor is expected to liaise closely with the Project Manager, working in a collaborative manner to
achieve the objectives of the design period efficiently and effectively. The Contractor will keep minutes of all
such meetings.
Throughout the construction period, the Contractor is to arrange regular meetings (as required by the Project
Manager) with appropriate sub-contractors, the Architect and consultants, and Project Manager and keep
minutes of such meetings and distribute copies to the parties present within two working days after each
meeting.
The Project Control Group (‘PCG’) meeting will be the formal forum to determine policies, strategies and
discuss significant issues in relation to approvals and other requirements, design, construction, the Site and
Site access, progress and programming, costs and budget, tenancy management, staging of the works,
operational requirements, consents required from the Principal or the Superintendent, safety, quality control,
environmental matters, industrial relations, contractual matters and administrative matters.
The PCG Meeting shall be held monthly, or such other interval as reasonably required by the Principal or
Project Manager and notified to the Contractor.
Throughout the design and construction period the Contractor is to arrange any required meetings with the
Tenant, the consultant team, Project Manager, and keep minutes of such meetings and distribute copies to the
parties present within two working days of each meeting, in order to satisfy the requirements of the Tenant
Brief and Agreement for Lease, and to ensure the documentation and works proceed in line with the program
for works.
2.2 Reporting
2.2.1 Construction PCG Reports
The Contractor, as required by the Project Manager, shall submit monthly construction PCG Reports at least 7
days prior to the scheduled PCG meeting.
The Project Manager / Principal is to agree any specific details of these reports.
The Contractor must supply, maintain, and remove on completion a time lapse camera on-site to show and
record the Contractors' on-site construction work. The location of the camera is to be agreed with the Project
Manager and located to record relevant on-site works throughout the Contract duration. The Contractor must
provide regular still photographs from the camera as part of their monthly reporting and provide a time lapse
video of all recorded on-site works within 30 days of Practical Completion.
Generally, the Contractor is to allow in the construction program the following response times:
• Five (5) working days for additional information or clarification of items on the documents, and for approval
of Contractor sample submissions; and
• Fourteen (14) working days for review of shop drawings, alternative products or methods of constructions
to those specified.
2.4 Programming
2.4.1 Design & Construction Program Requirements
The Contractor shall supply a detailed program including all design, documentation, procurement, and
construction activities. The program shall include:
• A project calendar clearly denoting which days are workdays, allowing for restrictions on working time and
contingencies for which the Contractor is responsible. This shall include but not be limited to Sundays,
holidays, Christmas close-down, union designated and other days off.
• Activities which represent the entire scope of the works, including but not limited to;
» Completion of design;
» Order dates, supply lead times and installation dates for substations and other Authority installed items;
» The preparation of and approval process for all required shop drawings and sample submissions;
» The date for Substantial Completion and handover of each tenancy for their fitout and stocking
activities;
» The calculation of the total float of each activity and therefore the sequence of activities which
constitutes the critical path or paths;
The program shall comply in all other respects with the requirements of the Contract.
A revised program may be requested if the Project Manager considers the current program cannot be adhered
to or it is not in accordance with the requirements of the Contract. Within five (5) working days of such a
request, the Contractor shall submit an updated program incorporating changes in methods, times, or
sequence of activities, and showing the planned progress towards the Date for Practical Completion, to the
same detail as specified for the original program.
For the purposes of this Contract and Works, unless otherwise noted, working days for programming and
extension of time purposes shall be all days except RDO’s, Saturdays, Sundays and Public Holidays, and a
working week shall be five (5) days.
For all other matters, including notices, time limits, etc., days shall be calendar days.
The Contractor must provide a copy of the auditor’s report to the Principal and comply with corrective action
recommended by the auditor within a reasonable period and to a reasonable standard.
The Contractor shall ensure that the requirements of all authorities are complied with during the carrying out of
the Works, and the Contractor shall be responsible for all consequent costs, fees or bonds required as a result
of such compliance.
All structural design must meet the provision of relevant Australian Standards and requirements of statutory
authorities.
2.10 Awards
The Contractor shall observe all awards and pay all claims in respect of salaries and allowances, fares and
travelling time, holiday pay, long service leave, pay roll tax, insurance of workmen's tools, protective clothing
and all other Statutory Authority requirements relating to the employment of labour in accordance with their
own enterprise bargaining agreement.
2.13 Guarantees
Unless otherwise specified or agreed, warranties, or guarantees specified in the Contract shall name the
Principal as warrantee and shall be furnished by the Warrantor direct to the Principal.
The Contractor is to take responsibility for the suitability of all workers and Subcontractors working on Site,
provide a Site induction with regular updates as required, set reasonable standards of conduct, investigate
complaints about their behaviour and take appropriate action including removal from Site if so warranted.
2.19 Tests
Any testing required to be by an independent authority shall be carried out by an authority registered with the
National Association of Testing Authorities Australia (NATA) to perform the specified testing.
The Contractor shall allow for the cost of the document management system in their contract sum.
3. Site
3.1 Site Conditions
The Contractor shall be responsible for investigating the site and for making all reasonable enquiries into the
risk, contingencies and circumstances relating to the works. Without limiting the generality of the foregoing,
the Contractor must ascertain the means of access to and physical conditions of the Site as well as access to
adjoining properties.
The Contractor will assume all risk and responsibility associated with the condition of the site and any damage
to the existing site and adjoining properties resulting from the works.
All works on the site must be carried out in the least disruptive manner to ensure continuity of normal business
at all times. The Contractor will be responsible for liaison where required to ensure neighbouring building
owners / authorities / tenants are kept informed at all times and do not suffer disruption.
The Contractor will be responsible for the staging of works to ensure minimized disruption to the ongoing
operation of the existing surrounding properties and roadways, including but not limited to, the provision of
hoardings, temporary services, and temporary loading arrangements as and when required.
The Contractor will be responsible for resequencing of work hours, security, and any other requirements
deemed necessary by those impacted by the works.
The Contractor is to carry out their own investigations in relation to existing conditions and services on site.
Any damage to property both public and private, including buildings, services, roads, footways, paving,
fencing, passing or parked vehicles and any other property disturbed or injured shall be reinstated or made
good by the Contractor without cost to the Principal.
Reinstatement shall include spreading of topsoil, re-grassing, replacing trees, paths, kerbs, potholes, road
paving or any other item damaged or destroyed.
The Contractor shall make itself aware of all existing services within all areas of the Works. Any services
damaged by the Contractor shall be made good at the Contractors cost.
The Contractor is responsible for setting out the whole of the works and for providing the sub-contractors with
sufficient data and detailed instructions to enable them to properly carry out their Contract work.
A final identification survey must be provided certifying the position of improvements on the Site, the distance
of improvements to boundaries, compliance with relevant authorisations and locations of any easements.
Any encroachments or non-compliances revealed by any such survey must promptly be remedied by the
Contractor at its cost.
As soon as practicable, and prior to Practical Completion, the Contractor shall, at its cost, furnish the Principal
with surveys by a Registered Surveyor confirming:
a) The Works have been constructed within the boundaries and providing the title dimensions;
Any encroachments or non-compliances revealed by any such survey must promptly be remedied by the
Contractor at its cost.
The measuring tool for the NLA / GLAR shall be the PCA Method for the Measurement of Buildings 1997
version published by the Property Council of Australia.
The Contractor must install meters, valves, substations, and switchboards, in accordance with the
requirements of the Relevant Authorities and pay all charges in connection with the installation and use of
such temporary services.
On completion, the Contractor must disconnect temporary services, clear away all traces and undertake make
good works.
Where the Contractor damages an existing service for any reason whatsoever, the Contractor shall bear all
costs and any delays for repairing or disconnecting the service.
a) Meeting Room: The Contractor shall make available the use of a site shed for the purpose of
convening site construction meetings.
b) Materials Storage: The Contractor shall provide and maintain weatherproof and dry storage for
materials subject to weather damage.
c) Sanitary Accommodation and Amenities: The Contractor shall provide messing facilities, change
rooms, sanitary accommodation and washing facilities for use by all workpeople employed on the
Works as required by Authorities or relevant Awards. Such sanitary accommodation shall be suitably
enclosed and connected to the sewer, if possible, and have proper flushing arrangements and be
maintained in a clean condition. Sanitary accommodation and amenities shall be cleaned daily or at
more frequent intervals if necessary.
d) Subcontractors’ sheds: Any sheds erected by Subcontractors shall conform to the appropriate
requirements of this Clause.
e) The Contractor shall provide first aid facilities for the use of all workpeople employed on the Works and
the Site. A fully provisioned first aid cabinet and such other lifesaving and safety equipment as
deemed necessary or as may be required by relevant Statutes, Authorities and Awards shall be
maintained at all times by the Contractor.
f) Shopfitters/Other Contractors. The Contractor shall make available site amenities, including lunchroom,
change rooms, sanitary facilities and first aid for all other contractors and shopfitters involved with the
Development.
a) The Contractor shall provide its subcontractors with necessary programming information and shall
ensure the proper integration of the programming of their sub-contract works into the Contract
Program.
b) The Contractor shall provide the required inductions daily to enable all subcontractors and Shopfitters
to work on the site.
c) All subcontractors shall be allowed by the Contractor full access to those parts of the Site necessary to
perform their specified works during normal working days and hours, or otherwise by specific
arrangement with the Contractor.
d) The Contractor shall make available to all Subcontractors and Shopfitters free of charge, facilities as
follows:
• water;
• power;
• chutes and space for demolished or discarded materials including the provision of bins or skips and
regular removal from Site of waste materials; and
• fire protection - the Contractor shall be responsible for fire protection on the Site during construction
of the Works.
No construction or subcontractor vehicles are permitted to use the operational shopping car park for car
parking purposes.
The Contractor shall ensure expert advice is provided by its structural engineer to determine safe loads for the
various parts of the structure. The Contractor shall provide temporary supports as necessary to safely
distribute construction loads. The Contractor is responsible for all required engineering and certification costs
of propping temporary construction plant.
3.13 Security
The Contractor, its workers and subcontractors shall abide by any direction given to it in relation to the
Principal’s security requirements for the Site and in particular any direction given by the Principal’s security
guards.
The Contractor shall from the commencement of, and throughout the period of execution of the Works up to
Practical Completion of the last Separable Portion take all proper and adequate precautions to prevent access
by unauthorised persons to the Site to prevent all thefts and vandalism. It shall be the Contractors
responsibility for the security of the site and materials delivered once building works have commenced until
Practical Completion is achieved.
The Contractor shall on completion of works for the day, make secure the site to prevent access of
unauthorized persons. Where openings have been formed on external walls these shall be secured by means
of steel shutters fixed to the inside face of walls.
4. Site Control
4.1 Working Area & Control of Site Activities
The Contractor is to allow to provide and maintain all hoardings, chain wire mesh barricades, gates, and other
temporary structures, to give adequate protection to the public or other persons legally on the site or in the
vicinity of the works, including any areas of storage, unloading or hoisting material, and provide any necessary
night lighting. The Contractor shall ensure all marketing signage and hoardings are maintained to a standard
acceptable to the Principal. Any damage to marketing signage shall be promptly rectified by the contractor, at
the contractors cost.
a) Do everything necessary to ensure the safety and freedom from injury, damage or interference of all of
the adjacent public or private lands, properties, ways, services and all other adjacent real or personal
property whatsoever and of persons at any time in the vicinity of the Site, and in particular and without
affecting the generality of the foregoing, carry out and provide such forms of support, shielding, fencing
and other protective and precautionary measures as may be necessary for any of these purposes.
b) Protect all work and materials and make good all damage done to such work and materials until Practical
Completion.
c) Provide protection as soon as a surface is finished or upon arrival of materials or as required and
maintain adequate protection throughout the course of the Works until Practical Completion.
d) Erect hoardings, gantries, etc. in accordance with the requirements of the relevant authorities and the
Principal and as required for the duration of the construction period.
e) Provide necessary temporary covers, railings, signs, access, supports, as necessary and to the area
affected by the Works in accordance with the requirements of all relevant authorities.
i) Install lighting, warning signs and all protection necessary for public safety.
j) Provide temporary traffic management as required for the carrying out and completion of the works,
including applying for, obtaining and paying for all required authority approvals and/or requirements, to
ensure safe access, pedestrian movements, loading and construction of the works.
k) Prevent nuisance to the Principal, the owners or occupiers of properties adjacent to the Site and to the
public generally.
l) The Contractor shall provide protection to the public during the Works ensuring all walls and floors are
smooth, free of trip hazards, protruding nails, screws, rivets and other dangerous items.
The Contractor shall include the cost for the supply, installation, maintenance and removal of all scaffolding
including external, internal, mobile, scissor lifts, safety rails, lift barricades, crane lifting bays, protection gantry
and swing for the construction of the works.
The Contractor shall include the cost for the supply, operation and removal of all materials hoists, fork lifts,
concrete pumps, permanent lifts and cartage for the construction of the Works.
4.6 Maintenance
The site shall be maintained in a neat and orderly condition at all times during the currency of the Contract and
shall be progressively cleaned up and debris and excess material removed progressively from time to time as
necessary to the satisfaction of the Project Manager.
The Contractor shall ensure that the site is well drained and protected from flooding and, where necessary to
facilitate the progress of the works, shall provide temporary roads and/or paved access to assist the
movement of vehicles, plant, and personnel.
Without limiting the foregoing requirements of this clause, the Contractor shall erect screens and/or take other
preventative measures to prevent damage and shall arrange the programming of the execution of the Works
so as to prevent nuisance and trespass so far as possible. The Contractor shall provide an action plan if
excessive dust, noise nuisance is required. The Contractor shall use best endeavours to ensure that the
Works utilise best practice methods for noise suppression.
Noisy equipment shall be fitted with efficient silencers where practicable, or housed in suitably acoustically
treated enclosures so that the noise generated will be effectively dampened to a level which is not offensive to
persons on or adjacent to the site and which does not impact amenity of the Site.
4.9 Pollution
The Contractor shall take all reasonable precautions necessary to prevent the discharge of mud, dust, water,
fumes, smoke, rubbish, and other pollutants from the site to any adjacent areas or through the existing
stormwater drainage system. The Contractor will be responsible for the rectification of any activities causing
pollution.
The Contractor shall provide covered receptacles for rubbish, garbage and food scraps and shall have these
emptied at regular intervals as necessary. Rubbish, garbage, and food scraps shall not be left lying about the
Site and the Works. As much as practicable, all waste from the Site should be separated for ease of
recycling.
The Contractor shall take adequate measures to ensure the clean and orderly performance of the execution of
the Works. The Contractor shall make provisions for progressive sweeping and clean up, and the daily
removal of rubbish, debris, surplus materials and the like, including those of every subcontractor and for the
tidy disposal, stacking and storing of materials.
The Contractor shall make available adequate skip bins for its sub-contractors and other contractors.
The Contractor shall undertake a final detailed clean of the Site and the Works prior to Practical Completion.
The Contractor shall repair and make good any damage caused.
4.13 Explosives
Where it is necessary to use explosives, explosive powered tools or the like, the Contractor and all sub-
contractors shall comply with all By-Laws, Regulations, Acts, Orders and Standards governing their use and
storage.
The Contractor and/or sub-contractors shall be held strictly responsible for and shall settle, at their own
expense, any claims for damage or injury resulting from the use of such items.
4.14 Welding
Prior to any hot work being carried out the Contractor must obtain a” Hot Works permit” for issue to the Project
Manager for these works.
The Contractor shall provide welding blankets, screens and fire extinguisher as required and directed by the
Project Manager.
Hot work includes any oxy-cutting, welding, gas soldering or flame heating.
5. Completion
5.1 Spare Materials
The Contractor must manage, co-ordinate and document the provision of spares as required by the Contract.
The Contractor must:
a) provide a schedule of spares which includes a photograph or image of the spares, the quantity
provided, the location where used on the Site and allocate a unique number to each spare; and
b) ensure spares are individually and securely packaged with a label that includes the unique number,
nature and quantity included and the location on the Site where used.
The Contractor shall allow prior to Practical Completion to supply additional materials and to place in a secure
area within the site as instructed by the Project Manager.
Draft as-built drawings for all services and structural components are to be provided to the Project Manager at
least one (1) month prior to Practical Completion for each Separable Portion for review and approval. The as-
built drawings will need to be amended as applicable until they are approved by the Project Manager as
complying with all requirements of the Contract.
This clause should be read in conjunction with the requirements of other Contract documents.

Provide three (3) copies and one (1) electronic copy of all operating and maintenance manuals, and where
possible in a standard format, bound and having A4 size pages.
All operating and maintenance manuals shall be submitted to the Project Manager in draft form for review and

a) A schedule of subcontractors and suppliers, name and address of the company, responsible officer
and company contact details and the work or product they were responsible for.
