Memorandum of Understanding (MOU) Between EASE Institute and Sculpt Aesthetics

&Plastic Surgery centre


This Memorandum of Understanding (MOU) is entered into on this 8th JANUARY 2025 by and
between:

EASE Institute, located at Miyapur, Hyderabad, hereinafter referred to as the "Institute," and

Sculpt Aesthetics & Plastic Surgery centre, located at Kokapet, Hyderabad. hereinafter referred to as
the "Hospital."

Purpose

The purpose of this MOU is to outline the agreement for recruiting and placing qualified nursing staff
from EASE Institute with “Sculpt Aesthetics & Plastic Surgery centre” Hospital on the following terms
and conditions.

Scope of Services

1. Recruitment and Placement

EASE Institute agrees to recruit and place qualified nursing staff with Sculpt Aesthetics & Plastic
Surgery centre according to the Hospital's requirements.

The nursing staff will be provided with necessary skill-based training to align with hospital standards
prior to placement.

2. Fee Structure

The Hospital agrees to pay EASE Institute a service fee of 5.5% of the annual salary of each recruited
nursing staff member.

The payment will be made upon the staff member's successful placement and commencement of
duties at the Hospital.

3. Staff Replacement Guarantee

In the event that any placed nursing staff member leaves the Hospital within the first Three (3)
months of employment, EASE Institute will provide a replacement without any additional cost to the
Hospital.

This replacement service is limited to one replacement per position within the agreed period.
Duration

This MOU is valid for a period of one (1) year from the date of signing, subject to renewal upon
mutual agreement by both parties.

Termination

Either party may terminate this MOU with a 30-day written notice. However, all pending obligations,
including the replacement service within the three-month period, shall remain in effect until fulfilled.

Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared under this MOU,
including but not limited to personal, financial, and operational details of the nursing staff.

Amendments

Any amendments to this MOU shall be made in writing and signed by authorized representatives of
both parties.
