Dear Ankit Kumar,

With reference to your application and our subsequent discussions, we have pleasure in offering you employment in our organization
on the following terms & conditions:

Designation: Your appointment will be to the position of “SAP MES Global Developer – New Delhi” which is a position in the E05 -
Job cadre of the company.

Date of Appointment: Your appointment will be effective September 19th, 2024 or the actual date of your joining the Company at the
designated Goodyear office and completing due joining procedures.

Location: You will be based at New Delhi and will report to the Global IT Team Leader or any other official designated by the company

Leave: You will be governed by the leave policy applicable to your job grade and work location

Duties & Responsibilities: The company expects you to work in the function/department(s) in which you are placed with high standards
of initiative, efficiency, and economy. You are also expected to familiarise yourself and abide by the company policies enshrined in the
Goodyear Business conduct manual, in letter and spirit.

At any time during the period of your employment, you will be liable for transfer anywhere in India to any section/ unit/ department /plant
of the company or in any of its subsidiary corporations as may be considered necessary, at the sole discretion of the Management.

You will devote your entire time to the work of the company and will not undertake any other direct / indirect business or work, honorary
or remuneratory, except with the written permission of the Management.

You shall not seek membership of any local or public bodies without first obtaining specific permission of the Management.

Base Salary - Your base salary per month shall be Rs.88,000/-.

HRA - The Company shall provide you House Rent Allowance of Rs.52,800/- per month.

Special Allowance - You shall be paid Special Allowance of Rs.4,008/- per month.

Miscellaneous Allowance - You shall be paid miscellaneous allowance of Rs.9,500/- per month.

Medical Allowance - You shall be paid Medical Allowance of Rs.1,250/- per month.

Social Security/Retirals - You shall be a member of Company’s Provident Fund and Employee Pension Scheme. You shall be eligible
for Gratuity as per applicable law.

Annual Incentive Plan - You shall be nominated to the Annual Incentive Plan which is based on your Individual Performance and
Company’s performance. This amount is on a calendar year basis, and you will be eligible on pro-rata basis from your joining date.
The eligibility for amount disbursal is subject to your being on the rolls of the company on the date of disbursal.

Medical Scheme - You shall be a part of the Company’s Medical Insurance Scheme which provides Mediclaim Insurance for yourself,
spouse, and children i.e. (Hospitalization up to Rs.4.5 lacs per family per annum).

Taxes - A monthly hypothetical tax amount equivalent to your personal income tax obligation and as per the laws of India will be
deducted from your salary, benefits, perks, and allowances payment.

Retirement - Your date of birth is April 5th, 1998. You will retire from the company’s service on attaining the age of 60 years.

Office hours: The Company’s normal business hours are from 9.30 AM to 6.30 PM from Monday to Saturday. This may change as per
the work site/ shift requirement. The office hours may be amended by the Company from time to time. However, the Company has the
right to require you to work such further hours on weekdays/weekends and on other notified holidays, by reference to the need to
enhance and/or protect the Company’s interest or business.

Notice Period - Your services may be terminated any time by giving three months’ written notice on either side or three months’ salary
(Monthly Gross) in lieu thereof.

In the event you resign from the services of the company, it is mandatory for you to serve a notice period of a minimum of 30 days from
the date of resignation. During the mandatory notice period, you will not be entitled to any Annual Leave or Casual Leave unless
expressly sanctioned. Thereafter, at the sole discretion of the Company you may be relieved earlier, and the notice pay for any
unserved period will be deductible from your full and final settlement.

Verification - This appointment is based on the information furnished by you in your personal data form and application to the company
and is subject to satisfactory verification of your antecedents and testimonials. In the event, any information provided by you is found
incorrect, the appointment may be held void.

Medical Fitness - This appointment and its continuance is subject to you being found medically fit and the opinion of the medical officer
appointed by the company will be considered as final in this regard.

General - The company has the right to deduct from your salary the amount of damage done to the company’s property through your
neglect or default or impose fine on this account and deduct the same from your salary.

You shall not be involved in activity which may give rise to a conflict of interest while working for the company. If you have a conflict of
interest, it must be disclosed before your joining. Should a conflict of interest develop over the course of your employment, it must be
disclosed to your manager(s) and HR business partner immediately.

If you withhold relevant information pertaining to a potential/actual conflict of interest, or provide false information, you will be subject to
appropriate disciplinary action, up to and including termination of employment, forfeiture of benefits, and civil and criminal prosecution.

During the tenure of service, you will keep your emoluments secret and will treat all information coming to you as strictly confidential.
You will not, either during the continuance of employment or thereafter, except in the proper course of your duties, divulge to anyone by
word of mouth or otherwise particulars or details of the Company’s manufacturing processes, technical know-how, trade secrets,
security arrangements administrative and/or organisational matters of a confidential and sensitive nature. You are expected to hold the
Confidential/Private Information received from Goodyear, in strict confidence and will exercise a reasonable degree of care to prevent
disclosure to others. Also, you will not reproduce the Confidential Information nor use this information commercially or for any purpose
other than the performance of your duties for Goodyear.

You will, upon request or upon termination of your relationship with Goodyear, deliver to Goodyear all assets and confidential
information of the Company in your possession including but not limited to any drawings, notes, documents, equipment, and materials
received from Goodyear.

Goodyear will have the sole right to determine the treatment of all inventions, writings, ideas, and discoveries received from you during
the period of employment with Goodyear, including the right to keep the same as a trade secret, to use and disclose the same without
prior patent applications, to file copyright registrations in its own name, or to follow any other procedure as Goodyear may deem
appropriate. You agree to execute all documents and do all acts as may, in the opinion of Goodyear, be necessary or desirable to give
effect to this clause or to affect all such registrations and applications in the name of Goodyear.

Personal Data: Goodyear may, in connection with your appointment, receive personal data relating to you, including sensitive personal
data or information such as your medical records and history (collectively referred to as “Personal Information”). You hereby expressly
consent to Goodyear and any company within the Goodyear group collecting, processing, storing, and transferring to any third parties
within or outside India such Personal Information (whether before, during or after the Employment) for the following purposes:

(i) performing its obligations under the letter (including remuneration, payroll, pension, insurance and other benefits, tax,
etc.)
(ii) any processing in the legitimate interests of Goodyear or any company within the Goodyear group.

If any provision of this letter will be held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of other
provisions of this agreement or of any other application of such provision will in no way be affected thereby.

By accepting this letter, you are declaring that you are not under any pre-existing obligations inconsistent with the provisions of this
agreement.

In matters not mentioned herein, you will be governed by the policies, rules and regulation or practices of the company as applicable
from time to time to your rank/category of employees.

The company reserves the right to alter/ rescind the terms and the benefits/policies mentioned herein or otherwise at any time at its
sole discretion.

The terms and conditions as stated above will apply unless there is a more favourable provision that may be applicable under any law.

Please sign and return a copy of this letter as a token of your acceptance within 72 hours from the receipt of this letter, thereafter this
offer will not be valid.
