ADVERTISEMENT AGREEMENT
This Advertisement Agreement ( hereinafter “ Agreement”) is made and entered into on _______
( DATE 05 -10-2022) by and between:
1 ) WEBCABLE MEDIA PRIVATE LIMITED , a company incorporated under the Companies Act , 2013 with
PAN ____________ and its registered office located at Bhopal, Madhya Pradesh, India ( hereinafter
called as the “ Company” ) ; and
2 ) ___________ ( Name of Influencer ) , having primary address ______ on _______ (hereinafter
referred to as Account) and E-mail ID .________
RECITALS
WHEREAS, the Company is engaged in business of E-commerce and D2C .
WHEREAS , the Influencer has agreed to promote and advertise the products and services of the
company on his Account by way of posting in the form of images or videos or texts or any other form as
may be agreed mutually. ( Hereinafter called as “ Content “)
THEREFORE, the terms and conditions of the agreement agreed upon by the Company and the
Influencer are mentioned below:
TERMS AND CONDITIONS:
1 ) DURATION: THE Agreement shall be valid for a duration of __ years , effective from ___
2 ) PAYMENT: The Company shall pay the Influencer an amount of ________ Indian Rupees .The
amount paid is the full payment and no further payment shall be claimed by the Influencer.
3 ) Content Requirement : The Influencer shall make postings on his / her account as described under :
4 ) EXPENSES: The Influencer shall bear all the expenses incurred in creating the content required and
no claim shall lie against the Company for the same.
5 ) OWNERSHIP : The Company shall be the sole and exclusive owner of the Content created by the
Influencer . The Influencer shall not claim any Intellectual Property Rights in the Content.
6 ) USAGE : The Company shall be at absolute liberty to use the content in any manner and /or on any
platform including usage by the Third parties and that the Influencer shall not have any objections to the
usage of the content by the company.
7 ) NON -SOLICITATION: During the term of this agreement, the Influencer shall not actively enter into
any agreement with any entity situated in Bhopal, Madhya Pradesh, whose business is similar as that of
the Company
8 ) Dispute Resolution: In event of any dispute, difference or question arising out of or in relation to
breach of the Agreement, the same shall be governed by procedure of Arbitration and Conciliation Act
of 1996 and that the jurisdiction of the civil courts shall be barred for the purposes of this agreement.
9 ) SEAT AND VENUE OF ARBITRATION: The seat and venue of the arbitration shall exclusively be
Bhopal, Madhya Pradesh, India .
10 ) Governing Law : The Agreement shall be governed by and construed in accordance with the laws of
India.
11 ) Entire Agreement: The Agreement constitutes entire agreement between the parties and no
amendment, modification or restatement of any provision shall be binding unless it is made in writing
and duly signed.
IN WITNESS WHEREOF, the parties have executed the agreement to be legally valid as of the Effective
Date.
