Hereinafter caller the Buyer
It is agreed that the Seller commits to sell and the Buyer commits to buy the following described
goods on the terms and conditions stipulated hereinafter:
Article1: : GOODS
1.1. Commodity:

1.2. Total value: USD 520,000.00 (say: Five hundred and twenty thousand United States
Dollars).
1.3. Origin: China
1.4. Manufacturer: DONG GUAN CSG ARCHITECTURAL GLASS CO., LTD
1.5. Quality: Good quality
1.6. Tolerance: +/-10pct on quantity and amount are acceptable

Article 2: DELIVERY
2.1. Condition of delivery: CIF Any port in China, INCOTERMS 2010
2.2. Time of delivery: 15 days after notice of seller for readiness of goods
=>Điều này không nói bên bán giao hàng trong khoảng thời gian nào sau khi kí hợp đồng.
2.3. Transshipment: Depending on seller’s decision
2.4. Partial shipment: Depending on seller’s decision
=>Yêu cầu có sự đồng ý của bên mua nếu bên bán muốn chia nhỏ hoặc trung chuyển hàng hóa.
2.5. Place of loading: Any Port, China
2.6. Destination place: Hai Phong port, Vietnam.
Article 3: PAYMENT
3.1. The payment shall be made as follows:

100% of total contract value will be paid by Buyer to the Seller by Documentary Collection
The payment shall be made through the following banks:
- Beneficiary: HONGYING MECHANICAL & ELECTRICAL CO., LTD
- Beneficiary’s bank: BANK OF CHINA GUANGXI BRANCH
- SWIFT Code: BKCHCNBJ480
3.2. Payment against the presentation of the following documents:
- Signed commercial invoice in 03 originals
- Packing list in 03 originals
- 01 original of Certificate of origin issued by the beneficiary
- Quantity and quality certificate issued by the beneficiary in 03 originals
- (3/3) sets of original clean “shipped on board” ocean Bill of lading made out to order of shipper,
marked “freight prepaid” and notify the buyer
=> Thiếu bảo hiểm
Article 4: FORCE MAJEURE
The contract shall not be binding on the Seller and the Buyer if contractual performance is
impossible because of Force Majeure in which but not limited to war, major strikes, import and
export restriction, fire, lack of capital in business of the Seller, and Act of God.
=> Xóa bỏ điều khoản “lack of capital in business of the Seller” vì đây là vấn đề nội bộ của bên
bán, không nên được xem là bất khả kháng.
Article 5: LATE PAYMENT PENALTY
If the Buyer does not make payment on time, the Buyer has to compensate 6% of contract value.
=> Hợp đồng không nêu rõ thời gian nào được coi là “thanh toán chậm”. Nên gia hạn thời gian
thanh toán trước khi phạt.
=> Nếu Seller giao hàng trễ cũng sẽ bị phạt tương ứng.
Article 6: GOVERMENT LAW
6.1. The laws of P.R.China will govern the validity of this Agreement, the construction of its
terms, and the interpretation and enforcement of the rights and duties of the parties hereto. Any
dispute or controversy or difference arising out of or in connection with this Agreement between
the parties hereto shall be finally settled by China International Economic and Trade Arbitration
Commission in accordance with its arbitration rules. The award of the arbitration shall be final
and binding upon the both parties.
=> Sử dụng Luật và trọng tài của người bán khi có tranh chấp có thể sẽ gây bất lợi cho người
mua. Nên đổi thành luật của 1 nước thứ 3 hoặc theo CISG và trọng tài của nước thứ 3 hoặc ICC
6.2. Arbitration fee and other related charged would be born by losing party, unless otherwise
agreed.
Article 7: GENERAL CONDITIONS
8.1. After signing this contract, all the negotiations and business documents discussed before
signing this contract will have no any business value.

=> Nếu có bất kỳ thỏa thuận quan trọng nào đã đàm phán trước khi ký hợp đồng mà chưa được
đưa vào hợp đồng chính thức, bên mua sẽ không thể yêu cầu thực hiện.Nên bổ sung một điều
khoản ghi rõ rằng tất cả tài liệu liên quan phải được đính kèm hợp đồng
8.2. The two parties undertake to carry out completely and strictly this contract. If there is any
difficulty, both of parties will discuss to solve the problem. Any amendment or alternations of the
term of this contract must be mutually agreed previously and made in writing.
8.3. This contract and comes into effect from signing date and made in 04 originals in English
version.
