The VENDOR is willing and have agreed to sale, convey
and transfer his immovable property being Land with

attached therewith more particularly described in
Schedule “A” hereunder, to the Purchaser against the
Consideration money as of Rs. 12,46,84,542.58

paise Fifty Eight) only,
AND NOW first party /Vendor has agreed to
sale the said land and the Purchaser/ Second Party
has agreed to take the land which is within the
Saratchandra Gram Panchayet comprising in Mouza
– Nawpala, J.L. No. 25, Police Station – Bagnan,
District – Howrah, West Bengal, and Sale according
to Section 54 of the Chapter III of the Transfer of
Property Act, 1882. The Parties are not suffering
from any legal disabilities and are competent to
execute this present i.e. Sale Deed in perpetuity, in
terms of the prescribed provisions of the Indian
Contract Act, 1872.
NOW THIS AGREEMENT FOR SALE
FURTHER WITNESSES AS FOLLOWS;

1. The PURCHASER has agreed to pay to the
VENDOR the entire agreed Consideration
money as of Rs. 12,46,84,542.58
(Rupees Twelve Crore Forty Six Lakhs
Eighty Four Thousand Five Hundred
Forty Two and paise Fifty Eight) only,
as per details given below, at the
execution of these presents, and the rest
at the execution of the DEED OF
CONVEYANCE, the receipt whereof the
VENDOR do thereby admit and
acknowledge of the same and of and from
the same and every part thereof hereby
agreed to sale, transfer, and convey to the
PURCHASER.
2. The PURCHASER will pay a sum of Rs.
2,00,000/- (Rupees Two Lakhs) only,
being token money as an advance out of
total Consideration money as of Rs.
12,46,84,542.58 (Rupees Twelve
Crore Forty Six Lakhs Eighty Four
Thousand Five Hundred Forty Two
and paise Fifty Eight) only, and the
rest money as of Rs. 12,44,84,542.58

Eight) only, will pay at the time of
execution and registration of Deed of
Conveyance by way on obtaining financial
facilities by the PURCHASER.
3. The VENDOR will provide all necessary
and relevant documents related to the
Title of his immovable property to the
PURCHASER.
4. The VENSDOR will assist in providing No
Objection Certificate (NOC) and /or any
other documents which may be require by
the PURCHASER in obtaining finance
/loan for paying rest consideration money
to the VENDOR.
5. The VENDOR do hereby covenant with the
PURCHASER that notwithstanding any
act, deed, matter or thing whatsoever by
the VENDOR or any person or persons
lawfully or equitably claiming by from
through under or in trust for him, made,
done, committed, omitted, or knowingly or
willingly suffered to the contrary.

6. The VENDOR do hereby represent that he
has in himself good right, full power and
absolute authority to grant, convey,
transfer and assure his all shares in the
said land hereby granted, conveyed,
transferred and assured or intended so to
be BY WAY OF SALE, unto and to the use
of the PURCHASER in the manner
aforesaid.
7. The VENDOR, so far as it relates to him
own acts and deeds only but not further
or otherwise, do hereby covenant with the
PURCHASER that the VENDOR has not at
any time here to fore made, done,
executed, omitted or knowingly or
Willingly permitted, suffered or been party
or privy to any act, deed, matter or thing
whereby or by reason or means whereof
the VENDOR is prevented from conveying,
transferring and assuring his shares in
the said land in the manner aforesaid or
whereby or by reason or means whereof
the same or any part thereof are can, shall
or may be charged encumbered,
impeached or prejudicially affected in
estate title or otherwise howsoever

8. The VENDOR hereby undertake to
indemnify the PURCHASER in case any
latent or patent defect in the title to his
shares in the said land is found AND in
such event the VENDOR shall be liable to
make good all losses and damages
suffered by the PURCHASER.
9. The entire cost of Stamp Duty,
Registration Fee and other charges and
expenses would be fully borne by the
PURCHASER.
10. That the said land is connected with the
link road & there is no NH/State High way
with the said land hereby concerning to
this sale.
11. The VENDOR do hereby declare for all
concerned that it will always be lawful for
the PURCHASER to put the land to any or
such use as the later may desire, as per
his/her/their requirement, raise any
constructions, after getting the Plans
approved from the concerned authorities.
12. That all the charges, taxes, dues, cesses,
rates levies etc., payable to any authority,

if any due and pertaining to the said land
for the period up-to the date of execution
of the Deed of Conveyance shall be
payable by the VENDOR and thereafter by
the PURCHASER. The VENDOR shall fully
indemnify the PURCHASER against any
past due or liabilities in relation to the
said land/property.
13. The VENDOR and the PURCHASER are
agreed to perform this AGREEMENT FOR
SALE by 28th day of FEBRUARY’ 2025,
and the date of performance may be
extended subject to force majure or on
amicable understanding between the
parties, herein. The time is the essence of
this AGREEMENT FOR SALE, subject to
reasonable extension by and between the
parties, herein.
14. That the aforesaid Agreement for Sale has
been entered between the first party and
the second party out of free will, without
and coercion or pressure. The terms and
conditions have been duly read and
understood by the first party and the
second party who can all read and
understand English and its only
