THE PROPOSED CONSTITUTION OF FRIENDS FOR FRIENDS

ARTICLE 1

THE GROUP NAME

The name of this group shall be FRIENDS FOR FRIENDS ASSOCIATION. Established as a non-
political, non-sectarian , voluntary self-help group of members for the furtherance of the
objectives herein after appearing.

ARTICLE 2

VISION

To help in developing and growth for each other and support when needed.

ARTICLE 3

MISSION

We exist to bring members together towards growth in order to realise a positive

ARTICLE 4

THE OBJECTIVES

(a) To promote and safeguard the welfare of both members and community.

(b) To mobilise resources towards developing the group.

(c) Active involvement and participation in necessary charity initiatives that enhance growth.

(d) To do all such other things as are incidental or conducive to the attainment of all or any of
the forgoing objectives.

ARTICLE 5

MEMBERSHIP

A member must:

(a) be of sound mind

(b) be willing to abide by all the rules and regulations of the group
(c) pay the group a non-refundable registration fee of Ksh.500 once we shall unanimously
agree to register the group. This we call commitment fee and renewable every year at a fee of
Ksh 100. Window will be left open for continuous registration.

RESIGNATION FROM THE GROUP

Any member who will desire to resign from the group shall give a two months' written notice of
the intended resignation to the secretary and the resignation shall take effect from the date of
expiry of the notice provided the member has cleared all commitments made by him or her to
the group and has handed over all the property of the group in their possession during the
period of notice .

Upon resignation , a member will be entitled to 75% refund of their shares if there will be some.

ARTICLE 6

THE CHAIRPERSON

Shall be the executive head and spokesperson of the group.

The chairperson shall provide leadership to the group and shall, unless prevented by illness or
sufficient cause, preside over all meetings of the executive committee and at all general
meetings.

Organises meetings (agenda) and summarizes them at the end. The chairperson shall have a
casting vote.

VICE CHAIRPERSON

Shall perform such duties as may be assigned to him or her by the chairperson and , in
absence of the chairperson, shall perform the duties of the chairperson.

SECRETARY

Shall deal with all the correspondence of the group under the general supervision of the
executive committee.

Shall issue notices convening all meetings to the executive committee and all general
meetings of the group and shall be responsible for keeping minutes

TREASURER

Shall receive and also disburse, under the direction of executive committee, all money
belonging to the group and shall issue receipts for all money received by him or her.

Shall also ensure that books of accounts are properly kept.

ORGANIZING SECRETARY
Shall deal with organising all the meetings and activities of the group . Shall be master of
ceremonies at all functions of the group.

Will be responsible for keeping time during meetings and ensuring that all members adhere to
the rules of the group meetings.

AUDITOR GENERAL

Will be responsible for auditing and reporting to members on the use and management of
funds and other resources as well as performing primary oversight roles of ensuring
accountability.

PATRON

Shall perform the duties of helping us get noticed, adding prestige or lending credibility to our
cause. Shall be responsible for the group's characteristic spirit and ethos.

Shall maintain necessary and proper standards of behaviour in order to protect his or her
individual rights and the rights and privileges of all other members.

ARTICLE 7

DISCIPLINE

Vulgarity, sharing of nudes, use of abusive or indecent language , attacks on : religion, matters
clan, politics and personal interests like soccer, unnecessary chit-chats that may lead to
provocation, incitement and any other inappropriate content are all PROHIBITED.

On members collective agreement, any member who remains recalcitrant may be removed
from the group having refused to listen to the previously given stern warnings. We must
RESPECT one another in every engagement.

ARTICLE 8

ELECTION OF OFFICE BEARERS

All the members elected to be office bearers will serve in office for 2 years after which election
will be held in a general meeting. Office bearers are eligible for a re-election if the members
deem fit for any of them to continue serving for more terms.

ARTICLE 9

BANK ACCOUNT SIGNATORIES

The group shall have a bank account with the following as signatories :

The chairperson , The secretary General and The Treasurer.

ARTICLE 10

THE GROUP FUNDS

The group funds shall be sourced from : (a) members registration fees and subscriptions (b)
members contribution (c) donations (d) support from members' friends and well wishers.

ARTICLE 11

ANY PERSONAL REQUEST

A member's personal request like: bereavement support, fundraiser, ceremony of any kind or
any other requests can be shared here with members but there won't be an ultimatum or
condition for participation or contribution. We shall join hands together and support him or her
out of sheer good-will and brotherhood and this support offered may be done directly to the
needy member (s) . Remember; we are here for one another.

ARTICLE 12

AMENDMENTS OF THE CONSTITUTION

The constitution shall be the supreme law of FRIENDS FOR FRIENDS and any other law, rule or
regulation inconsistent with it shall be null and void. Any amendment to this constitution must
be approved by at least two- third majority at a general meeting.

ARTICLE 13

MEETINGS

There shall be Annual General Meetings.

The Executive committee may call for any other meeting as and when deemed necessary.
Meetings will either be physical or virtual.

ARTICLE 14

DISSOLUTION

The group shall not be dissolved except by a resolution passed at a general meeting by a vote
supported by at least two-thirds of the members present.
