MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is made and duly entered into by and between:

PALAWAN STATE UNIVERSITY, a public educational institution of higher


learning established and existing under the laws of the Republic of the Philippines,
with office address at Tiniguiban Heights, Puerto Princesa City, Palawan,
represented herein by its President, DR. RAMON M. DOCTO (hereinafter
referred to as the "FIRST PARTY"
-And-
________________________, a private entity duly created and existing under and by
virtue of the laws of the Republic of the Philippines, with principal office and
address at _________________, Puerto Princesa City, herein duly represented by
_______________ in her capacity as ___________, and hereinafter referred to as the
“SECOND PARTY”
WITNESSETH:
WHEREAS, the FIRST PARTY recognizes the need to balance theoretical
instruction with practical training and develop student's skills and productivity by
linking the academic programs with the industry and expose students to relevant
and present needs of the industry through an Internship Program;
WHEREAS, the SECOND PARTY undertakes to assist the FIRST PARTY in the
implementation of the Internship Program, hereafter referred to as “The
Program”;
WHEREAS, the STUDENT-INTERNS have freedom of choice in selecting
practical and appropriate Host Training Establishments (HTEs) for their internship
program;
WHEREAS, this Memorandum of Agreement must be signed by the FIRST
PARTY and SECOND PARTY together with the “Internship Training Plan”. The
SECOND PARTY and the STUDENT INTERN shall likewise enter into an
“Internship Contract” prior to the commencement of the Internship Program.

NOW THEREFORE, for and in consideration of the mutual covenant, parties enter
into an agreement, and stipulate as follows:

I. REPRESENTATION & UNDERTAKING OF PARTIES


A. The FIRST PARTY:
1. Warrants that the STUDENT-INTERNS have been duly screened and carefully
selected to ensure their intellectual, physical, mental and emotional fitness to
undertake the program;
2. Conduct pre-internship orientation/training to student interns, as a prerequisite
to their deployment to internship venues, on work environment issues, including,
but not limited to, proper work ethics and laws against sexual harassment.
3. Ensures that STUDENT-INTERNS have been informed of the respective rules and
regulations of the SECOND PARTY as well as the corresponding liability of the
student intern in case of violations thereof;
4. Accompanies the STUDENT-INTERNS to their place of assignment and make the
necessary indorsements to the SECOND PARTY prior to the commencement of the
training program;
5. Provide free medical and dental services and certification by a duly licensed
medical doctor and dentist to the STUDENT INTERNS;
6. Provide appropriate insurance coverage to include travel, medical and health to
the STUDENT INTERNS during the duration of the internship;
7. Assign an SIPP Coordinator for the student internship programs; and
8. For PSU Main STUDENT INTERNS who will render such training outside the city
proper, the FIRST PARTY shall make the necessary board and lodging
arrangement for the whole duration of the training and discuss the same to the
STUDENT INTERNS for their approval and/or to incorporate their personal
preferences pertaining to the same;
For other PSU campuses’ STUDENT INTERNS who will have their training outside
their respective municipalities, there should likewise be a proposed board and
lodging arrangement which shall be approved and agreed upon by the FIRST
PARTY and STUDENT INTERNS.
To ensure the safety and security of all STUDENT INTERNS, the board and lodging
arrangement must be clearly specified in the Internship Training Plan.
9. Undertakes to furnish the SECOND PARTY relevant papers, records, or
documents reasonably necessary to carry out the program;
10. Ensures the appropriate monitoring, evaluation and assessment of student’s
training performance and his or her working environment.

B. The SECOND PARTY:


1. Undertakes to provide supervision to STUDENT-INTERNS and assign to them
tasks that will assure maximum learning experience in accordance with the
Internship Program;
2. Agrees to grant visitation privilege in favor of the FIRST PARTY to make the
necessary monitoring and assessment of the STUDENT INTERNS’ training
performances. The manner, terms and conditions in exercise of said visitation
privilege shall be provided in the Internship Program;
3. Takes on the responsibility to conduct performance evaluation of the STUDENT-
INTERNS, and thereafter to issue a Certificate of Completion or Testimonial to
STUDENT-INTERNS who have successfully completed the Program within a
reasonable time but not later than two (2) weeks after the completion of the
Internship;
4. Invite STUDENT-INTERNS Adviser as panel during the final evaluation of the
interns;
5. Ensure the safety and security of the STUDENT INTERNS during the whole
duration of the training by giving them tasks which are within the Internship
Program;
6. The SECOND PARTY shall provide proof of existence of their establishment such
as SEC Certificate or DTI Certificate, whichever is applicable;
7. If the SECOND PARTY is represented by a non-owner, said representative shall
provide appropriate proof of authority to enter into and sign this Memorandum of
Agreement. (i.e. Board Resolution and Secretary’s Certificate ).
II. INTERNSHIP TRAINING PLAN. Both parties shall adapt an Internship Training
Plan (The Plan) duly signed by the FIRST PARTY and SECOND PARTY, hereto
attached as Annex A which shall become an integral part of this Agreement. The
Plan shall serve as the basis in determining the specific responsibilities and
accountabilities of the parties and in carrying-out their respective representation
and warranties herein provided. Any change/modification in the Plan shall be
mutually agreed upon by the parties in writing within a reasonable period prior to
the commencement of the Internship Program.
III. INTERNSHIP CONTRACT/ AGREEMENT. The SECOND PARTY and the
STUDENT INTERN shall likewise enter into an Internship Contract, hereto
attached as Annex E and signed together with Internship Training Plan; all shall
become an integral part of the Memorandum of Agreement.
III. DISCIPLINARY ACTION. The right to impose disciplinary action against the
STUDENT-INTERN is herein reserved by the FIRST PARTY. Further, there will be no
employer-employee relationship between the SECOND PARTY and STUDENT-
INTERN. However, any violation of the Internship Training Plan (Annex A) and
Internship Contract (Annex E) shall be a valid ground for the termination of the
internship program provided that due process is applied.
IV. EFFECTIVE and TERMINATION. This Agreement shall commence upon
signing and shall remain in force within three (3) years unless sooner terminated
by either party upon written notice at least thirty (30) days before termination.
Nevertheless, said termination shall not prejudice STUDENT-INTERNS currently
undergoing the Program. In such instance, termination shall take effect only upon
compliance by the party seeking termination of all its undertaking under
Paragraph I of this Agreement and that specified in the Plan.
This Memorandum of Agreement shall govern the conduct of mutual cooperation
and shared responsibility between the parties beginning_________________.
IN WITNESS WHEREOF, the parties have signed this Agreement on the date
above written in Puerto Princesa City, Palawan.
