of Winners Chapel in Ado-Odo Ota Local Government Area, Ogun State.
Further particular and exact delineation shall be made in Assignee
Survey Plan to be later attached to this agreement.

BETWEEN MR. OLU VICTOR LONGE of No 12, Ikale off Durodola Street,
Olakitan, Ipaja, Lagos State. Hereinafter called the “ASSIGNORS” which
expression shall where the context to admit include his heirs, assigns,
executors, personal representatives and administrators of the ONE PART.
AND
THE ALIGNERS LIMITED of Alice Mews D6, Ikota Villa, Ikota GRA beside
Mega Chicken, Lagos State. Hereinafter called the “ASSIGNEE” which
expression wherein the context so admits shall include their heirs, Executors,
Administrators, Assign or other Personal Representatives of the OTHER PART.
WHEREAS: Both the Assignor and the Assignee agreed that binding
agreement between them be reduce into writing.
WHEREAS:
a. The Parcel of Land measuring approximately One Acre of Land (6 Plots)
fenced round with Iron Gate lying and situate at Ijalebi Family Land,
Arobieye via Iyesi Ota at the back of Winners Chapel in Ado-Odo Ota Local
Government Area, Ogun State originally belong to the assignor herein.
b. The Assignors are the legitimate owners of the land who purchased the
land directly from the accredited representatives of Ijalebi family. The said
Ijalebi Family are the traditional owners of the land from time immemorial
by virtue of Yoruba Traditional history.
c. The accredited representatives of the Ijalebi Family viz: CHIEF MURAINO
LAWAL (Head of the Family) PRINCE MOSHOOD DADA, ALHAJI SULAIMON
OKE AROBIEYE jointly and severally sold the said land to the Assignor
herein for valuable consideration as far back as year 2015.
d. The said Ijalebi Family of Arobieye Village vide their accredited
representatives who sold the land to the Assignee became seized of the
said land by inheritance under Yoruba Customary law from their
predecessor who enjoyed undisturbed possession and exercised absolute
right of ownership over the said land.
e. The Assignee having approached the Assignor with the absolute desire to
purchase the Assignor interest in the aforementioned property. The
Assignor who is the legitimate owner and who fenced the said One Acre of
Land (6 Plots) with blocks and Iron Gate agreed to assign, sell, transfer,
convey and relinquish unto the Assignee all its legal and equitable interest
right of ownership over the said One Acre of Land (6 Plots).
f. The Assignor has agreed to the request of the Assignee to purchase the said
property at the rate of Thirty Seven Million Naira (#37,000,000.00)
under the terms and condition herein contained.
NOW THIS DEED WITNESSETH AS FOLLOWS:
In pursuance of the said agreement and in consideration of the sum of Thirty
Seven Million Naira (#37,000,000.00) paid by the Assignee to the Assignor,
the receipt of which the Assignors hereby acknowledges the Assignor as
beneficial owner hereby assign, grant and/or privileges previously exercised
on and which are incidental to ownership of all that One Acre of Land (6 Plots)
fenced round with Iron Gate lying and situate at Ijalebi Family Land, Arobieye
via Iyesi Ota at the back of Winners Chapel in Ado-Odo Ota Local Government
Area, Ogun State TO HOLD same unto the use and benefit of the Assignee of all
interest of the Assignor. After the payment of the agreed money, the Assignor
surrenders all the original document relating to the said property to the
Assignee.
THE ASSIGNOR AND THE ASSIGNEE HEREBY COVENANT AS FOLLOWS:
1. The Assignor with the object and intention of affording the Assignee full
and sufficient indemnity hereby covenant with the Assignee that the
property sold will be enjoyed by the Assignee and its descendants, heirs,
privies, legal and personal representatives, successors-in-title and
assigns without interruption or disturbance from the Assignor or from
persons claiming by, through or in trust for the Assignor.
2. The Assignor also covenant that the Assignee shall be protected from
and sufficiently indemnified and held harmless against any and all third
party actions or claims in respect of the Property.
3. The Assignor covenant that the said One Acre of Land (6 Plots) fenced
round with Iron Gate lying and situate at Ijalebi Family Land, Arobieye
via Iyesi Ota at the back of Winners Chapel in Ado-Odo Ota Local
Government Area, Ogun State is free from all charges, acquisitions, and
encumbrances and undertake to indemnify and keep the Assignee fully
indemnified against any loss, claims and expenses which the Assignee
may incur or sustain as a result of any want or defect in the title of the
Assignor or any claim in that respect.
4. The Assignor covenant that they shall deliver up vacant possession of
the said Property for the quiet enjoyment of the Assignee and also
covenant to release all the documents relating to the said property after
payment and signing by all the accredited representatives of the
Assignor.
5. The Assignor warrants that there is no pending obligation, nor
anticipate any such obligation, to any third party that may affect the title
sought to be obtained by the Assignee herein.
6. The Assignor also covenant to execute all the necessary documents and
use their best endeavor to assist the Assignee to obtain all necessary
consent or permits required to give full effect to this assignment of title
to the Property, a statutory right of occupancy and other documents
concerning the demised Property in accordance with the provisions of
the Land Use Act Cap L5, Laws of the Federation of Nigeria 2004 and the
amendments thereto.
7. The Assignor further covenant that they have the power and authority
to sell, transfer and assign the title in and over the Property and the
Property is free of all charges and encumbrance whatsoever.
8. The Assignee hereby covenant that it will comply with all statutes, rules
and orders regulating the use of the Property as shall from time to time
be enacted or prescribed by any competent authority and to pay all
levies.
9. The Assignee hereby undertakes to perfect its title to the property
herein assigned and to bear the costs and expenses incidental thereto.
IN WITNESS WHEREOF the parties to this agreement have hereunto set their
hands and seals the day and year first above written.
