DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

THIS DEED OF CONDITIONAL SALE made by and between:

SHALLIE P. ESPIRITU, of legal age, Filipino, Married and


with business address at unit 302-303 PMHA Bldg. V-Luna road cor.
East Ave. Brgy. Pinyahan, Quezon City, herein referred to as the
VENDOR;

And

LIFTHIGH DEVELOPMENT CORPORATION, ), a corporation duly


organized and existing under the laws of the Philippines
represented by _____________________ and with office address at
Palihan, Hermosa, Bataan, herein referred to us the VENDE;

WITNESSETH:

WHEREAS the VENDOR is the absolute and registered owner of a


certain parcel of land located at Barangay Batangas II, Mariveles, Bataan, under
APPROVED PLAN No. Psd-030606-050984(AR) with an area of THREE
HUNDRED EIGHTY THOUSAND NINE HUNDRED SEVENTY TWO ( 380,972 )
SQUARE METERS more or less.

WHEREAS, BUYER has offered to purchase from the SELLER and


SELLER is willing to sell to the BUYER the above mentioned
property for the price of TWO THOUSAND ONE HUNDRED FIFTY
( Php 2,150.00 ) PESOS per square meter with the condition of the
SELLER WILL SHOULDER THE Titling and taxes of the property and
other payments related hereunto.

NOW THEREFORE, for any consideration of the total sum of


NINE HUNDRED FIFTY TWO MILLION FOUR HUNDRED THIRTY THOUSAND ( Php
952,430,000.00 ) PHILIPPINE CURRENCY, and of the covenants herein
after set forth the SELLER agrees to sell and the BUYER agree to
buy the aforesaid parcel of land subject to the following terms
and condition:

1. The amount of ___________________( Php _____________) as


part of the down payment payable to the seller .

2. The buyer will pay the amount of ________________________


( Php ___________ ) for the processing of titling and
taxes of the property to the name of the BUYER payable thru
to the seller upon signing of this conditional sale to
settle the delinquent account of Realty tax and secure
Certificate of Full payment as an evidenced and part of the
purchase price.

3. The remaining balance of purchase price amounting to


__________________________________ ( Php _______________ )
shall be paid by the BUYER to the SELLER after completion of
the documents and titling to the BUYER’S name within the
period of _____________________ ( ________.) form the
signing of this Contract to Sell and which processing or the
titling of the said parcel of land in the name of the BUYER
shall be attended by the Buyer to be sure that the said
processing of said title will be properly and legally done.

4. All expenses such as capital Gain Tax, Documentary


Stamps, Registration Fees, Commission for Brokers/Agent fee,
payment for issuance of Real Property Tax and Notarial
Fees shall be paid by the SELLER. Also that the processing
of the such titling and issuance of the Real Property Taxes
in the name of the BUYER shall be attended by the said
buyer.

That the transaction is entered into between the parties in


good faith, and in no way executed to prejudice or defraud third
person or entity.

THAT, I, as VENDEE to the property inspected the same


subject of this DEED, and I am fully satisfied with its present
conditions.

IN WITNESS THEREOF, we have hereunder affixed my hands this
