Subject: Employment Agreement

Dear Ms. Akhila Gangapuram

Congratulations!

We are pleased to make an offer to you to join Blueprint Technologies Pvt Ltd. In Kronos as
Consultant–B3, L1. Your total cost to the company will be INR 13,50,000 (INR Thirteen Lakh
Fifty Thousand Only).

Your Base location would be Bangalore.


Your Joining date would be 13th May 2024

Please refer to:

• Annexure 1 for Remuneration details


• Annexure 2 for documentation to be submitted by you.
• Your employment with the Company will be governed by the listed Terms of
Employment. You are required to carefully read and understand these Terms of
Employment as part of accepting this Offer.
• As further detailed in the Terms of Employment, this Offer and your employment
with the Company is subject to satisfactory completion of verification and/or
background or reference checks, which may occur at any time prior to or after the
effective start date of your employment.

ACCEPTANCE AND COMMENCEMENT


Based on discussions so far, you have confirmed that you will be able to join the Company with
acceptance of this offer and Terms of Employment with Blueprint Technologies Pvt Ltd within
07 days (seven days) from the date of this letter, post which If we do not receive your response
before the expiration of 07 days (seven days), terms of this Offer of employment will be
deemed to have been rejected by you, unless otherwise communicated to you by the Company in
writing. Further, at the time of joining you are required to provide all documentation identified
in Annexure 2 along with the signed copy of this offer letter and Terms of Employment.
NATURE OF EMPLOYMENT
This offer is made on the clear understanding that your employment is on a full-time basis and
that you will not undertake any other part-time/full-time work, without the consent of the
company. Also, this employment is of a continuous nature and does not entail any
compensation for any overtime worked by you.

TRANSFER
You could be transferred to any of the other offices/branches/subsidiaries/affiliates either
domestic or abroad should the need arise. You will abide by the company's rules and
regulations as may be in effect from time to time with respect to your function, grade, or
location where you work in.

RETIREMENT
The service in the firm is valid till the date of retirement (last day of the month of your sixtieth
birthday). For this purpose, the date of birth as declared in the application form will be treated
as final.

CODE OF CONDUCT
Blueprint Technologies Pvt. Ltd. has a Code of Conduct, confidentiality and non-compete
agreements primarily to address working standards and business interests. You will be
required to sign your acceptance and adhere to these norms once you join the company.

DUTIES & OBLIGATION


The Employee shall fulfil and perform the Employee’s duties and responsibilities. The
Employee shall not cause any undue delay in performing the Employee’s roles and
responsibilities under this Agreement and shall conform to the timelines stipulated by the
Company.

REMUNERATION & TAXES


In consideration of the roles and responsibilities duly performed hereunder or as required by
the Company from time to time, the Company agrees to pay the Employee the salary amount
per annum specified herein Annexure A which may be revised with the consent of both
Parties, subject to any withholdings or taxes or deductions required by law and/or authorized
by the Employee.
Payment Terms - The base salary of the Employee shall be payable in monthly instalments as
per the payroll cycle of the Company. Unless otherwise specified in any employee policy or
regulation of the Company, the base salary instalment for each month of the Term shall be paid
on or before the last working day of the month.

Taxes will be deducted at source by the Company in accordance with the applicable laws Indian
including the Income Tax Act, 1961
CONFIDENTIAL INFORMATION
The Employee shall not, either during the Term or at any time, thereafter, disclose or
communicate any Confidential Information of the Company to any Person, for the Employee’s
own benefit or the benefit of any third party, without the Company’s prior written consent. The
Employee shall maintain proper and secure custody of the Confidential Information to which the
Employee is privy and use the Employee’s best endeavors to prevent the use or disclosure of the
confidential Information by or to third parties.

TERMINATION/ EXIT
Termination by the Company
I. At Will – Company shall be entitled to terminate, without assigning any reasons, this
Agreement by providing written notice of termination of three (3) months (“Company Notice
Period”). The Company may, at its option, terminate Employee’s employment with
immediate effect, upon giving Employee salary in lieu of notice or pro-rated salary for the
balance Company Notice Period in case Employee has been permitted to work during the
Company Notice Period.
II. For Cause - In addition to the right granted hereinabove, the Company may also terminate
this Agreement for Cause with immediate effect, without providing any notice or
compensation in lieu of notice, without prejudice to its lawful rights and remedies if the
Employee is in breach of any of the obligations under this Agreement, or terms contained
herein or related thereto. For the purposes of this Agreement, “Cause” shall mean:
• Involvement in any undesirable or illegal activity.
• Failure to perform the Employee’s roles, responsibilities as well as related duties in a
competent manner and as stated in this Agreement.
• Repeated failure to comply with reasonable instructions issued by the Company.
• Physical or mental inability of the Employee to perform the Employee’s roles,
responsibilities as well as related duties.
• Inaccurate, incorrect, or false representations and warranties made by the Employee.
• Acceptance of an offer for future employment or consulting with a competitor.
• Failure to comply with directives from the Board or Company policies.
• Commission of any act or acts that harm/may harm the Company's reputation, standing,
or credibility within the community(ies) in which it operates or with its customers,
service providers, suppliers, or distributors.
• Conviction for any criminal offence.
• Altering, falsifying, tampering with Company records, products or, unnecessary, or
unauthorized use of Company property and supplies.
• Failure to observe the obligations contained in this Agreement.
• Violation of any policy framed by the Company that is applicable to the Employee.
• Willful dishonesty, fraud, disobedience, disorderly behavior, negligence, indiscipline,
violation of safety and security regulations or deliberate material injury with respect to
the Company.
Termination by the Employee
I. At Will – The Employee may terminate this Agreement at-will by giving the
Company notice in writing of termination not less than three (3) months prior to the
effective date of such termination (“Employee Notice Period”). The Company may
at its own discretion waive or reduce the Employee Notice Period required under
this clause. If the Company in its discretion waives or reduces the Employee Notice
Period in the manner set out hereinabove, the Company shall not be required to
make any payments to the Employee for such part of the Employee Notice Period
that has been waived or reduced. Termination of this Agreement by Employee shall
be subject to the satisfactory completion of all the Employee’s existing duties and
obligations within the Employee Notice Period.
II. For Cause - In addition to the right granted hereinabove, the Employee may also
terminate this Agreement with immediate effect, without providing any notice,
without prejudice to the Employee’s lawful rights and remedies in the event that the
Company materially breaches any of the obligations under this Agreement and does
not remedy such breach within thirty (30) days of receiving written notice from the
Employee to remedy such breach, or terms contained herein or related thereto or the
representations and warranties made by the Company should prove to be inaccurate,
incorrect or false in any respect, whether through inadvertence or willful
misrepresentation by the Company.
Either party may terminate the appointment by giving the other party 3 months’ notice in
writing; however, the management may or may not use the entire time of the allotted notice
period and may relieve the employee. Therefore, the notice period depends on the business
needs.

An employee cannot join our OEM directly (SAP / UKG and its associates / affiliates) for up
Toon year from date of resignation and if any cases of violation are known, they must pay a
penalty of 2 lakhs and Full and Final Settlement would be on hold and legal action will be
taken ahead.

THE COMPANY’S PROPERTY - EMPLOYEE’S DUTY TO RETURN


Any and all the Company’s Property acquired by or in the possession of an Employee under this
Agreement shall be returned to the Company immediately upon termination/expiry of this Agreement.
It is further agreed and understood that until such time as all the Company’s.
Property is returned, the Company shall, in addition to initiating legal proceedings for recovery
(and without prejudice to any other rights or remedies that the Company may have under law or
equity), be entitled to deduct the full value of the said property/properties calculated at its then
replacement price from the salary, emoluments or other dues payable to Employee.

Employee recognizes and agrees that the Company shall be entitled to recover from Employee and
Employee shall be bound and liable to make good to the Company any loss suffered by the Company
on account of misuse of the Company’s Property by Employee and/or any damage occasioned to the
Company’s Property whilst in the custody of or entrusted to Employee which can be attributed to
willful default or gross negligence on part of Employee.
BACKGROUND CHECK & REFERENCES
Blueprint Technologies Pvt. Ltd. will be conducting background and reference checks on your
employment details. You’re joining us is contingent upon our obtaining a satisfactory report on
the background check relating to employment, experiences, education, etc. In the event said
particulars are found to be incorrect or that you have concluded or withheld some other relevant
facts, your appointment with the Company shall stand terminated / cancelled without any notice.

LEAVES
You will be entitled to avail leave as per company policy.
In the event of your absence from work for more than seven days without written permission
from your manager, it would be assumed that you have voluntarily abandoned the services of
the organization and your services with the organization would stand severed.

WORKING HOURS / HOLIDAYS


Your working hours and holidays are as per company standards. You are entitled to Public
Holidays as per company policy.

NON-SOLICITATION CLAUSE
In order to protect the Company’s legitimate business interests, including its interests in the
Proprietary Information, its substantial and near permanent relationships with Clients, and its
Client goodwill, you shall not, as an employee, consultant, or in any other capacity either directly
or through others, and either for your benefit or for the benefit of a third party, during the
employment with the Company, and continuing for six (06) months after the date of employment
with the Company ends for any reason.

VALIDITY OFEMPLOYMENT LETTER


This offer letter is valid for a period of seven days from the date of issue. You are requested to send
a reply mail as a token of your acceptance of the terms and conditions detailed above. Original
offerwill be issued at the time of joining the Organization.
