The Loan shall be utilized towards Construction and Development of the

Collection Escrow Account”) with designated bank of Lender for depositing
the Scheduled Receivables of the Project. The Master Collection Escrow
Account shall be maintained and operated by the Borrower during the entire
tenure of the Loan and shall not be closed without the prior written approval
of the Lender. All costs, charges and expenses in connection with the Master
Collection Escrow Account shall be borne by the Borrower. The Borrower
shall enter into agreement with the said Bank and such agreement shall be in
form and manner acceptable to Lender. The Borrower shall ensure that the

other account.
Lender Escrow Account would carry standing instructions to transfer below
mentioned % of funds to HFCL Collection Account which will be appropriated
towards outstanding principal of Borrower’s Loan account without any
prepayment charges:
e 10% on first collection of INR 12.00 crore in the Lender Escrow
Account (from the date of first disbursal);
e 20% on next collection of INR 60.00 crore in the Lender Escrow

e 35% on next collection of INR 70.00 crore in the Lender Escrow
Account;

Remaining amount will be transferred to Current Account of the Borrower,
opened with the same bank, preferably. This will be the primary current
account from where interest repayments will be collected by the Lender and
the Borrower can use rest of the funds in this account for all project related
expenses etc.
HFCL will have the exclusive right to increase its share of collections as per
the standing instruction, in case HFCL is not satisfied with the progress of the
Project, delay in loan repayment, non-achievement of disbursement
milestones etc.
Fixed Deposit of 3 month’s interest on proportionate disbursed amount will

State including all the structures thereon both present & future of
developer's share. We may go for RMODT or whatever is suggest by HFCL's
empaneled lawyer; (Final address and land extent will be considered as per
legal report).

advertisements in newspapers/magazines, pamphlets, brochures, e-

agreements that HFCL has financed the Project and Property / Project are

4. The Borrower shall ensure that the buildings and structures comprised in
the Project adhere to the National Disaster Management Authority
(NDMA) guidelines on ‘Ensuring Disaster Resilient Construction of
Buildings and Infrastructure’ and shall continue to be in adherence to the
said guidelines at all times
5. The Project sale agreements/demand letters with the customers would
incorporate a condition that the booking money/payments need to be
made in favor of the escrow account opened by the Borrower with
designated bank of the Lender

6. Borrower shall obtain a NoObjection Certificate (NOC) from the Lender |


before entering into arrangement or agreement with the prospective
buyers for sale of units in Project
7. Borrower shall first pass the lead / enquiries to HFCL for all home loan
requirements for customers purchasing flats in the Project
8. Additional Interest @ 2.00% p.a. shall be charged on the amount not
routed through designated escrow account at the sole discretion of
Lender, if Borrower defaults in routing 100% of the Scheduled

Receivables from the Project through Escrow Account and/or does not
request for NOC from Lender before registration of units in favor of
prospective buyers for sale of units in Project
9. The Lender shall have a right to appoint legal, tax, financial, technical and
other consultants, and valuer for the review of the Project and any
charges in respect thereof shall be borne by the Borrower
10. The Borrower shall submit monthly reports (in the form and manner
desired by the Lender) in respect of sale, unsold inventory of the Project
and collection of payment of the units in the Project
11. The Borrower will not change its constitution without prior permission of
Lender till the entire Loan is repaid
12. Borrower shall not raise additional debt on the Property/ Projects, till the
closure of the Loan, without prior permission of Lender
13. The Borrower shall allow adequate space in the Project site for HFCL /
Hero Housing Finance Limited representative to help service the
customers who are looking to take the home loan
14. The Borrower shall submit to the Lender yearly audited financial
statements within a period of 270 days from the end of respective
financial year
15. All existing and future loans and advances in the books of Borrower,
obtained from any of its shareholders, directors, family members of the

promoters and any other unsecured indebtedness of the Borrower shall


be subordinate and subservient to the Loan
16. In the event of inability of Borrower to complete the Project as per

agreed schedule, the Lender, at its discretion, will have a right to


substitute the Borrower with any other developer and in this regard shall
have a right to appoint Lender’s Independent Engineer, Project
Management Consultant, etc. in order to achieve completion of the
Project
17. In the event of sale of properties of the Borrower / the Project, without
being developed, Lender shall have an exclusive right to adjust the
proceeds from such sale against the Outstanding Amount
18. The Borrower shall obtain prior written consent of the Lender before
availing any other financial assistance w.r.t “Project” (both funded or
non-funded and secured or unsecured) from any other person including
any bank, NBFCs or any other financial institutions
19. In the Event of Default by the Borrower, in addition to other rights and

remedies available to the Lender under law, contract or otherwise, the

Units or area under the Project to any party/customers at a price of |


Rs.3250 per sq. ft. (minimum 35% discounted rate) of fair market value,
whichever is less, per sq. ft’. The decision of the Lender in this regard
(including determination of the value of such sale transactions) shall be
final and binding on the Borrower
20. The Borrower shall submit copies of revised approved plans of the
Project within a period of 30 days from the date of change in plans, if
any. In case the value of Property / Project secured to the Lender falls
below the requisite value / receivables, the Lender reserves the right to
decrease the Loan amount and modify the disbursement schedule
accordingly
21. In case bounce is >= 3 times within first year of disbursement, HFCL
reserves the right to revise applicable ROl by up to 2%, at its sole

discretion, upon occurrence of any financial default. Such revised interest


rate shall be effective prospectively
22. Non-submission of Post Disbursal Documents by the Borrower beyond
permissible timelines shall attract additional Penal charges of Rs. 2500/
per document (One-time charge post document submission commitment
date)
23. Non-compliance of ESCROW Account will attract charges of Rs. 2500/~
per loan
24. Applicable charges such as ROC, CERSAI, 1U, etc. shall be collected from
the Customer as per prevailing Schedule of Charges at the time of
Disbursement
The Borrower shall provide an “End-use Certificate” from the Chartered
Accountant within a period of 90 days from the date of every draw down or
is earlier. The End-use

The sanction of the abovementioned Loan and all the terms and conditions mentioned in this Sanction Letter are subject to the exccution
of a Loan Agreement and other documents in writing (Facility Documents) as HFCL may specify in the preseribed formats,
This Sanction Letter intends to summarize certain basic terms of the Loan and the Facility Documents and docs not reflect an agreement
between HECL and the Borrower in relation 1o the Loan.
The Facility Documents shall contain additional terms and conditions which have not be: out in this Sanction Letter and the ility
Documents shall be read together with the terms and conditions specified in this nction Letter.
Al the Charges including legal, incidental expenses, valuation, inspection, legal scarch, CERSAI, ROC charges, insurance expenses, stamp
duty, Taxes and out of pocket expenses in connection with the proposed Loan shall be borne by the Borrower. HFCL reserves the right o
file ROC charge with MCA, if not done within 30 (thirty) days from the date of the execution of Loan Agreement.
Notwithstanding anything contained in this Sanction Letter or otherwise, the sanction of the Loan mentioned overleafs at the sole d etion
of HFCL and the terms and conditions in relation to the Loan are subject to modification d 7 or cancellation and / or repayment to HFCL,
at the sole discretion of HFCL, on demand without assigning any reasons for the same.
The Sanction of the Loan is subject to the Borrower having provided all such information and documents to HFCL as set may be required
by HFCL from time to time or as may be required under the Facility Documents.
HFCL, at its sole discretion, shall be entitled to revoke this sanction upon occurrence of any of the following events:
7.1 There is any material change in the purpase(s) for which the Loan has been sanctioned.
7.2 In the sole judgment of HFCL, any material facts have been concealed and / or hecome subsequently known,

74 There is a default or a breach of the terms and conditions of this Sanction Letter, the Facility Documents or any other loan / facility
offered by HFCL or its group company (o the Borrower or any of the Co- Borrowers.
7.5 The legal / technical / valuation report is not satisfactory to HFCL.
7.6 Failure to create or perfect the Sccurity in accordance with the terms of the Sanction Letter or the Facility Documents
77 Ifthere is any winding up, bankruptey or insolvency proceeding against the Rorrower.
7.8 Any material fact concerning the Borrower’s profits, etc. or ability to repay, or any other relevant aspect ofit is withheld, suppressed,
or concealed or not made known 10 the Lender.
79 Any Information as may be required by the Lender from Borrower, time (o time, pertaining to the Property is not fumnished in the form
prescribed / approved by the Lender over a period of 30 (thirty) days.
7.10 Relevant documents are not executed by the Borrower as per the HFCL’s policy and format.
HFCL reserves the right, at its solc discretion and without assigning any reason and with such notice as HFCL may deem reasonable to the
borrower, to modify, vary, delete or add to the terms and conditions, or to terminate the said Loan and Facility Documents, at any time, and
{0 recall any or all of the amounts due under the said facilities. All amounts duc in respect of the said Loan shall become payable forthwith
on such demand.
This Sanction Letter is subject to due diligence, completion of comprehensive legal, financial, technical and other due diligence (of the
Borrower and the Co-Borrowers) o the satisfaction of Lender. The Borrower shall make available all necessary and material information
and extend full coaperation to lawyers and other advisors of borrowers for undertaking the due diligence
HFCL adopts interest rate/ pricing methodology based on various risks associated with the type of Loan, cost of funds, tenor of the loan,
type & value of Security, Loan amount etc. Further, HFCL periodically reviews the rate of interest and product features offered by it with
those offered by its competitors. For a Borrower, an additional risk premium may be included in the pricing based on the credit risk
associated with the Borrower which is a function of the Borrower’s credit history, credit information, internal rating along with other factors

All the facilities anctioned to the Borrower shall be subject to HFCL's rules as well as the directives issued by Reserve Bank of India,
from time to time.
TDS Deduction — Gross Interest would be paid on the Loan to HFCL. Borrower shall provide a TDS certificate on a quarterly basis to
HFCL and only upon receipt of such TDS certificate shall HFCL be required to refund any TDS amounts to the Borrower within 3 (three)
Business Days. In the event the Borrower is paying the net amount, an undertaking, 1o the effect that the Borrower will provide TDS
certificates to HFCL on a quarterly ba all be provided by the Borrower. However, in event a TDS certificate not been provided within
agreed time frame of 3 (three) months, HFCL reserves the right to debit the amount to Borrower’s Loan account and same shall stand as.

This Sanction Letter s subject to due diligence. completion of comprehensive legal, financial, technical and other due diligence (of the
borrower and the guarantors) to the satisfaction of Lender. The Borrower shall make available all necessary and material information and
extend full cooperation to lawyers and other advisors of borrowers for undertaking the due diligence.
HFCL may at its sole discretion disclose information regarding the Loan, Facility Documents or the Borrower, its Guarantors eic. to any
Person including government authority, RBI, CIBIL or any third party etc.
Notwithstanding the issuance of this Sanction Letter and the acceptance thereof, HFCL may decide to not disburse the Loan, repudiate and
rescind this Sanction Letter unilaterally without assigning any reasons
This Sanction Letter is confidential and the property of HECL and neither this document nor the contents hereof shall be communicated to
or used without the HFCL's prior written consent.
“This sanction is available to the Borrower for the period specified in the letter (which period shall not exceed 30 (thirty) days from the date
of the Sanction Letter) provided the Borrower deposits with HFCL the processing fees mentioned overleaf along with a copy on this
Sanction Letter accepted and delivered by the Borrower to HFCL.
29. This Sanction Letter shall be governed by the laws of India and the Borrower and the Lender shall be subject to the exclusive jurisdiction
of New Delhi. Notwithstanding the aforesaid, the Borrower acknowledges and agrees that HFCL may, however, in its absolute discretion
commence any legal action or proceedings arising out of this Sanction Letter and Loan Agreement against the Borrower in a court, tribunal
or any other appropriate forum situated in any part of India
