Hereinafter called as “PURCHASERS ” (which expression wherever it so
requires shall mean and include their heirs, executors, Partners,
administrators, legal representatives, successors, assigns, etc.,) of the
OTHER PART.
WITNESSETH AS FOLLOWS:-
WHEREAS, the Vendor is the absolute owner of the Property bearing Site
No. 26 (Old Site No. 45) Old PID No. 78-105-26, E-Aasthi PID No.
8621384095, situated at Vasanthnagar , Bangalore, measuring East to
West : 29 feet and North to South : 35 feet in all totally measuring 1015
Sq.ft., along with the building consisting of Ground Floor having built up
area of 650 Sq.ft , First Floor having built up area of 650 Sq.ft , totally
measuring built up area of 1300 Sq.ft with redoxide flooring in the layout
formed by the Bangalore Development Authority and the vendor has
acquired the property through a registered Sale Deed Vide Document No.
BDA-1-00780-2024-25 of Book – I, Dated: 18-06-2024, registered in the
Office of the Additional District Registrar, Bangalore Development
Authority, Bangalore, executed by the BDA. Which is morefully described
schedule hereunder and hereinafter called the Schedule Property.
Whereas, the Schedule Property was originally allotted to
Smt.Shakunthalamma, daughter of Late.S.Subramaniyam, wife of
Sri.G.P.Chinnaswamy by the City Improvement Trust Board (CITB) and the
City Improvement Trust Board (CITB) entered into a Sale agreement

registered on 20.06.1963 as document No.759/1963-64, Page 172 of Book
I, Volume 1878, in the office of the Sub-Registrar, Bangalore City North.
Subsequently, the City Improvement Trust Board (CITB) handed over
possession of the plot to the allottee on 30.01.1964/26.02.1964 vide PR
No.39/1963-64.
Whereas, Smt.Shakunthalamma, daughter of Late.S.Subramaniyam, wife
of Sri.G.P.Chinnaswamy, filed an application dated 26.01.1967 to the
Chairman, City Improvement Trust Board (CITB) requesting to transfer the
Schedule Property in the name of Sri. T.Muniramaiah, son of
Late.Thimmaiya.
Whereas, the Chairman, City Improvement Trust Board (CITB) permitted
the transfer of the Schedule Property on 20.02.1967 vide letter bearing
no. 45/V.N/66-67 in the name of Sri. T.Muniramnaiah, son of
Late.Thimmaiya.
Whereas, City Improvement Trust Board (CITE) represented by its
Chairman entered into a Sale agreement with Sri. T.Muniramaiah, son of
Late.Thimmaiya with respect to the Schedule Property registered on
01.03.1967, as document No. 3739/66-67 of Book I, Volume 2065, Page
177, in the office of the Sub Registrar, Head Quarters, Bangalore,
Gandhinagar.
Whereas later the Corporation of the City of Bangalore issued a Special
Notice, dated: 28.07.1967 in favour of Sri. T. Muniramaiah S/o Late.
Thimmaiya where the schedule has been assessed for tax and subsequent
registering Katha in the name of Sri. T. Muniramaiah S/o Late. Thimmaiya
in its records in respect of above said property.
Subsequently the owner Sri. T. Muniramaiah S/o Late. Thimmaiya obtained
the Building Plan bearing LPF & N.E. No. 585/71-72, dated: 09.07.1971
issued by the Office of the Corporation City Bangalore and constructed the
residential Building.

Whereas, Sri. T.Muniramaiah, son of Late.Thimmaiya executed a
settlement deed dated 07.06.1972 in favour of his son
Sri.Munivenkatappa, son of Sri. T.Muniramaiah with respect to the
Schedule Property, registered on 28.06.1972, as document No. 1177/72
73 at pages 238 to 240, Volume 2366 of Book I, in the office of the Sub
Registrar, Head Quarters, Bangalore, Gandhinagar.
Whereas the Assistant Revenue Officer, the Corporation of City of
Bangalore had transferred the Katha of the Schedule Property in the name
of Sri. M. Munivenkatappa S/o T. Muniramaiah in its register vide an
Endorsement, dated: 20.03.1974 issued in favour of above said Sri. M.
Munivenkatappa S/o T. Muniramaiah.
Pursuant to the acquisition in the manner aforesaid, Sri. M.
Munivenkatappa S/o T. Muniramaiah became the absolute owner of the
Schedule Property and was in peaceful possession and enjoyment over
the same.
Whereas, Sri.M.Munivenkattappa died on 25.02.1994 leaving behind him,
his legal heirs namely Smt.N.Shanthamma (wife) and children
Smt.M.Yeshodha, Smt.M.Shashikala, Sri.M.Purushotham, Smt.M.Savitha
and Sri.Srinath.M to succeed his intestate estate.
Whereas, Sri.M.Purushotham & Sri.Srinath.M, sons of
Late.Munivenkatappa entered into a Partition deed dated 07.05.2003, with
respect to the Schedule Property along with various other lands,
registered as document No. 550/2003 04, stored in CD No. G.NS.R 26 of
Book I, in the office of the Sub-Registrar, Gandhinagar,
Smt.N.Shanthammna, wife of Late.Munivenkatappa, Smt.M.Yeshodha, &
Smt.M.Shashikala, daughters of Late. Munivenkatappa has signed as
consenting witness, whereas in this aforesaid Partition, the Schedule
Property was allotted to Sri. Srinath.M, son of Late. Murnivenkatappa (the
Vendor herein).

Whereas, Smt.M.Savitha, daughter of Late. Munivenkatappa, executed a
confirmation deed on 03.10.2007 registered as document No. GAN-1-
02579 2007-08, stored in CD No. GAND95 of Book I, in the office of the
Sub-Registrar, Gandhinagar confirming the aforementioned Partition deed
dated 07.05.2003.
Subsequently the Office of the Assistant Revenue Officer South Zone,
Malleshwaram, BBMP, Bangalore has issued Katha Certificate, bearing No.
BMP/REV/2019-20/KC/1414317 and Katha Extract bearing No.
BMP/REV/2019-20/KE/1543185, both even dated: 12.02.2020 with PID
No.78-105-26 in the name of Sri. Srinath. M S/o Late. Munivenkatappa in
respect of the Schedule Property.
Whereas, to transfer the proper title, ownership over the Schedule
Property from the Bangalore Development Authority (BDA) [earlier known
as City Improvement Trust Board (CITB)] Sri. Srinath.M, son of Late.
Munivenkatappa (the Vendor herein) filed an application dated 01.02.2023
to the Bangalore Development Authority (BDA) to transfer the Schedule
Property in his name.
Pursuant thereof the Bangalore Development Authority (BDA) based on
the order passed by Assistant Commissioner dated 14.06.2024 conveyed
the Schedule Property in favour of the Vendor herein vide Sale deed dated
18.06.2024, registered as document No.BDA-1-00780-2024-25, of Book I,
in the office of the Additional District Registrar, Bangalore Development
Authority.
Subsequently, Sri. Srinath.M S/o Late. Munivenkatappa applied for issue of
E Khata to BBMP vide Acknowledged no. ePID 8621384095 (Khatha
Request No. K-1063101) on 20.11.2024.
Subsequently, the Bruhat Bangalore Mahanagara Palike (BBMP) issued a
Form A Rule 11 Katha with respect to the Schedule Property in the name
of Sri.Srinath.M, son of Late.Munivenkatappa (the Vendor herein) dated
29.11.2024 vide EPID No.8621384095.

Whereas the Khatha of the schedule property stands in the name of the
vendor herein in the records of the concerned revenue office and the
vendor has been paying taxes thereof regularly to the said office and till
this date the VENDOR is herein in peaceful possession and enjoyment of
the same and it is free from all encumbrances.
Whereas the VENDOR for want of money for his domestic and other legal
necessities has offered and agreed to sell the Schedule Property to the
PURCHASERS for a valuable consideration of the sum of Rs.1,70,00,000/-
(Rupees One Crore Seventy Lakh Only) and it is free from all kinds of
encumbrances and the PURCHASERS have accepted the offer of the
VENDOR and agreed to purchase the Schedule Property for the said sale
consideration.
NOW THIS DEED OF ABSOLUTE SALE WITNESSETH THAT in
pursuance of the above and in consideration of the sum of
Rs.1,70,00,000/- (Rupees One Crore Seventy Lakh Only) as follows:-
a) A sum of Rs 18,10,260/- (Rupees Eighteen lakhs Ten
Thousand Two Hundred and Sixty Only) through BANKERS
CHEQUE bearing No. 677150 dated 03.04.2025 drawn on the
State Bank of India, Bengaluru, RACPC MALLESHWARAM
Branch, in favour of the Vendor.
b) A sum of Rs 1,50,00,000/- (Rupees One Crore and Fifty
lakhs Only) through BANKERS CHEQUE bearing No. 677176,
dated 31.03.2025 drawn on the State Bank of India, Bengaluru,
RACPC MALLESHWARAM Branch, in favour of the Vendor.
c) A sum of Rs.1,89,380/- (Rupees One Lakh Eighty Nine
Thousand Three Hundred and Eighty Only) which is 1% of
the Registration value and is deducted towards the Tax

deduction at Source (TDS) and the same is remitted by the
purchaser vide CIN No. : _______________, Dated: _________, to
the Income Tax Department and is part and parcel of the sale
consideration amount.
Being the full sale consideration of the Schedule Property paid by the
PURCHASERS to the VENDOR before the witnesses. The receipt of which
sum the VENDOR hereby acknowledges, admits and confirms the full and
final settlement, the VENDOR does hereby convey, transfer, sell and
assign all that piece and parcel of the Schedule Property unto and to the
use of the PURCHASERS with all estate, right, title, interest, claim, share,
demand etc., of the VENDOR into or upon the same to have, to hold and
to enjoy the same by the PURCHASERS absolutely and forever.
THE VENDOR COVENANTS THAT:
1. That the VENDOR do hereby sell, transfer, convey, make over,
assign, grant unto and delivered actual possession of all that piece
and parcel of the Schedule Property together with all liberties,
rights, title and interest, Property claim, easementary rights,
privileges of whatsoever kind and from whomsoever appurtenant
thereto or belonging to the Schedule Property unto the
PURCHASERS to hold, to occupy and to possess and enjoy the
Schedule Property peacefully forever as their own absolute
properties, free from all encumbrances, claims, clogs, charges,
demands, lispendence, gift tax, wealth tax, capital gain tax and
interruptions of whatever kind and from whomsoever by or through
under any person claiming equitably or in trust for the VENDOR.
2. Whereas the title of the schedule Property is good,
marketable and subsisting and that none else has any right,
title interest, claim or share therein the SCHEDULE
PROEPRTY.

3. That the VENDOR assures the PURCHASERS that the Schedule
Property is free from lien, charge, court attachments, minor claims,
maintenance claims, family rights, mortgages, etc., and in future if
any disputes or litigations arises to set right the same by the
VENDOR at their own cost and risk and further indemnifies the
PURCHASERS against all or any losses, damages, costs, charges,
etc., which the PURCHASERS may incur, sustain or legally
compelled to pay in consequence of any claim put forward by any
person/s over the Schedule Property or in the event of breach of
covenants herein by the VENDOR or for the reason of any arrears of
taxes or encumbrances or defect-in-title etc.
4. That the VENDOR has not raised any loans whatsoever from banks,
financial institutions or from any other private party on the strength
of the Schedule Property nor they offered the Schedule Property as
security or as a collateral security for repayment of any loans
whatsoever, that the VENDOR have not mortgaged the Schedule
Property nor they deposited all or any of the documents of title of
the Schedule Property with any person or third party whatsoever
and that the Schedule Property is free from all kinds of
encumbrances whatsoever.
5. That the VENDOR further assures to the PURCHASERS that the
Schedule Property is free from any kind of encumbrances, court
attachments, maintenance of minor’s rights, charges, etc., That the
VENDOR do hereby undertake to save the PURCHASERS against all
losses or damages that the PURCHASERS may sustain as a result of
any defect-in-title in respect of the Schedule Property, latent or
patent the PURCHASERS could not otherwise discover.
6. The VENDOR hereby covenants with the PURCHASERS that they
and all persons claiming under they shall hereafter and from time
to time at the cost and requested for the PURCHASERS to do and
execute or cause to be done executed all such further acts, deeds
and things and all other assurances as reasonably be required for

further and more perfectly assuring the Schedule Property and
confirming the title and placing the PURCHASERS in possession of
the same according to the true intent and meaning of this Deed;
7. That the VENDOR specifically assures to the PURCHASERS that on
the Schedule Property over which the VENDOR having an absolute
right of ownership and disposition with good, valid, subsisting and
unchallengeable, marketable right and title to the Schedule
Property and that none else has any right over the same. That the
VENDOR hereby declare that the Schedule Property is acquired by
VENDOR as above and they have every right to convey, transfer
and sell the Schedule Property and no member of their family has
any right, title or interest in or over the Schedule Property.
8. That the VENDOR hereby agrees to make good any future demands
or dues if any till the date of this Sale Deed from any authorities
and the VENDOR further agrees that they shall and will effectually
save harmless and keep indemnified the PURCHASERS against any
or all claims and from all evictions, abetments, decrees, distresses,
acts, leases, damages, charges, expenses whatsoever that may
result by reason of breach of any of the covenants contained
herein. That the VENDOR further assures to the PURCHASERS that
there are no valid charges, encumbrance, minor claims or court
attachments or any claims by whomsoever and the VENDOR
further guarantees to make good any loss that might be suffered
by the PURCHASERS up to this date.
9. That the VENDOR do hereby declare that the Schedule Property
does not come within the purview of any of the provisions of law
prohibiting alienation of immovable Property and in such an event
they holds themselves liable to reimburse to the PURCHASERS all
the expenses incurred or damages sustained including the
purchase money paid hereunder.

10. That the VENDOR assures to the PURCHASERS that the VENDOR
have paid all the taxes, rates, fee etc., to the concerned authorities
in respect of the Schedule Property up to date and the VENDOR
agrees to reimburse should there be any arrears. The VENDOR
has this day delivered all the Original Documents and
certified / attested copies of title / letters in respect of the
schedule Property, which are in his custody to the
PURCHASERS and the VENDOR as per the Sale Deed this day
transferred all the rights, title interest the VENDOR are having upon
Schedule Property and every part thereof to the PURCHASERS to
have and to hold the same for the use of the PURCHASERS
11. That the PURCHASERS are at liberty to enjoy the Schedule Property
as absolute owners thereof for all the time to come without any let
or hindrance from the VENDOR or any persons claiming under
them. That the VENDOR have this day handed over the
possession of the Schedule Property to the PURCHASERS by
virtue of this Sale Deed.
12. The PURCHASERS are at full liberty and shall have absolute right
and authority to get the transfer of khatha, BESCOM & BWSSB of
the said Property more particularly described in the schedule
herein underwritten into their names from the name of the
VENDOR. The PURCHASERS shall bear and pay out all further taxes,
cesses, etc., from the date of these presents to the concerned
authorities.
13. The PURCHASERS have paid the Stamp duty as per the market
valuation fixed by the Government of Karnataka and TDS is paid at
1% of the market valuation.
14. The Vendor covenants that his Wife and two children namely:
1) Mrs. VINUTHA, Aged about 46 years, W/o Srinath. M and
2) Mrs. KUSHI SRINATH, Aged about 27 years, D/o Srinath. M

consenting witness to this Absolute Sale Deed.

built up area of 1300 Sq.ft with redoxide flooring in the layout formed by
the Bangalore Development Authority.
