A.Safety: Buyer shall ensure that Seller’s personnel are not exposed to
unreasonable hazards on or in the vicinity of the worksite. Buyer shall be responsible
for initiating, maintaining, and supervising all safety precautions and programs in
connection with the worksites. Seller shall ensure that Seller’s personnel will comply
with the Buyer’s documented safety regulations provided to Seller while on the
worksite. Seller shall ensure that Seller’s personnel are provided with basic safety
training for the normal work environment. Site specific training shall be provided at the
Buyer’s expense.
B.Hazardous Locations: Seller reserves the right to refuse to dispatch personnel to
worksite threatened by warfare, terrorist activities, or other unsafe conditions as
determined by the Seller’s management. A variety of factors will be considered in
determining whatever a location is hazardous, including whether the country within
which the work has to be performed is under a “Travel Warning Status” as determined
by the U.S. Department of State. Seller reserves the right to recall personnel if the
worksite does not meet reasonable health and safety standards. Time spent in
hazardous locations will be billed at applicable hazardous location rates.
C.Drug Testing: Seller has a drug free workplace policy in effect. Drug testing of
Seller’s personnel is conducted on a random basis to assure compliance with the drug
free workplace policy.
D.Living Conditions: if meals and living accommodations are provided by the Buyer,
Seller reserves the right to recall the Seller’s personnel if the accommodations and
meals are not suitable for (as determined by Seller’s management). Seller reserves
the right to make alternate arrangements at the cost of the Buyer if other
accommodations are available.
E.Maximum time on Worksite: Seller reserves the right to replace personnel after
two weeks for offshore and three weeks for onshore locations at the Buyers expense.

F. Seller’s Personnel on Worksite: Seller reserves the right to determine the number
of Seller’s personnel required for implementation of a project. All costs for the Seller’s
personnel on worksite shall be paid by the Buyer.
G.Communication Access: Buyer shall provide at no cost to Seller unlimited access
to telephone, fax and data transmission lines to the Seller’s personnel on worksite for
communicating with the Seller’s office for purpose associated with the required work.

for goods from delivery or 18 months from shipment.

CCC’s sale of Honeywell products, services and software is expressly subject to

Any conflicting, additional, or different terms or conditions on SAL TECH
CORPORATION’s purchase orders or any other instrument, agreement, or
understanding are deemed to be material alterations and are rejected and not
binding upon CCC.

SAL TECH CORPORATION and CCC (each a “Party” and together the “Parties”)

Each Party and its Affiliates will comply with all laws and regulations applicable to
access and use of the Offerings. The Parties acknowledge that: (a) the other Party
does not provide legal advice regarding compliance with laws and regulations related
to use of the Offerings, and (b) the Offerings has functionality that could be used in
ways that do not comply with laws and regulations and Buyer is solely responsible,
and Honeywell has no liability, for Buyer’s compliance with law with respect to its use
of the Offerings. Each Party will comply with, and be solely responsible for compliance
with, all laws and regulations on export, import, economic sanctions and antiboycott,
regulated by the United States, any locality outside the United States where each
Party conducts business, and as applicable, the United Kingdom, the European Union
and its Member States, the United Nations (“Sanctions Laws”) related to Buyer’s
access to or use of the Offerings. Each Party represents and warrants that it or none
of its directors, employees, contractors, agents, banking partners, Affiliates or users
(a) are individuals or entities named on or acting on behalf of entities identified on
applicable Sanctions Laws restricted party lists, including but not limited to, the U.S.
Specially Designated Nationals and Blocked Persons List and the OFAC Sectoral
Sanctions Identifications List; (b) organized under the laws of, physically located in, or
ordinarily resident jurisdictions subject to comprehensive sanctions; or (c) are owned
or controlled, directly or indirectly, 50% or more in the aggregate, by one or more
individuals described in (a) or (b) (collectively, “Sanctioned Persons”). Neither Party
nor its Affiliates will (i) permit Sanctioned Persons to directly or indirectly use, access
or benefit from the Offerings, (ii) engage in or facilitate activities directly or indirectly
related to any end-uses that are restricted by Sanctions Laws, or (iii) export, re-export
or otherwise transfer the Offerings for any purpose prohibited by the Sanctions Laws.
The Parties will not submit to the Offering any data subject to the U.S. International
Traffic in Arms Regulations or other Sanctions Laws. A Party’s violation of this Section
will be a material breach.

Each Party shall comply with all applicable anti-bribery laws and regulations including
but not limited to the United States Foreign Corrupt Practices Act (“FCPA”) and the
United Kingdom Bribery Act of 2010. The Parties represent and warrant that they are
currently in compliance with anti-corruption and anti-bribery laws and will remain so
and that they will not authorize, offer or make payments, directly or indirectly, to any
government authority that may result in a breach of FCPA or established restrictions or
prohibitions. Buyer agrees to maintain accurate books and records to demonstrate
compliance with the compliance requirements of this section. Honeywell, at its
expense, may audit Buyer to determine compliance with such provisions upon no less
than thirty (30) days’ advance written notice, and Buyer will provide reasonable
assistance to Honeywell to complete such audit. Buyer’s failure to comply with this
provision will be deemed a material breach of the Agreement. Buyer will not submit to
the Offerings any data subject to the Sanctions Laws.

Honeywell will obtain the export license when Honeywell is the exporter of record.
Buyer must obtain at its sole cost and expense all necessary import authorizations and
any subsequent export or re-export license, or other approval required for the
Offerings purchased, delivered, licensed or received from Honeywell. The Parties
agree that technical information or technology (i.e., export-controlled information)
subject to the Sanctions Laws shall not be disclosed, transferred or exported, including
to any affiliate, foreign national employee, supplier, or sub-tier supplier, regardless of
location, without valid export authorization or other written government approval.

Each Party will notify the other Party immediately in writing of actual or reasonably
suspected violations of this section. Honeywell may suspend or terminate the
Agreement or any Purchase Order (or part thereof) or take other actions reasonably
necessary to ensure full compliance with all laws including the Sanctions Laws without
Honeywell incurring any liability.
