Mergers & Acquisitions / Restructuring – IT
At Deloitte’s USI Mergers & Acquisitions and Restructuring (M&A/R) team, we are looking for
Consultants and Senior Consultants for our M&A/R IT practice. The M&A/R IT is a market offering that
provides services across all facets of M&A lifecycle – Integration, Separation, Due Diligence, Transition
Services Agreements, Contracts Management and Day 1 / Day 2 Transformation for IT organizations
of our clients. Team coordination and strategic thinking are critical skillsets for our M&A/R IT team.
Work you will do:
1. Develop client deliverables and documentation:
• Identify and select the most relevant set of tools/techniques to meet client requirements
such as business case development, financial modeling, and analysis, etc.
• Analyze and interpret project data, draw conclusions, and develop recommendations based
on the result of the specific analysis.
• Use analytics to build strategic insights for the client.
• Develop executive level summary and report outs.
• Define and implement project standards, methodologies, support in program management
initiatives (as part of PMO) and execute process improvement initiatives.
2. Engage in client interaction:
• Conduct client interviews to verify and validate assumptions, hypothesis, and analysis.
• Participate in workshops and training sessions.
• Synthesize and present insights, recommendations to client stakeholders.
• Develop and maintain working relationships with client counterparts.
3. Participate in engagement management including:
• Own and manage specific work threads.
• Develop plans for components of engagements.
• Coordinate activities between different work threads.
• Identify and help manage changes in scope.
• Coordinate with team members based out of multiple geographies/time zones.
• Manage and mentor junior resources.

M&A/R IT Consultants / Senior Consultants are expected to advise clients, serve as subject matter
experts, execute projects, and have strong outcome orientation. The candidate should have
experience in delivering Technology/IT consulting projects. M&A experience is desired but not
mandatory. An ideal candidate should have the following experience and skill set:
• Mergers & Acquisitions: Guide clients on key concepts and strategies for M&A
engagements, including but not limited to Due diligence, Day 1/Day 2 planning, business
continuity planning, synergy identification / capture, one time or stranded cost analyses,
testing and system cutovers.
• Digital and Technology Transformation: Advise on large, complex transformation
engagements by identifying and designing, creative business and technology solutions for
large companies. Candidates are required to have experience in:
– Understanding of corporate IT landscape and IT strategy development
– Planning and executing IT integration, separation and transformation projects in M&A
deals
– Projects involving design, development, testing and data migration of enterprise
systems such as ERP (SAP, Oracle, MS Dynamics etc.), CRM, Big Data, HRIS etc.
including integration of enterprise applications.
– Providing subject matter expertise across critical components of IT landscape:
o Applications (experience across SDLC)
o Enterprise Architecture
o Infrastructure (Servers, Storage, Network, End User Computing, Service Desk)
o Data Center Strategy (Optimization, Redesign, Consolidation, Co-location)
o Data Migration (strategy and planning)
o Security and Access Management (Cybersecurity Services, Enterprise Directory)
o IT Operating Model
o IT Financials in M&A and Transformation Scenarios (IT OpEx/CapEx Cost Modeling,
Synergies)
o IT Transition Service Agreements (TSA)
• Solution Advisory: Advise clients on industry-leading solutions that enable complex
transformations across different technology areas such as Applications Rationalization, Cloud
Strategy, Infrastructure Virtualization, Data Management etc.
Additional Requirements:
– Critical problem solving and troubleshooting skills with the ability to exercise mature
judgement
– Framing issues and breaking it down into hypotheses to be solved
– Strong oral and written communication skills
– Core consulting skills including (MS Visio, PowerPoint, Excel, Project), story boarding etc.
– Improving internal processes, and promote knowledge sharing in the team
– Flexibility to travel, if required
