Promotion Overview

Get Junos Space and Security Director Security Management platform FREE with the purchase of
eligible SRX platforms.

Eligible partners will qualify for a 100% discount on Junos Space Network Management and Security
Director when purchasing eligible SRX platforms under the following Terms and Conditions.

 Must purchase
o At least 1 SRX 1500 or SRX 550M Platform (See Table A)
or,
o At least 5 SRX 300 Series (SRX 300, 320, 340, 345) Platforms (See Table B)
 Both SRX Hardware and corresponding security software must be purchased to qualify at a discount
of up to 60% off list price for hardware and up to 45% off list price for software (See Table A and B
for specified discounts per platform)
 Eligible Branch SRX Platforms must be purchased against the SAME approved SAP Ship & Debit ID
as Junos Space and Security Director to be eligible for the promotional discounts. Juniper
Authorized Distributors should follow Juniper Purchasing Guidelines for ordering stockable / non-
stockable products
 Services must be purchased on the SAME approved SAP Ship & Debit ID
 Limit one Junos Space Network Management Platform and one Junos Space Security Director
5-Device License per eligible end customer.

How Can the Juniper Networks Partner Take Advantage of this Promotion?

 Partner requests Quote for the Promotion from Juniper Networks

THE JUNIPER NETWORKS PARTNER SHOULD ADVISE THE JUNIPER Partner Account Manager
(PAM) / SALES REP TO REFERENCE THE SAP CAMPAIGN ID: C-00000191 IN THE SAP QUOTE
JUSTIFICATION FIELD WHILE REQUESTING THE APPROVAL. THIS IS MANDATORY FOR
TRACKING THE PROMOTION THROUGH THE SALES CYCLE.

 Juniper Networks sends Quote Authorization to the Partner’s chosen Authorized Juniper Distributor with
SAP Ship & Debit ID. Partner works with the Distributor for their “Buy Price” on the Security Management
Promotion. Juniper Networks Partners will then need to place a purchase order with the Distributor.

 Fulfillment:

 For non-stockable products:

 The Distributor references the SAP Ship & Debit ID on the purchase order to Juniper Networks.
Juniper Networks fulfills the license and software SKUs.

 For stockable products:

 The Distributor fulfills from distributor inventory

 Distributor POS and Claim:

If Distributor fulfills from inventory, POS is required to claim price adjustment using the SAP Ship &
Debit ID

This Promotion and its rules do not prohibit a Juniper Networks Partner from negotiating with the relevant
Juniper Authorized Distributor for better pricing than the minimum discount prescribed.

Program Terms and Conditions

 This Promotion is valid from May 27, 2016 through December 31, 2016.
 All sales are final.
 Eligible Juniper Networks Partner must be a current member of the Juniper Networks Partner Advantage
Reseller Program in EMEA.
 Where the referenced, ‘customer’, ‘end user’ or ‘account’ is an organization and not an individual then this
promotional offer is made to the organization and not to individual employees within those organizations.
Accordingly, it is up to the organization as to whether to accept the offer and how to use it.
 This Promotion may not be combined or stacked with any other promotion, discount or other special
pricing offer including, but not limited to, discounts for Opportunity Registration, Juniper Networks
Partner Reseller Program, education discounts, special discounts, Demo / Not For Resale (NFR), trade
in credits, etc.

 In the scenario where an eligible opportunity is registered and approved under the Juniper Networks
Deal Registration program, only the registered and finally approved Juniper Networks Partner will be
eligible for this promotional pricing against all other Juniper Networks Partners.
 In the event of a dispute over eligibility for Partner to qualify for this Promotion, the judgment of Juniper
shall prevail.
 The minimum discount set forth in this Promotion is only available through Juniper Networks’ Authorized
Distributors in EMEA, and is not available for direct purchases from Juniper.
 The eligible SKUs must all be purchased on the same PO to get the promotional discount.
 Unless expressly specified in writing by Juniper, Partner may only purchase equipment with the same
access that the Juniper Networks may, at its sole discretion, audit the Juniper Networks Partner supplied
information Partner’s current Certification and/or Specialization allows Partner to purchase. For

 All product purchased by Partner shall be subject to the terms and conditions of the Juniper Partner
Registration Agreement.
 The Authorized Distributor’s shipping costs are not included in the prices shown. Taxes, duties and similar
charges are also not included.

Additional Program Rules

 Juniper reserves the right to terminate Partner’s participation in this Promotion should Partner (i) breach
these terms and conditions, (ii) breach the Juniper Partner Registration Agreement, (iii) breach the Partner
Code of Conduct, or (iv) fail to satisfy the eligibility requirements for this Promotion.
 Partners and Distributors are under no obligation to participate in this Promotion.
 All deals under this Promotion will be submitted to the Juniper Deals Desk for approval. Juniper Deals
Desk team reserve the right to review and decline deals if they are not in the best interest of Juniper.
 The minimum discounts allowed under this Promotion are based on Juniper Networks’ Global List Price
as of the commencement date of this promotion which is based on FCA DC (INCOTERMS 2010).
 All prices are exclusive of applicable taxes. Partner shall pay all value-added, sales, use, property, ad
valorem, income and similar taxes; all customs, duties, import fees, or similar charges; stamp duties,
license fees, and similar costs; and all other mandatory payments to government agencies of whatever
kind imposed with respect to products or services purchased or otherwise provided pursuant to this
Promotion. Partner shall comply with all applicable tax laws and regulations and will promptly pay or
reimburse Juniper for all costs and damages related to any liability incurred by Juniper as a result of
Partner’s non-compliance or delay with its responsibilities.
 This Promotion and its benefits are not transferable. Discounts have no cash value and may not be sold,
transferred or assigned to any third parties. Discounts and rebates may also not be used to offset amounts
due to Juniper.
 Juniper reserves the right to amend, alter, modify, cancel, suspend or terminate this Promotion at any
time and for any reason without notice.
 Juniper reserves the right at any time to inspect or audit Partner’s records, or to have a third party inspect
or audit Partner’s records, to verify that (i) Partner is eligible to participate in this Promotion, (ii) Partner is
complying with the terms and conditions of this Promotion; and/or (iii) the information supplied by Partner
is accurate. The inspection or audit may be completed through whatever means Juniper deems
necessary.
 This Promotion is void where prohibited by law, company rules or Partner’s company policies. If any
provision of these terms and conditions, or the application of any provision of these terms and conditions
to Partner, is held invalid, the remainder of these terms and conditions and the application of the provision
to Partner, other than to the extent held invalid, will not be invalidated or affected. Juniper will not be held
liable if the Promotion issued is in violation of specific company policies or local country laws.

 Juniper Networks Partner is responsible for compliance with its company policies and all applicable laws
regarding participation in the Promotion. Partner represents to Juniper that Partner has the legal right to
participate in this Promotion. Partner agrees to comply with all applicable statutes, laws, regulations,
ordinances, and executive orders of any country, state, municipality, or government body applicable to (i)
this Promotion, or (ii) Partner’s participation in this Promotion. Partner will indemnify, defend and hold
harmless Juniper and its directors, officers, agents, and employees from and against any and all claims,
demands, actions, litigation, investigations and proceedings arising out of or related to (a) this Promotion,
including, without limitation, any discount made available to the Partner under this Promotion and the
Partner’s obligation to pay all taxes associated with any discount received under this Promotion, or (b)
Partner’s participation in this Promotion.
 Juniper reserves the right to bar Partner from future access to any Juniper programs should Juniper
Networks Partner violate the terms and conditions of this Promotion. Determination of this status is at the
sole discretion of Juniper.
 All references to “Partners” herein are generic and do not suggest the creation or existence of a legal
partnership. Each party is and remains fully independent of the other and each party is responsible for its
own debts, contracts, etc.
 The minimum discounts offered or otherwise made available to Partner as part of this Promotion, including
incremental discounts, and any other program related discounts that Partner is entitled to, are minimum
discounts, prescribed by Juniper. Partner is free to negotiate better pricing arrangements (higher levels of
discount) with Authorized Distributors and nothing in this Promotion should be viewed as prohibiting such
negotiations or higher discounts. Juniper's obligation to arrange such discounts will be valid only to the
extent permissible by law. Authorized Distributors are free to establish higher, lower or different discounts
at their sole discretion.
 Juniper reserves the right to interpret the terms and conditions of this Promotion. The decisions of Juniper
are final and binding in all matters relating to the Promotion.
 Juniper Networks Partner agrees to comply with the terms of this program and all applicable export laws
and restrictions and regulations of the United States and any applicable foreign agency or authority, and
not to resell, export or re-export the equipment or any Software or Embedded Software in violation of this
program, any such restrictions, laws or regulations, or without all necessary approvals. Juniper
Networks Partner shall be liable for damages, penalties, fines or other costs or expenses arising out of
any such violations. The version of the Software supplied to Juniper Networks Partner may contain
encryption or other capabilities restricting Juniper Networks Partner’s ability to export the Software
without an export license. For purposes of this section, “Software” and “Embedded Software” shall have
the meanings as set forth in Juniper Networks’ End User License Agreement located at:

 This promotion and any dispute or claim arising out of or in connection with it or its subject matter or
formation (including non-contractual disputes or claims) shall be governed by and construed in
accordance with the laws of England. The parties irrevocably agree that the courts of England shall have
exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this
Promotion. A person who is not a party to the terms and conditions of the promotion has no rights under
the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
 TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNIPER NETWORKS OR ITS AFFILIATES,
LICENSORS OR SUPPLIERS SHALL NOT BE LIABLE FOR ANY LOST PROFITS, LOSS OF DATA, OR
COSTS OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR FOR ANY DIRECT,
SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, OF ANY KIND REGARDLESS OF THE FORM
OF THE ACTION, ARISING OUT OF THIS PROMOTION, ANY JUNIPER OR JUNIPER-SUPPLIED
EQUIPMENT, EVEN IF JUNIPER OR ITS AFFILIATES, LICENSORS OR SUPPLIERS HAVE BEEN
ADVISED OF THE POSSIBILITY OF SUCH ACTION.
