LEASE AGREEMENT

This Lease Agreement ("Agreement") is made and entered into this 29th day of April 2025, by
and between:

1. LANDLORD: NANCY WANJIKU MWANIKI, of ID Number: 8484331 (hereinafter


referred to as "Lessor"), and

2. TENANT: MARSHEL OCHIENG OMOLLO of ID Number: 29239940 (hereinafter


referred to as "Lessee").

The parties agree as follows:

1. LEASED PROPERTY

The Lessor agrees to lease to the Lessee a parcel of land measuring 66 feet by 70 feet, located at
Ting’ang’a, land title number 2395 hereinafter referred to as the "Property."

2. LEASE TERM

The lease shall be for a term of 5 years, commencing on 29th April 2025 and terminating on 28th
April 2030, unless terminated earlier per the terms herein.

3. RENT AND PAYMENT TERMS

The Lessee shall pay to the Lessor a total rent of Kenya Shillings One Hundred Thousand
(KShs. 100,000) for the entire lease term, payable in full on or before the 29th day of April
2025.

4. USE OF THE PROPERTY

a) The Lessee shall use the Property exclusively for Residential and farming
b) The Lessee shall not engage in any illegal activities or use the land for any purpose not agreed
upon without written consent from the Lessor.

5. DEVELOPMENT AND MAINTENANCE

a) The Lessee shall have the right to develop, improve, and install necessary infrastructure,
provided it does not alter the fundamental nature of the land without prior approval.
b) The Lessee shall be responsible for maintaining the land and any structures built on it during
the lease term.
6. RIGHTS AND OBLIGATIONS OF THE PARTIES

Lessor's Rights and Obligations:

1. Ensure the Lessee has peaceful and uninterrupted use of the land.
2. Provide all necessary documents proving ownership and authority to lease the land.

Lessee's Rights and Obligations:

1. Use the land for the agreed purpose and comply with all relevant laws.
2. Hand over the land in a reasonable condition upon lease expiry or termination.

7. SUBLETTING AND ASSIGNMENT

The Lessee shall / shall not (choose one) have the right to sublet or assign the land to another
party without prior written consent from the Lessor.

8. TERMINATION

a) This lease may be terminated before the expiration date under the following conditions:

1. Breach of terms by either party.


2. Mutual agreement in writing.
3. Government acquisition or legal orders affecting the land.
b) Upon termination, the Lessee shall vacate and hand over the land within 60days.

9. DISPUTE RESOLUTION

Any dispute arising from this Agreement shall be resolved amicably through negotiation. If
unresolved, it shall be referred to arbitration in accordance with the Arbitration Act of Kenya or
taken to a court of competent jurisdiction.

10. GOVERNING LAW

This Agreement shall be governed by the laws of Kenya, particularly the Land Act and Landlord
and Tenant Act.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior
negotiations. Any amendments must be in writing and signed by both parties.
