Question 1.

1.1. Through the use of Zimbabwean Case law analyze the distinction between a Trust
and a company. [ 25 Marks]

1.2. With the aid of provisions of the legislation and Case law explain fully the concept
of separate Legal personality of a Company Law. [ 25 Marks]

Question 2.

2.1. Explain fully the concept of maintenance of share-capital of a private Limited Liability
company. [25 Marks]
2.2. Pursuant to the prescription of the Business Judgment Rule in terms of section 54 of the
Companies and Other business entities Act Chap 24:13, explain fully the common Law
duties and liability of Directors of business entities in terms of Zimbabwean Law.
