Whereas, the Vendor herein have received a Stand alone property bearing

The Vendor herein thus having acquired the right, title and interest over the said
apartment as above and the property tax for the same is paid up to date and are
in peaceful possession of the same and referred as SCHEDULED
PROEPRTY.
The VENDOR herein have marketable title and lawful right and interest to deal
with the Schedule Property in any manner as he like and deem fit.
AND WHEREAS, the Vendor herein now has agreed with the Purchaser herein
to sell the Schedule Property for a Consideration amount of
Rs.__________________ free from all encumbrances, charges, claims and
demands of whatsoever manner. And the Purchaser herein have also agreed
with the Vendor to purchase the Schedule Property for the said Consideration
amount of Rs.____________________.

Vendor has acknowledged the same.
The Vendor hereby confirms the receipt and/or arrangements made for the
receipt of the entire sale consideration amount of ₹_____________as
detailed above and declares that no amount remains due or payable in this
regard.
The PURCHASER undertakes and irrevocably guarantees the clearance of
the bank draft handed over to VENDOR in discharge of the sale
consideration to the VENDOR.
2) In pursuance of this sale deed and in consideration of total amount of
Rs._________, paid by the PURCHASER in the manner above mentioned
above, the Vendor hereby absolutely sells and transfers to the Purchaser, and
the Purchaser hereby purchases and acquires from the Vendor, all the
Vendor’s right, title and interest that are part and parcel of all that part and

3) The Vendor hereby grants, convey and assign the right, title and interest of
the said Property for aforesaid consideration, which is duly paid and the said
consideration amount shall be treated as settlement and/or by way of sale of
the said total consideration / Value of the said property by the Purchaser, and
the payment and receipt whereof the Vendor hereby admit and acknowledge
and state that there are no dues from Purchaser in respect of the Property.
4) The Vendor have simultaneously with the execution of these presents
handed over to the Purchaser, vacant and peaceful possession of the said
property with free and undisputed ingress and egress to the property from
the road as the owners thereof, and the Vendor confirm that on and from the
date hereof the Purchaser shall be entitled to use, occupy, possess and enjoy
and/or deal with the said property in any manner whatsoever (subject to the
bye-laws of the Society) without any action, suit, interruption, claim or
demand from or by the Vendor and/or any person or persons claiming by,
from, through, under and/or in trust for the Vendor.
5) The Vendor has on or before the execution of these presents, handed over to
the Purchaser all the documents of title in respect of the said property
THE VENDOR HEREBY STATE, REPRESENT, DECLARE, CONFIRM,
WARRANT COVENANTS AND UNDERTAKE AS UNDER:
1) The Vendor is the absolute Owner of the Scheduled property and is
empowered to execute the Sale Deed in favour of the Purchaser.
2) The Vendor has clear and marketable title of the said Scheduled property
except the charge of the Purchaser, which is hereby cleared and settled and
therefore now the property is not under the Direct or indirect charge of any
person, Firm, Company, Bank or financial institution and no charge, right,
lien or encumbrance is created over the said property and the Vendor has
absolute authority to sell and transfer the said property to the Purchaser as
contemplated herein;
3) The Vendor has not created any further charge, right, title, interest or
encumbrance whatsoever in respect of the said Scheduled property (or any
part thereof), whether by way of sale, exchange, mortgage, tenancy, lease,
lien, gift, trust, possession or otherwise howsoever in favour of any person
or persons;
4) The Vendor state that the said Scheduled property is not subject to any lis-
pendens or attachment either before or after judgment or any other
impediment of any nature;
5) The Vendor state that the Scheduled property or part thereof is neither in
acquisition nor requisition of any Government or Semi Government, or
Corporation and no notice have been served on them till date;
6) It is assured by the Vendor that Government, Semi Government and
Corporation taxes and all other taxes and expenses in respect of the
Scheduled property are paid till date and after this conveyance, the same are
to be paid by the Purchaser from today onwards. However, if any claim
towards any taxes etc., is raised in future, for any period prior to execution
of Sale Deed, they will be fully responsible for the same; and
7) The Vendor state that there are no proceedings initiated or pending against
them under the Income Tax Act, 1961, and there is no tax or other sum
payable by them under the Income Tax Act, 1961.
8) The Vendor is aware that the Purchaser have purchased the said Scheduled
property relying upon the aforesaid representations made by them and on
good faith and the Vendor herein hereby agree to indemnify, defend and
keep harmless and shall keep indemnified, defended and harmless the
Purchaser from and against any and all direct claims, expenses, charges,
demands, actions and liabilities whatsoever arising due to any
misrepresentation on their part.
9) The Purchaser has inspected the Scheduled property and the documents
relating to the title of the property.
10) All other costs, charges and expenses, including stamp duty, additional
stamp duty, registration charges, Advocate expenses and any other expense
in respect of these presents shall be borne and paid by the Purchaser.
RIGHTS AND OBLIGATIONS OF THE PURCHASER IN REGARD TO THE
SCHEDULED PROPERTY:
A. RIGHTS OF THE PURCHASER
1) The PURCHASER shall be entitled to own the Scheduled Property
subject to the terms and conditions contained in this deed.
2) The PURCHASER and all persons authorised by the PURCHASER (in
common with all other persons entitled, permitted or authorised to similar
rights) shall be entitled to use the staircase, for ingress and egress and
use, at all times and for all purposes and shall permit others to use the
same for such purpose.
3) The PURCHASER shall be entitled to have free passage of water, gas,
electricity and wastage/sewage to the Scheduled Property.
4) The PURCHASER shall have the right to lay cables, wires, lines for
Radio, Television, Telephone and other communication installations
leading from and to the Scheduled Property.
B. OBLIGATIONS OF THE PURCHASER:
1) The PURCHASER shall reciprocate and recognize the rights of the other
Unit owners in the building.
2) The PURCHASER shall become and remain a member of the
Condominium/ Association/ Society (hereinafter referred to as the
ORGANISATION) already formed by and consisting of all the unit
owners in the Scheduled Property for the purpose of attending to
maintenance and safety of the Scheduled Property and the building
constructed thereon and all the matters of common interest and shall
observe and perform the terms and conditions and Bye – laws/Rules and
Regulations of such organization.
3) The PURCHASER shall duly and punctually pay the proportionate share
of Municipal Taxes and possess insurance charges, cost of management
of the building, charges for services like water, sanitation, cost of
maintenance of common area and other expenses in regard to the building
as may be determined by the Organization.
4) The PURCHASER shall keep the walls, drains, pipes and other fitting in
the Scheduled Stand Alone Building in good and habitable condition, so
as to support and protect the other parts of the building, and carry out all
works of repairs as may be required by the Organization.
