Consultancy Agreement
This Consultancy Agreement ("Agreement") is made and entered into as of 25th February
2025 ("Effective Date") by and between:
B Lab Africa, with its registered office at Ikigai, Peponi Road, Nairobi, Kenya.("Client"),
and
Salma Essam Gaber , located at Cairo, Egypt ("Consultant").
1. Scope of Work: Certified Professional Translation (English to Arabic)
To provide expert language advice, English to Arabic translation consultation and cultural
insights to enhance our team’s communication and engagement efforts with Arabic-speaking
audiences.
● Provide expert advice on Arabic language usage, grammar, and style to ensure clarity,
accuracy, and cultural appropriateness in all communications.
● Translate documents, website content, marketing (promotional) materials, and other
written materials from English to Arabic and vice versa.
● Review and provide feedback translations to ensure quality, consistency, and adherence
to brand guidelines.
● Offer valuable insights into Arabic culture, customs, and sensitivities to inform strategic
communication and marketing initiatives.
● Assist in developing and maintaining a glossary of Arabic terminology to ensure
consistency and accuracy in all materials.
● Review and edit Arabic-language content for clarity, coherence, and grammatical
accuracy.
● Support the team when conducting and facilitating online sessions for Arabic-speaking
audiences, including webinars, workshops, and training sessions.
● Real-time Translation: Provide simultaneous or consecutive translation services during
online engagements and meetings with Arabic-speaking participants.
The consultant will devote 25 hours each month to the carrying out of these Services.
2. Term
This Agreement shall commence on 5th March 2025 and continue until 31st December 2025.
3. Compensation
The Client shall pay the Consultant a gross fee of USD 625 per month.The Consultant is
responsible for their own taxes and deductions.
4. Independent Contractor Status
The Consultant is engaged as an independent contractor and not as an employee of B Lab
Africa. Nothing in this Agreement shall be construed to create a partnership or joint venture
between the parties.
5. Confidentiality
The Consultant agrees to maintain the confidentiality of all proprietary information and trade
secrets of B Lab Africa. This obligation shall survive the termination of this Agreement.
6. Termination
Either party may terminate this Agreement with 2 weeks written notice to the other party. Upon
termination, the Consultant shall return all materials and documents related to the services
provided under this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Kenya.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject
matter hereof and supersedes all prior agreements, understandings, or representations.
9. Signatures
By signing below, both parties agree to the terms outlined in this Agreement as of the Effective
Date.
