本着利益共享、风险共担及互惠互利、精诚合作之原则，经甲乙双方友好协商 ， 现就 U 币交易事项达成协议如下，双方共同遵守 ：
Based on the principles of benefit sharing, risk sharing, mutual benefit and sincere cooperation, after friendly negotiation
between Party A and Party B, the following agreement is hereby reached on the U currency transaction, which both parties shall
abide by:
— 、由甲方提供 200 亿 个的 USDT(简称 U 币)销售给乙方（交易过程中乙方根据自身情 况 与 甲 方 协 商 扩 展 交
易 量 并 补 签 附 加 协 议）, 交易价格以 1 美元兑换 1USDT ，若交易数量满足下面第七条 ，USDT 按表格内容作相应奖励。
1. Party A will provide 20 billion USDT (referred to as U coins) and sell them to Party B (during the transaction process,
Party B will negotiate with Party A to expand the trading volume and sign an additional agreement according to its own
situation), and the transaction price will be exchanged for 1 USDT at 1 USDT, and if the transaction quantity meets the
requirements of Article 7 below, the USDT will provides corresponding rewards according to the content of the table.
二 、 双方须在香港银行同台操作 ，双方交易账户须为在香港开设的港币账户 。 买方资金必须是依法生产 、加工 、经营或合法贸易所得、无犯罪记录、干净、可自由支配、可自由贸易的资金； 卖方钱包
中的 U 币保证是绿色、无抵押、无滞留、干净、能够即时在全球交易所交易的 USDT（以下简称为 U）。
2. Both parties must operate on the same platform in Hong Kong banks, and the trading accounts of both parties must be
Hong Kong dollar accounts opened in Hong Kong. The buyer's funds must be obtained through lawful production, processing,
operation, or legal trade, with no criminal record, clean, freely disposable, and tradable funds; The U-Coins in the seller's wallet

are guaranteed to be green, uncollateralized, unstranded, clean, and instantly tradable on global exchanges (hereinafter referred
to as U).
三、支付方式：甲方 USDT 先行，乙方确定无误后，乙方通过现金转账给甲方。

六、担保品:乙方担保品先行 ，开银行机打支票 作担保品。乙方是綠色干净的可支付买 U 的资金，甲方是可进交易所的 USDT。
6. Collateral: Party A shall first issue the collateral, and then issue a check by the bank machine as collateral. Party B is green and
clean and can pay for U, while Party A can enter the exchange of the USDT.
七 、经交易双方协商一致同意 U 币 奖励比例为 3% ，币种兑换按当天牌价为基准 ，按照居间分流表执行 ：

八 、在每次成功交易的当日， 甲方给乙方的奖励直接按分流表执行。相关税费各自負責，具体金额按照分流表（见条款九）分配 (注：若税费及居间佣金分流乙方不能解决时由甲方代为处理)
8. On the day of each successful transaction, The rewards given by Party A to Party B shall be directly executed according to the
diversion table. The relevant taxes and fees shall be responsible for each other, and the specific amount shall be distributed
according to the diversion table (see Clause 9) (Note: If the tax and intermediary commission cannot be resolved by Party B,
Party A will handle it on behalf of Party B).

9. The attachment to the diversion table "NCNDA and Irrevocable Intermediary Bonus Payment Commitment Letter" has the
same legal effect as this agreement.
十、交易流程：
10.1 甲乙双方网签本协议及居间分流表， 安排双方香港见面，互验 CIS 和证照后，正式面签协议及相关文件。
10.2 双方在香港同台，相互核查对方 CIS 及资金和 U 后，乙方亮资现场提供余额单；
10.3 乙方开好反担保品， 甲方收到反担保品后，根据双方协商的单笔交易额度甲方将
USDT 转至乙方指定的 USDT 钱包及居间人的 USDT 钱包；
10.4 甲方经查验资金无误后，将 USDT 转至乙方指定的 USDT 钱包，乙方根据第十条（10.3）交易额度等额的
USDT 等 值港币（美金或者欧元）资金的 100%转到甲方指定账户（网银实时到账）。
10.5 乙方确认收到甲方的 USDT 并检查无误后,进行变现和交易所测试成功后，本笔交易完成；
10.6 双方按上述步骤继续进行下一轮操作 ，直至完成当天的交易计划。
10. Transaction process:
10.1 Party A and Party B sign this agreement and the intermediary diversion form online, arrange for both parties to meet in
Hong Kong, and formally sign the agreement and related documents in person after mutual inspection of CIS and licenses.
10.2. After the two parties are on the same stage in Hong Kong and check each other's CIS and funds and U, Party B will provide
the balance sheet on the spot;

10.3 After Party A opens the counter-collateral, Party B will remit the funds corresponding to the single transaction amount
negotiated by both parties to Party A's account, and Party A will transfer USDT to the USDT wallet designated by Party B and
the USDT wallet of the intermediary.
10.4 After checking that the funds are correct, Party A will transfer USDT to Party B's designated USDT wallet, and transfer
100% of the USDT equivalent in Hong Kong dollars (US dollars or euros) equivalent to the transaction amount in accordance
with Article 10 ( 10.3) to Party A's designated account (real-time online banking credit).
10.5 After Party B confirms that Party A's USDT has been received and checked that it is correct, the transaction will be
completed after the liquidation and exchange test are successful.
10.6 Both parties continue to the next round of operations according to the above steps until the day's trading plan is completed.

十三、保密条款：
甲乙双方及代理人等应遵守保密条款并签订 NCNDA,不得以任何形式 ，直接或间接透露交易细节及相关内容 ，任
何非本协议之第三方。
13.Confidentiality：
Party A and Party B and their agents shall abide by the confidentiality clause and sign NCNDA, and shall not
directly or indirectly disclose the details of the transaction and related contents in any form, with any third party who is not
this agreement.
十四 、违约条款：任何一方违反协议，或者拒不履行本合同约定的，即构成违约。 除本合同特别约定之外，任何一方 的违约致使对方遭受的任何损失及费用均由违约方承担，该等费用包括但不
限于诉讼费 、律师费 、公证费
、保全费等 其他费用。违约方按本协议当天计划执行总金额的 1%赔付给守约方，其中 40%按分流表比例赔偿双方所有居间人。
支付完违约金后 ，协议可修复，继续执行。双方合同签定完成后居间人免责。
14. Breach of contract: Either party violates the agreement or refuses to perform the provisions of this contract, which
constitutes a breach of contract. Except as specifically provided in this Contract, any losses and expenses suffered by the
other party as a result of any breach of contract by either party shall be borne by the breaching party, including but not
limited to litigation costs, lawyer fees, notary fees, preservation fees and other expenses. The breaching party shall
compensate the non-breaching party according to 1% of the total amount planned to be executed on the day of this
agreement, and 40% of which shall compensate all intermediaries of both parties in proportion to the diversion table.
After the liquidated damages are paid, the agreement can be repaired and continued to be executed. After the signing of
the contract between the two parties, the intermediary is exempted from liability.
十五 、如因本协议的履行发生争议，双方应友好协商解决，协商不成的，双方均 可以依据法律程序提起诉讼。
15. If a dispute arises due to the performance of this agreement, both parties shall settle it through friendly negotiation, and
if the negotiation fails, both parties may file a lawsuit in accordance with legal procedures.
十六、本协议未尽事宜，双方协商补充 ，补充协议条款生效后具有同等法律效。
16. Matters not covered in this Agreement shall be supplemented by negotiation between the two parties, and the terms
of the supplementary agreement shall have the same legal effect after they take effect.
十七 、 本协议自双方签章之日起生效 。本协议一式二份，双方各执一份，居间人代表执一份，均具有同等法律效力
。
17. This Agreement shall come into force on the date of signature of both parties. This Agreement shall be executed in
duplicate, one copy for each party and one copy for the representative of the intermediary, both of which shall have the
same legal effect.

1. 按照香港相关法规 ，为酬谢在我方转让 USDT（合同编号：HKU20240820A）过程中 ，支付每一笔成交额的 3 % 奖励金给做出贡献的人员（以下简称：受
益人） ，我付款人及全体股东以全部法律责任、经济责任及个人承担连带担保责任，做出不可撤销的奖励金支付承诺书，承诺如下：
