1 OVERVIEW
Onix Renewables Limited, located in Rajkot, Gujarat, India, invites techno-commercial bids from
qualified entities for the Design, Engineering, Procurement, Supply, Erection, Testing, and
Commissioning with an initial O&M period of three (3) years of 1959 MW (AC) Solar PV Projects across
252 sites in Maharashtra on turnkey BoS-EPC basis
The key parameters of the project are:

 Sites have been subsequently grouped for a structured bidding process. Break up of sites
based on Groups, Districts and Capacities has been provided below. The same shall form
an integral part of bidding, evaluation and award of contracts in line with steps and methods
explained in further sections of this RfP.

Onix invited Expressions of Interest (EOI) in the month of January 2025, from entities for the
Design, Engineering, Procurement, Supply, Erection, Testing, and Commissioning with an initial O&M
period of three (3) years of 1959 MW (AC) Solar PV Projects across 252 sites in Maharashtra on
turnkey BoS-EPC basis. The key qualification criteria laid in EoI were below:

2 GENERAL CONDITIONS

2.1 PROCUREMENT PROCESS


2.1.1 This RfP must be read in conjunction to the Expression of Interest (EoI) released by Onix.
2.1.2 Minimum required bidding capacity is 50MWac applicable to all bidders. Bidder can quote
more than 50MWac however only in multiples of 5MWac (e.g. bidder can quote 75MWac
but not 73MWac)
2.1.3 Bidder must maintain qualifying criteria throughout the evaluation process wrt their Bid
quantity. Non-maintenance or provenness of qualifying criteria would lead to disqualification
of the Bid and forfeiture of the EMD.
2.1.4 Bidder must bid for minimum bidding capacity and scope and cannot choose for bidding for
individual scope items.
2.1.5 During evaluation and comparison of bids, Onix may, at its discretion ask the bidder for
clarification of its bid. The clarification should be received within 3 days from the bidder
from date of receipt of such request. The request for clarification shall be in writing and no
change in prices or substance of the bid shall be sought, offered or permitted. No post bid
clarification at the initiative of the bidder shall be entertained.
2.1.6 Onix may, for any reason, whether at its own initiative or in response to a clarification
requested by a prospective Bidder, modify the Tender Documents by addendum /
corrigendum.
2.1.7 Any addendum/ corrigendum thus issued shall be part of the Tender Documents and shall
be circulated to the bidders. Bidders have to take into account all such addendum /
corrigendum before submitting their bid.
2.1.8 The Onix, if considered necessary, may extend the date of submissions of Bid in order to
allow the Bidders a reasonable time to furnish their most competitive bid taking into account
the amendment issued thereof.
2.1.9 Onix will award the sites to bidders as per ‘CS01 - Price Bid’ submitted by the bidder and
the bidder should agree to accept the sites as awarded without any bargaining or excuses.
The cost except bidding sites will remain proportional to the lowest bidding rate received for
a nearby capacity.

2.2 PROJECT COST


2.2.1 As sites are to be finalized yet, technical specifications will be applicable for all parameters
especially land-related assumptions. However, no changes in bid value etc shall be allowed
related to land during/after the bidding stage.
2.2.2 The project cost will remain unchanged and fixed, obligating the successful bidder to this
amount until the project is fully completed, regardless of the actual costs incurred during
execution.

2.2.3 Modules and Inverters are free-issue items to bidders, however their unloading, handling
and storage at site in compliance to OEM guidelines shall the responsibility of the Bidder.
Any damages to free issue items due to Bidder’s negligence shall be recoverable from the
Bidder’s dues.
2.2.4 The project cost to bidders must include all duties, taxes, insurance, transportation, loading-
unloading, internal shifting, required tools & tackles and other related expenses. The prices
quoted must be all-inclusive, with no allowance for price variations or adjustments payable
by Onix.
2.2.5 The project cost should cover all expenses associated with the scope of work. Bidders are
required to submit a comprehensive bid that includes all responsibilities specified in the
bidding documents, covering design, supply, erection, testing, commissioning, warranty,
and the provision of goods and services, including spare parts needed during the O&M
period. The bidder is responsible for obtaining all permits, approvals, licenses, and
insurance, as well as providing training and any other items and services necessary to
complete the scope of work. The project cost should also account for the costs related to
the liaising and connectivity approvals, with all associated expenses to be borne by the
successful bidder.

2.4 SUB-CONTRACTING OF WORK


Bidder shall not subcontract or assign, in whole or in part, its obligations to perform under
this contract, except with Onix’s prior written consent. In the eventuality of sub- contracting
of work, Onix will be informed in advance. However, the Bidder’s liability or obligations will
not get altered/ delegated to sub-bidder.
Any subcontracting (including engineering services) shall only be approved based on
submission of credentials and approval of Onix.

3 SPECIAL CONDITIONS

3.1 GENERATION GUARANTEE & SPECIFIC PRODUCTION


3.1.1 Bidder must quote a Guaranteed Generation and specific production as per the prescribed
format considering the 1.20 DC/AC overloading.
3.1.2 The minimum annual AC CUF that the bidder has to guarantee will be 19.30% at the end of
25th year at the solar plant end. Bids below the said number will not be considered.
3.1.3 The minimum Annual Performance Ratio that the bidder must demonstrate at any stage of
project testing, handover or O&M must not be less than 81% at the end of 1 st year. Bids
below the said number will not be considered.
3.1.4 Since, the minimum required bidding capacity is 50MWac and further in steps of 5MW, the
figures quoted by the bidder must be for their actual bid capacity.

3.2 DEFECTS LIABILITY PERIOD


3.2.1 Defects Liability period shall mean the period during which Bidder shall remain liable at its
own cost and expenses for all repairs and/or replacement of any manufacturing, technical
or other defects or any bad workmanship or any non-performance of any of the
supplies/services made under the Contract.
3.2.2 Defects Liability Period for entire scope shall mean the period of 12 (Twelve) months
calculated from the date of issue of Project Completion Certificate or 12 (Twelve) months
from the rectification of Defects, whichever is later. In case of extension in Defect liability
the bidder shall extend the Performance Bank Guarantee to that effect.

3.3 PAYMENT SECURITIES


3.3.1 Issuance of Payment Securities
The EPC shall, obtain (at its cost) and provide the Payment Securities specified in this
Clause, for securing the proper performance of its obligations as per the terms of this
Contract, in favour of Onix. Provided the validity is overlapping between securities, EPC
can choose to submit common securities after mutual discussion with Onix.
3.3.2 ADVANCE PAYMENT BANK GUARANTEE
I. The EPC shall, within the timeline specified in Clause 3.4.1, provide to Onix, an advance
bank guarantee (“ABG”) in the form of an unconditional and irrevocable bank guarantee for
an amount equal to 5% (Five percent) of the Contract Price
II. In order to ensure that the ABG is in full force and effect for the entire period as aforesaid
under this Contract, the EPC shall, if so required, extend the validity of the ABG (on the
same terms and conditions as the original ABG), no later than 30 (thirty) days prior to the
expiry thereof, and submit such extended ABG to ONIX.
III. ONIX shall subject to fulfilment of their obligations, have option under the ABG to invoke
and encash the same for the purposes of:

(a) recovering payments from the EPC on account of termination of this Contract by the
EPC, prior to the expiry of the Term of this Contract;
(b) non-fulfilment of any obligations of the EPC in terms of this Contract; and

3.3.3 PERFORMANCE BANK GUARANTEE


I. EPC shall furnish unconditional & irrevocable Performance Bank Guarantee (PBG) for
three years equivalent equal to 5% of the contract price within 15 days from the date of
COD, as security for successful performance of contract. Performance Bank Guarantee
should be valid until 30 (thirty) Days after the Defects Liability Period. The owner shall
return PBG to the EPC after completion of Defect Liability Period.
II. Performance Bank guarantee shall be acceptable to Onix only if issued by a bank
acceptable to the owner.
III. Onix shall subject to fulfilment of their obligations, have option under the PBG to invoke and
encash the same for the purposes of recovering payments from the EPC on account of (i)
termination by of this Contract by the EPC prior to Final Acceptance Date; (ii) non-fulfilment
of any of the obligations of the EPC as per the terms and/or within the timelines as
stipulated under this Contract and the Project Schedule; (iii) recover amounts applicable as
per liquidated damages.
IV. PBG format is attached as GS06 - PBG Draft.doc. Bidder has to provide bank guarantee
according to the mentioned annexure.
3.3.4 Effect of variation in Contract Price
If, the EPC’s obligations or the Contract Price under this Contract changes at any time in
accordance with the terms of this Contract, then, the EPC shall submit to ONIX the
amended Payment Securities, for an amount equivalent to such revised Contract Price, on
a prompt basis but no later than 15 (fifteen) days of such amendment coming into effect
and having the requisite validity and claim periods as provided for the respective Payment
Security under this Contract.

3.4 PROJECT COMPLETION SCHEDULE


3.4.1 The completion time is deemed to be essence of the Contract and shall be firm and
binding. The Bidder shall complete the entire scope within a period of (06) Six months from
the date of Award of Contract.
3.4.2 As part of bid submission, bidder must submit a schedule of activities it plans to follow and
demonstrate the above completion period as per shared prescribed format.
3.4.3 Subsequently, the Bidder shall submit a project progress monitoring tool in line with the
proposed time schedule covering all activities with various key phases of supply and
service obligations under the contract such as supply schedule and field erection activities
within Seven (07) days of the date of Award of Contract.

3.4.4 The Bidder shall indicate the duration of all the activities in activity chart in conformity with
the overall schedule of the completion of project. Bidder shall submit the activity chart which
shall be discussed and finalized and shall form an integral part of the Contract.

3.5 LIQUIDATED DAMAGES


3.5.1 Without prejudice to the Onix's rights, the Parties agree that any Liquidated Damages
payable shall be the Onix's sole and exclusive remedy against the Bidder in respect of the
matters to which such Liquidated Damages relate.
3.5.2 In case of failure to complete the work/ supply in time, the penalty shall be levied @ 0.50%
per week or part thereof of the contract price subject to maximum of 10% of the total project
cost. If the total Penalty exceeds beyond 10%, it would be considered as non- conformance
to the quality of Services and may lead to termination of the Contract and Onix may on their
sole discretion cancel the order.
3.5.3 In case of short performance or non-performance of the equipment as per the guaranteed
values specified in technical specification, Onix shall be entitled to all the rights, hereto
including but not limited to the right to reject the equipment and any other such items and
recover the amounts paid together with compensation in relation thereto.

3.6 INSURANCES
3.6.1 All material related insurances will be in the scope of the bidder.
3.6.2 The Bidder shall be responsible in assisting Onix by intimating the dispatch instances and
value of goods for monitoring the projects. Bidder shall also intimate the Onix immediately
in case or event of accident, damage etc.
3.6.3 Before the commencement of the work, the Bidder will ensure that all its employees and
representatives are covered by suitable insurance against any damage, loss, injury or
death arising out of the execution of the work or in carrying out the Contract. Liquidation,
Death, Bankruptcy etc., shall be the responsibility of the bidder. Bidder should be
submitting a work contract insurance policy prior to start the erection work.
3.6.4 As part of the requirements outlined for all bidders, adherence to government-mandated
regulations is essential. These include compliance with the Work Contract Policy, the Child
Act, the Animal Act, and Fire Safety rules and regulations

3.7 WARRANTEE
3.7.1 Warranty for Balance of Plant
Balance of Plant (BOP) provided under this contract will have a standard warranty period as
specified below, starting from the date of installation or commissioning. If the BOP fails to
perform as expected, the bidder is responsible for repairing or replacing it onsite at their
own expense.
The minimum warranty periods for the components/equipment are as follows:
MMS components: 5 years
Cables (DC and AC), including all accessories: 1.5 years

All switchgear & components: 2 years


Transformers and MV electrical accessories: 2 years
Other items: 1 year or back-to-back or higher if provided by OEM
3.7.2 The bidder warrants to the Onix that the Project has been and will be engineered,
designed, tested, and executed in line with the Scope of Work, adhering to all
Specifications, Standard Industry Practices, and Applicable Laws.
3.7.3 Each part of the Project will:
Upon issuance of the Project Completion Certificate, meet all relevant Contract
requirements unless otherwise agreed in writing by the Onix or modified through a Variation
instructed by the Onix. It will be capable of operating in accordance with the Contract and
Standard Industry Practice, consistent with the Onix’s operation and maintenance manuals,
and comply with all Applicable Laws.
The warranties obtained by the Bidder from any Sub-Bidder or Manufacturer will be
assigned to the Project through a mutually agreed mechanism. The Bidder’s obligation to
perform the Works correctly and in accordance with this Contract and its warranties will not
be diminished or affected by the Onix's approval of any designs, drawings, or
specifications.

3.8 PROVISIONAL ACCEPTANCE


Provisional Acceptance Test shall be conducted upon completion of the following;
3.8.1 PV Plant has achieved mechanical completion and its energization has been completed
successfully.
3.8.2 Mechanical completion tests, commissioning tests and start-up tests have been
successfully completed.
3.8.3 PV Plant is connected to the grid in safe and stable manner in accordance with all
applicable utility requirements and has achieved commercial operation i.e PV plant has
achieved commercial operation.
3.8.4 On successful installation, testing and Commissioning including generation of electrical
energy and charging of 100% of AC and DC capacity of the Project, with positive flow of
electricity into the Grid for 3 consecutive days during solar hours
3.8.5 The monitoring and control system, including meteorological stations and sensors are
installed and calibrated according to manufacturer recommendations and the sensor
signals are capable of being monitored by the plant monitoring and control system.
3.8.6 The Bidder has completed installation, testing and commissioning of fully functional SCADA
system.
3.8.7 SCADA is operating effectively and the communication between PV plant components / PV
plant sensors has been established effectively.
3.8.8 Remote monitoring access has been provided for the SCADA system.
3.8.9 PV modules have been cleaned according to the manufacturer recommendations.

3.8.10 Testing instruments shall be functional and calibrated.


3.8.11 All the supply and installation activities are complete in accordance to the Contracted
procedure.
3.8.12 The tilt angle and orientation of all the Plane of Array (POA) pyranometers shall be in-line
with that of PV modules and the same shall be verified by the Bidder.
3.8.13 Further the Bidder shall share photographic evidence of the same.
3.8.14 PVsyst simulation report (in .pdf format) indicating simulation parameters, near shading
definition, main results, main PV components used and the loss diagram shall be submitted
to the Onix for approval and subsequent to approval, the monthly guaranteed PR value
shall be submitted.

3.9 SITE CLEARANCE, CLEAN-UP AND WASTE DISPOSAL


3.9.1 The Bidder shall be responsible for keeping the entire site clean and free from
accumulation of waste materials, scraps and debris at all times until the Site handover to
the Onix. All material wastes in the Site should be collected and stored at designated areas
with waste segregation.
3.9.2 The Bidder shall not permit the manufacture, storage, transmission or presence of
Hazardous Materials on the Site.
3.9.3 Any Hazardous Material created, used or handled by the bidder during execution of works
at Site to be removed and disposed-off through an approved vendor.
3.9.4 The bidder shall notify the Onix immediately upon the discovery of the presence of any
Hazardous Material on, or the release of Hazardous Material on or from the Site and shall
promptly and forthwith take steps to remove such hazardous material or curtail the ill effect
that may be caused by the release of such hazardous material.

4 SCOPE OF WORK

4.1 SCOPE ITEMS


4.1.1 The scope of work for this solar PV project encompasses a comprehensive range of
activities required to ensure successful project completion, all to be executed by the EPC
bidder.
4.1.2 Pre-construction tasks such as land cleaning, land grading, and boundary fencing.
4.1.3 Design and engineering of the solar PV plant, transmission line, and substation bay in line
with APPENDIX – TECHNICAL SPECIFICATIONS.
4.1.4 Extensive studies like geo-tech, topography, hydrology (if needed), and transmission line
route surveys are also part of the scope.
4.1.5 Site preparation activities include the provision of construction power, water, labor camps,
storage yards, first aid stations, firefighting facilities, drinking water facilities, site offices,
and security personnel.
4.1.6 Supply, handling, installation, and commissioning tasks cover the procurement and
installation of PV modules (excluding supply), inverters (excluding supply), module
mounting structures, various cables, switchgear, earthing and lightning protection systems,
metering, SCADA and monitoring systems, CCTV, fire alarm and protection systems,
outdoor illumination, and spares.
4.1.7 Construction activities involve the development of roads, drainage systems, control rooms,
equipment foundations, trench excavation, and installation of all equipment as per OEM
specifications.
4.1.8 The project management aspect includes tracking engineering drawings, documentation,
procurement, construction activities, material quality control, prototype inspections,
construction supervision, field quality control, and health and safety management.
4.1.9 Design, engineering, supply, handling, installation, commissioning, and maintenance of
transmission line & bay at S/S end will be in the scope of the bidder including liaising &
statutory approvals required for charging the solar plant.
4.1.10 Testing, commissioning, and handover processes ensure the entire system's functionality,
with performance guarantee tests, punch point closure, and as-built engineering
documentation.
4.1.11 The operations and maintenance phase ensures comprehensive upkeep, security, cleaning
cycles, personnel insurance, reporting, and guaranteed generation demonstration.
4.1.12 Further during all the phases, the EPC Bidder shall comply with the latest requirements /
guidelines of Ministry of New and Renewable Energy (MNRE), Central Electricity
Regulatory Commission (CERC), Central Electricity Authority (CEA), State Load Dispatch
Centre (SLDC), State/Central Utility where plant is getting connected and other relevant
government bodies.

4.1.13 With no limitations, the EPC Bidder shall implement the project professionally, using high
quality engineering design standards and project management warranting the procedures
in accordance and consistent with prudent industry practices and all applicable Law.
4.1.14 It is also important to note that any task required for the project's successful completion,
even if not explicitly listed, shall also be undertaken by the EPC bidder as necessary unless
listed by EPC in specific exclusions.
4.1.15 EPC acknowledges that Onix has appointed Onix’s Engineer and Third-Party Consultants
(TPCs) to monitor of Detailed Engineering Review, Supply of Equipment, and Progress of
Supply of Equipment at the EPC’s Works and at the Delivery Site, on behalf of Onix, to
ensure that the Plant & Equipment supplied as per scope of works mentioned, technical
specifications provided with complying health, safety and environment policies.
4.1.16 Onix’s Engineer shall perform activities, to the extent applicable to this Contract. Onix's
Engineer shall also have the right to verify and inspect the Equipment prior to dispatch. The
EPC shall ensure that they will allow the Onix’s Engineer to review all test to be conducted
including test certificates as and when required and as applicable. The EPC shall submit
the copies of the test certificate for the tests conducted on Equipment to the Onix or it’s
Engineer as per the EPC’s FQAP.
4.1.17 Onix and Third Party Consultants (TPC) appointed by Onix will be involved as specified in
the provided scope matrix.

The EPC is required to submit duly completed forms and confirmation on adherence for all
the appendices. The EPC is required to submit conceptual design and drawings, with their
proposed project components. This shall essentially include but not be limited to:

name being submitted e.g. GS01 - Pre Bid Queries.pdf
5.4.3 Bidder must not share any drive links and all the documents must be shared as email
attachments only. Onix can accept up to 20 MB attachments in single email. Bidder can
split submissions over multiple emails in case of higher sizes.

5.4.7 No extension of time for submission of Bids shall be allowed for any technical issues like
non availability of website, delay in uploading of document, etc.,
5.4.8 Before submitting the Bids, it should be ensured that all relevant bid documents required to
be submitted are signed by the authorized person signing the Bid.
5.4.9 Any editing / over writing to be avoided and shall be considered only if they are signed by
the authorized person signing the Bid. No conditional bid shall be accepted and will be
rejected summarily forthwith.
5.4.10 The bidder shall submit the techno-commercial offer in line with the RFP & any deviation
from this RFP may lead to rejection of offer without prior notice & no further communication
regarding the same will be entertained.
