Instructions:

1. The bidder is required to submit this Pre-Qualification Proposal, as per formats and order
provided below only. Please note that provision of information in incorrect formats may lead
to disqualification.

2. Please provide requisite documentary proof for all information provided. Please note that non-
submission of documentary proof may lead to disqualification.

3. The bidder is required to provide appropriate tags /page numbers in the proposal to help locate
the relevant Pre-Qualification criteria (PQ-1 to PQ-15) and enhance the overall readability of
the document. Poor readability of the document may lead to rejection of the Bid.

NOW THEREFORE, THIS INDENTURE WITNESSTH AS UNDER:


In consideration of the above premises and agreement, all the members of this Consortium do
hereby mutually agree as follows:
1. It is hereby agreed that the Lead Member shall submit the Proposal and sign the Contract
with TASMAC.
2. It is hereby agreed that the Lead Member is hereby authorized by the Members of Consortium
to bind the Consortium and receive instructions for and on behalf of all Members.
3. It is hereby agreed that the Lead Member shall have the majority stake in the Project; stake
being calculated from the detailed roles and responsibilities defined for the Consortium and
as declared in the Proposal.
4. It is hereby agreed that the Lead Member shall be liable and responsible for ensuring the
individual and collective commitment of each of the Members of the Consortium in discharging
all their respective Roles and Responsibilities. Each Consortium Member further undertakes
to be individually liable for the performance of its part of the Roles and Responsibilities without
in any way limiting the scope of collective liability envisaged in this Agreement in order to meet
the requirements and obligations of the Tender.
5. It is hereby agreed that the Lead Member is authorized and shall be fully responsible for the
accuracy and veracity of the representations and information submitted by the Consortium
Members respectively from time to time in response to the Tender for the purposes of the Bid.
6. It is hereby agreed that in case of any breach of any of the commitment as specified under
this Agreement by any of the Consortium Members, the Lead Member of the Consortium shall
be liable to meet the obligations under the Contract.
7. Except as specified in the Agreement, it is agreed that sharing of responsibilities as aforesaid
and obligations thereto shall not in any way be a limitation of responsibility of the Lead Member
under these presents.
8. This Consortium Agreement shall be construed and interpreted in accordance with the Laws
of India and Courts at Chennai alone shall have the exclusive jurisdiction in all matters relating
thereto and arising there under.
9. It is hereby agreed that the Lead Member shall furnish the Bid Security, as stipulated in the
Tender, on behalf of the Bidding Consortium.
10. It is hereby agreed that no Consortium member shall be a part of more than one Consortium
and only one Bid will be allowed from a Consortium. The members of a Consortium are also
not allowed to bid individually as a Sole Bidder.
11. It is hereby agreed that in case of selection of Bidding Consortium as the Successful Bidder,
the Parties to this Consortium Agreement do hereby agree that they shall furnish the
Performance Guarantee and other commitments to TASMAC as stipulated in the Tender. The
Lead Member shall be responsible for ensuring the submission of the Performance Guarantee
and other commitments on behalf of all the Consortium Members.
12. It is further expressly agreed that the Consortium Agreement shall be irrevocable and shall
remain valid over the term of the Project, unless expressly agreed to the contrary by TASMAC.

13. It is hereby expressly agreed between the Members to this Consortium Agreement that neither
Member shall assign or delegate or subcontract its rights, duties or obligations under this
Agreement except with prior written consent of TASMAC.
14. It is hereby expressly agreed that Agreement is applicable to this Contract executed out of
this RFP and shall be binding on Consortium Members for the Contract Period.
15. This Consortium Agreement:
a. has been duly executed and delivered on behalf of each member hereto and constitutes
the legal, valid, binding and enforceable obligation of each such member;
b. sets forth the entire understanding of the members hereto with respect to the subject
matter hereof; and
c. may not be amended or modified except in writing signed by each of the members and
with prior written consent of TASMAC.

a. Such Products as the TASMAC may opt to purchase from the Supplier, provided, that this
option shall not relieve the Supplier of any warranty obligations under the Contract; and
b. In the event of termination of production of such Products:
i. advance notification to the TASMAC of the pending termination, in sufficient time
to permit the TASMAC to procure needed requirements; and
ii. Following such termination, furnishing at no cost to the TASMAC, the blueprints,
design documents, operations manuals, standards, source codes and
specifications of the Products, if requested.

With respect to the above format, the Bidders are requested to note the following:

1. Months are counted from the start of the assignment.


2. For Key Professional Staff sought in the Proposal, the input should be indicated individually. For others, it may be indicated by
category (e.g., Development team).
3. Effort should be indicated in man-months. Clear distinction to be made between onsite effort (at the project location) or offsite
effort.
4. Bidder may add any additional profile in the resource deployment plan above if required.
5. In case more than 1 resource is likely to play a given role, total effort for that role may be indicated. E.g., 5 different Software
Quality Engineers may be deployed by the Bidder, each spending 5 man-week effort. In such a case, a total man-week effort
of 25 may be indicated against the 'Software Quality Engineer' profile.
6. Project Manager and Key Personnel whose CVs are provided should operate from System Integrator’s Chennai office atleast
till the time of full-scale rollout of the project.

3.11. Restrictions on Public Procurement to be complied

Bidders are requested to comply with the below instructions without fail. Any bidder from a country
which shares a land border with India will be eligible to bid in this tender only if the bidder is
registered with the Competent Authority. The Competent Authority for the purpose of registration
under this tender shall be
a) The Registration Committee constituted by the Department for Promotion of Industry and
Internal Trade (DPIIT). OR
b) The Registration Committee constituted by Government of Tamil Nadu consisting of the

Definitions:
i. “Bidder” for the purpose of the tender (including the term ‘tenderer’, ‘consultant’, ‘vendor’ or
‘service provider’ in certain contexts) means any persons or firm or company, including any
member of a consortium or joint venture (that is an association of several persons, or firms or
companies), every artificial juridical person not falling in any of the descriptions of bidders stated
hereinbefore, including any agency branch or office controlled by such person, participating in a
procurement process.
ii. Bidder from a country which shares a land border with India” for the purpose of this tender
means-
a. An entity incorporated, established or registered in such a country; or
b. A subsidiary of an entity incorporated, established or registered in such a country; or
c. An entity substantially controlled through entities incorporated, established or registered in such
a country; or
d. An entity whose beneficial owner is situated in such a country; or
e. An Indian (or other) agent of such an entity; or
f. A natural person who is a citizen of such a country; or
g. A consortium or joint venture where any member of the consortium or joint venture falls under
any of the above.
However, there are no restrictions in case of procurement of goods or services from the bidder

iii. The “Beneficial owner “for the purpose of (ii) above will be as under:
(1) In case of a company or Limited Liability Partnership, the beneficial owner is the natural
person(s), who, whether acting alone or together, or through one or more juridical person(s), has
a controlling ownership interest or who exercises control through other means.
Explanation –
a. “Controlling ownership interest” means ownership of, or entitlement to, more than twenty-five
percent of shares or capital or profits of the company;
b. “Control” shall include the right to appoint majority of the directors or to control the management
or policy decisions, including by virtue of their shareholding or management rights or shareholders
agreements or voting agreements.
(2) In case of a partnership firm, the beneficial owner is the natural person(s) who, whether acting
alone or together, or through one or more juridical person, has ownership of entitlement to more
than fifteen percent of capital or profits of the partnership;
(3) In case of an unincorporated association or body of individuals, the beneficial owner is the

(4) Where no natural person is identified under(1) or (2) or (3) above, the beneficial owner is the
relevant natural person who holds the position of senior managing official;
(5) In case of a trust, the identification of beneficial owner(s) shall include identification of the
author of the trust, the trustee, the beneficiaries with fifteen percent or more interest in the trust
and any other natural person exercising ultimate effective control over the trust through a chain
of control or ownership.
(6) An ‘agent’ for the purpose of this tender is a person employed to do any act for another, or to
represent another in dealings with third person.
(7) The successful bidder shall not be allowed to sub-contract works to any contractor from a
country which shares a land border with India unless such contractor is registered with the
Competent Authority. The definition of a ‘Contractor‘ from a Country which shares a land border
with India‘ shall be as detailed in paragraph (ii) above.
