Oceânica's management is based on NBR ISO 9001:2015, integrated with the
Environmental Management System certified under NBR ISO 14001:2015 and the
Occupational Health and Safety Management System certified under NBR ISO
45001:2018. These certifications are unified under its Quality, Environmental, Health,

The system supports the scope of subsea engineering services and activities including

Rio das Ostras (RJ)
The safety of our employees and the technical excellence of the services we provide are
the pillars of our operations. Since 2012, we have been operating at the Training Centre
based in Rio das Ostras (RJ), focusing on non-destructive testing techniques, diving, and
safety, in compliance with the requirements of the IMCA (International Marine
Contractors Association).

The activities of the centre are organised into annual training schedules, encompassing
new techniques, certifications, and preparation for the exams of Abrendi (Brazilian
Association for Non-Destructive Testing), a technical-scientific institution specialising in
the sector.

Our centre in Rio das Ostras is a landmark of pioneering and infrastructure, featuring a
diving tank and proprietary equipment. This innovative approach continues to guide our
activities, and we are always attentive to updates and advancements in legislation,
regulations, standards, techniques, and certifications to train our staff and optimise our
processes, enabling the company to deliver operational excellence to its clients.

instructors, three simulators (ROV, Work Class, and Lynx), and a tank with a pipeline for
inspection training. The facility is designed to qualify participants of the Future Diver
Programme as ROV pilots.

4. Oceânica's Responsibility

· OCEÂNICA will provide the necessary logistics to ensure the service team
arrives at the airport specified by PERENCO

· OCEÂNICA will provide experienced personnel, adequately trained, with all


the relevant documentation valid.

· OCEÂNICA will provide suitable equipment, properly maintained in


compliance with legislation and industry best practices.

· OCEÂNICA will be responsible for complying with all Brazilian legislation


related to its services.

· We consider the mobilisation and demobilisation of equipment and personnel


to the State of Rio de Janeiro

5. Client Responsibilities

· Provide all the technical details of the project to the operations team.

· Provide the matrix of minimum training requirements for personnel engaged in the
operation.

· Respect the working hours of the Oceânica team, which will be from 6:00 AM to
6:00 PM with a one-hour meal break following Law 5.811.

· Provide ground transportation for the team and equipment to the FSO.

· Provide access to fresh water and power supply at the diving location

· Provide accommodation and meals for Oceânica's team.


Commercial Proposal
6. Genneral Term & Conditions

· The execution of this proposal requires prior confirmation from Oceânica


regarding the firm availability of the Team and Equipment.
· Expected period for commencement of operations: April/ 2025
· Oceânica must inform the client regarding the unavailability of the resource for
the desired timeframe.
· Standby daily rate corresponds to 90% (ninety per cent) of the operational daily
rate.
· Oceânica will implement an annual proposal adjustment with a base date of
01/2025.

7. Payment Terms

· At the end of each month, OCEÂNICA will submit an invoice in Brazilian currency
(BRL), accompanied by a measurement report and the corresponding bank details,
ensuring payment for the services rendered within 30 days.
· The measured amount will be converted according to the PTAX800 exchange rate
from the Brazilian Central Bank's Currency System (SISBACEN), applicable on the
day before the issuance of the invoice.

8. Expiry Date
The PROPOSAL is valid for up to 30 days, subject to the availability of personnel
and equipment.

9. Taxes

OCEÂNICA has included the following taxes in the proposal :

• PIS - 1.65%
• COFINS - 7.60%

their availability for boarding, and will be charged at each crew change.
OBS 4.: The amounts presented in this proposal are shown in US Dollars for
reference purposes only.
