reflects our unwavering commitment to nurturing excellence in legal education and

Contract drafting is not merely a technical exercise—it is the foundation upon which legal
relationships are built and protected. In an era where law intersects dynamically with

thinking legal frameworks is indispensable. This competition is designed to ignite that learning
appetite among students, encouraging them to think critically, draft innovatively, and engage
with real-world legal challenges. I extend my heartfelt congratulations to the organizing team
for conceptualizing and executing this visionary event. Their dedication and creativity have
brought together a platform that will not only test legal acumen but also foster collaboration,

ELIGIBILITY
Any student pursuing law in a 5-year integrated program or a 3-year
law degree program enrolled in any recognised educational institution
Participants have to register with the payment of the registration
fee. The registration fee (including GST) is as follows: –

SUBMISSION GUIDELINES
1. Participants may register individually or in a team of two
2. The agreement shall be drafted on the basis of the Problem
Statement.
3. The agreement shall be drafted in the English language only.
4. The agreement shall not exceed more than five (5) A4-sized
typewritten pages, excluding the cover page and the signature page.
5. The document containing the agreement shall not reveal the
identity of the participants, in any manner whatsoever, except for
the team code.
6. Soliciting assistance from industry professionals with or without
consideration is prohibited.
7. Formatting: Font style - Times New Roman, font size - 12, line
spacing - 1.5, justified alignment, paragraph spacing - 0 pt. before
and after, 1 inch margin on all sides.
8. Plagiarism limit is 10%
9. Submissions shall be made in .docx or .doc format only.
10. Submissions shall be made by sending an email to

PROBLEM STATEMENT
BRIEF BACKGROUND
1. In 2019, luxury fashion brand Prada S.p.A., headquartered in
Milan, Italy, introduced a new line of leather sandals marketed as
“Kolhapuri,” which sparked significant debate in India over the
unauthorized use of the traditional Kolhapuri Chappal design. The
Kolhapuri chappal is protected under the Geographical Indication
of Goods (Registration and Protection) Act, 1999, as a GI tag
belonging to artisans in Maharashtra and Karnataka.
2. The Maharashtra Leather Artisans’ Cooperative Society (MLACS),
based in Kolhapur, represents hundreds of traditional artisans
engaged in manufacturing genuine Kolhapuri chappals. MLACS
claims that Prada’s actions amount to cultural appropriation,
economic exploitation, and infringement of GI rights.
3. In order to resolve the issue amicably and avoid prolonged
litigation, the parties have entered into negotiations to formalize a
Licensing and Supply Agreement. Under this, Prada proposes to
license the use of the “Kolhapuri” name and design by sourcing
directly from MLACS artisans, while MLACS seeks fair recognition,
royalty payments, and protection of its artisans’ rights.
4. The proposed agreement would not only cover the commercial
aspects of production and branding but also address issues relating
to exclusivity, quality assurance, dispute resolution, and termination.
Both parties have appointed legal teams to draft the agreement, but
several contentious issues remain.
THE DEAL
1. Prada S.p.A. proposes to source 50,000 pairs annually of authentic
Kolhapuri chappals from MLACS artisans.
2. Prada will pay MLACS a royalty of 5% per pair sold globally, in addition to
covering production costs.
3. The initial term of the contract will be 10 years, renewable upon mutual
consent.
4. MLACS will grant Prada a license to use the Kolhapuri GI tag on its
products, conditional upon quality checks and cultural representation clauses.
5. Prada wishes to market the footwear globally under the “Prada x Kolhapuri”
line.
CLIENT INSTRUCTIONS (Maharashtra Leather Artisans’ Cooperative
Society – MLACS)
1. Your client, MLACS, has agreed to the abovementioned deal but has certain
concerns that must be incorporated into the contract:
2. MLACS insists on a Minimum Guarantee Royalty clause ensuring fixed
annual payments regardless of Prada’s sales performance.
3. MLACS requires a Geographical Indications Protection clause, ensuring
Prada cannot dilute, misuse, or misrepresent the Kolhapuri heritage.
4. MLACS demands a Right to Audit Prada’s records to verify royalty
calculations.
5. A Quality Control & Authenticity clause should be included to maintain
traditional craftsmanship standards.
6. MLACS seeks a Termination Clause triggered if Prada fails to meet cultural,
financial, or contractual obligations.
7. MLACS requires an Exclusivity Clause preventing Prada from sourcing
Kolhapuris from any other entity during the contract term.
8. MLACS wants the contract governed by Indian law, with disputes resolved
through arbitration seated in Mumbai, India.
9. A Force Majeure Clause must be included to safeguard artisans in case of
pandemics, trade restrictions, or raw material shortages.
