escrow accounts. This works by having the Vendor
submit a copy of its source code to an escrow agent,
who will then in turn, store the source code in a
secure location.

Licensee’s benefit – In the event that a specific,
release/triggering event agreed upon by the
Vendor and Licensee occurs, the Agent will then
have the right to release the source code that was
deposited into escrow, to the Licensee.

The Vendor’s benefit – Establishing an escrow
account protects their interests and increases the
value of the solution to their customers.
