Sponsorship Guidelines 2024-25
A. Policy:
CHRIST (Deemed to University) recognises the need to sustain and encourage student and
faculty members to organise academic, curricular, co-curricular and extracurricular
activities at all its Campuses through the financial contributions from individuals and
organisations. However, the University also wishes to ensure that such financial
contributions and engagements align with its culture, values, standards and norms.
B. Guidelines:
Applicability: These guidelines apply to all the Campuses, Schools, Departments, Centres,
Cells and Offices of the University.
These guidelines are not applicable to stalls managed by students, teaching and
non-teaching staff, and they may refer to the Guidelines issued for Campus Stalls.
C. Sponsorship Slabs (per day per stall charges)
The following sponsorship rates are minimum contribution amounts and are
non-negotiable. Departments are encouraged to secure sponsorships exceeding these
minimum amounts to ensure the smooth operation of their respective programmes.
Basic permissible deliverables:
a) Name and Logo on the poster/banners.
b) Standees of the Organisation.
c) Announcement of the sponsorship at Events and Auditorium. [No promotional
videos of sponsors can be shown in the Auditorium. Only logo display is permitted
in the Auditorium.]
The minimum sponsorship for the above is Rs. 25,000 per day
Additional deliverables (additional charge payable as a one-time payment about the cost
for basic deliverables)
1. Social Media Promotion - Rs 5,000 per post.
2. Video promotion at Events (not in the Auditorium) - Rs 5,000 per day
Deliverables provided over and above the basic permissible and additional deliverables.
The amounts being per day charges include the sponsorship for basic permissible
deliverables:
(Stall size permitted per sponsor - 9.6× 9.6)
1. Promotional Stall (excluding categories mentioned in clause 2(d) below) inside the
campus without sale - Rs 30,000 per day, excluding Food & Beverages stalls.
2. Stall inside the campus with sale [Maximum number of stalls permitted per Event is 8
(eight), of which only 50% stalls can be food stalls]
a. Pastries, Snacks, ice cream, and beverages - Rs 30,000 per day; signing of the
Sponsorship agreement is mandatory.
b. Fast food, full meals and packaged food - Rs 40,000 per day, signing of the
Sponsorship agreement is mandatory.
c. Sale of non-food items (excluding categories mentioned in clause 2(d) below)
such as Bags, Home Decor items, Notebooks, Pens, Arts and Crafts, Wearable
Glasses, Handicrafts, Cameras and their accessories, Clocks and Watches, Musical

Instruments, Earphones/Earbuds/Airpods, items promoting environment
conservation (to be pre-approved), Paintings/Drawings or Work of Art, Mobile
manufacturing brands, Mobile network operators, Broadband service providers -
Rs 25,000 per day, signing of the Sponsorship agreement is mandatory.
d. Theme Parks, Movie Theatres - Rs. 1,00,000 per day
3. NGO - Rs 5,000 per day [1 person is allowed per stall, in case more than 1 person up to
a maximum of 3 persons is needed at the stalls, then minimum sponsorship is Rs.
7,000 per day].
4. Display of Bike and E-Bikes
a. E-bikes - Rs 40,000 per day
b. Bikes Upto 150 cc - Rs 40,000 per day
c. Between 150 cc - 350 cc - Rs 50,000 per day
d. Between 350 cc - 650 cc - Rs 60,000 per day
e. Above 650 cc - Rs 70,000 per day
6. Display of Car
a. EV Vehicle - Rs. 1,00,000 per day
b. Hatchback - Rs 1,00,000 per day
c. Sedan - Rs 1,25,000 per day
d. SUV - Rs 150,000 per day
e. MUV/Coupe/Convertible - Rs 2,00,000 per day
f. Pickup Trucks - Rs 250,000 per day
g. Luxury Cars - Rs 350,000 per day (If the value of the Car proposed to be
displayed is over Rs. 20 lakhs, it is considered to be a luxury car)
7. For National or International Level Conferences or Fests or Events with external
organizations or Academic Institutions or Professional Bodies, the minimum
sponsorship is Rs 200,000 per conference or 50% of the conference cost whichever is
higher.
8. The sponsor occupying the stall is responsible for any damages to
university-provided stalls, accessories, equipment, or other facilities.
They are required to compensate the university for any such damages
incurred.
IMPORTANT: Any deliverable not covered above needs to be pre-approved by the Office
of Registrar before agreeing with the Sponsor.
D. Non-monetary Sponsorship
All non-monetary sponsorships should be pre-approved by the Assistant
Registrar for Bangalore Central Campus and Authorized Officer of other
Campuses.
1. Definition: Any sponsorship that contributes in reducing the cost of the Fest/Event
will be termed as non-monetary sponsorship. For example, if awards or cash prizes are
provided/contributed by the Sponsor instead of the University, such sponsorship will
be termed as non-monetary sponsorship. Alternatively, if the Sponsor is giving 1,000
membership coupons of Rs. 500 each, such an arrangement will be only promotional
in nature which does not contribute in reducing the cost of the Fest and will not be
termed as non-monetary sponsorship.
2. Non-monetary Sponsorship such as Food, Snacks, and Accommodation - No
minimum sponsorship amount. Signing of the Sponsorship agreement is
mandatory.
3. Sponsorship of Vouchers and Coupons above the value of Rs 20,000 (minimum per
coupon value of Rs 2,000 to Rs 5,000) provided as prizes to participants is only
allowed. Small value promotional coupons and vouchers are not allowed.
IMPORTANT: Any deliverable not covered above needs to be pre-approved by the Office
of Registrar before agreeing with the Sponsor.

E. Sponsorship Contract Terms and Approval
1. The Sponsorship amount paid by the external organisation is non-refundable, and
sponsorship would be valid only for each specific event.
2. The University reserves the right to terminate the sponsorship at any time either
before or during the Fest/Event if the sponsorship is not in consonance with the
University guidelines, regulations, policies and MOUs.
3. Departments/ Centres/ Offices collaborating with external organisations, Academic
Institutions, and Professional Bodies for event sponsorship, in the absence of an
existing collaboration, should formally sign an agreement with that organisation for
such sponsorship/ collaboration.
4. All sponsorships provided in monetary terms must be processed through either a
cheque or online transfer to the designated campus accounts. For specific details
regarding the bank account information, please contact the Office of Accounts at your
respective campus.
5. Any Sponsorship received in kind should follow the same approval process for
cash/monetary value sponsorship.
6. All Sponsorships are to be recommended by the Head of the Department and
approved by the Chief Finance Officer in the case of Bangalore Central Campus and
Campus Deans/ Directors in the case of other Campuses for approval before
finalising the Sponsorship partner.
7. In the case of Bangalore Central Campus, recommendations for accepting sponsorship
should be submitted via “Approved Form” (Annexure 1) to the Assistant Registrar,
Office of Registrar, Ground Floor, Central Block, at least 1-2 weeks prior to the event.
The same procedure can be followed at the other campuses in Bangalore and
Off-campuses with the Authorised Officers of the respective campus.
F. Liability and Indemnification
The Sponsor shall maintain in full force and effect during the term of the Agreement and
agree that:
1. The Sponsor shall have absolute responsibility in ensuring that all food products
served or sold on the University premises meet or exceed the food quality standards,
safety guidelines, and regulations prescribed by the Food Safety and Standards
Authority of India (FSSAI) and other relevant local, state, and national authorities.
2. The Sponsor shall take extra care to maintain a clean, hygienic, and safe food
preparation and serving area at all times, ensuring compliance with FSSAI guidelines
and standards.
3. The Sponsor shall defend, indemnify, and hold harmless the University from and
against any and all losses, damages, liabilities, claims, costs, and expenses (including
reasonable attorneys' fees) arising out of or in connection with the Sponsor’s operation
of a food service business on the premises, including but not limited to any claims
arising out of or in connection with the quality or safety of the food served by the
Sponsor or any violation of the University guidelines for food Sponsors.
4. The Sponsor's indemnification obligation includes but is not limited to, claims related
to foodborne illnesses, property damage, personal injury, or any other claims resulting
from the Sponsor's operations on the University premises.
5. Sponsors providing Hospitality and Accommodation services should ensure the safety
and security of the occupants and maintain the facility in accordance with the
Generally Accepted Hospitality Standards and any other legally prescribed standards
in the field of Hospitality and Accommodation.
6. The Sponsor shall hold the University harmless from any liability, losses, damages, or
expenses incurred due to the Sponsor's actions or omissions while operating on the

University premises or in their own facility in case of the Sponsor providing
Hospitality services..
7. The Agreement does not create a joint venture or partnership between the parties.
G. Non-permissible: Sponsorship Products and Services
1. Products such as Tin Cans, Aerated drinks, Alcohol or Alcohol based products,
Caffeinated drinks, Tobacco based products are not permitted to be sold on the
Campus.
2. Promotion of printed and/or round-neck T-shirts is not permitted.
3. External Sponsoring Parties are not permitted to conduct orientations as part of the
sponsorship activity.
4. Sponsors are not permitted to collect confidential personal information of the
students, such as mobile numbers, addresses, or financial information.
5. Any product promotion, content, or images, either digital or non-digital, used at the
event should not infringe or violate the religious identity of any community.
6. Promotion of living spaces, hostels, coaching centres and educational institutions are
not permitted.
7. Use of Loudspeakers by the sponsoring organisation/individual is not permitted on
Campus.
8. The use of the sponsor's name in the certificate issued to participants is not permitted
except for Academic partners.
9. Promotion/sale of Hair colour, Skincare, and Cosmetic products is prohibited.
10. Distribution or sale of small value promotional Vouchers and Coupons not permitted.
H. Permissible: Sponsorship Products and Services
1. Full/ Partial food/snack sponsorship for an event
2. Food/ snacks sale stalls (No provision for Gas Cylinder)
3. T-Shirt Brands (only promotion of collar T-shirts, for example, Polo T-shirts)
4. Display of Motorbikes/ E-bikes/ Cycles.
5. Products of NGO
6. Full/ Partial sponsorship for participant accommodation (Example: Hotels)
7. Footwear, Clothing (allowed on case to case basis), Bags, Sweaters (allowed on case to
case basis), Home Decor items, Notebooks, Pens, Arts and Crafts, Wearable Glasses,
Handicrafts, Cameras and their accessories, Clocks and Watches, Musical
Instruments, Earphones/Earbuds/Airpods, Items promoting environment
conservation (to be pre-approved), Paintings/Drawings or Work of Art, Mobile
manufacturing brands, Mobile network operators, Broadband service providers
8. Sponsorship in kind (vouchers/ coupons): permitted only as a partial sponsorship in
values above Rs 20,000
9. Academic partners' names can be included in the certificate issued to participants as
part of the sponsorship.
Note:
1. Sponsorship approval document has to be submitted by the Faculty-in-charge for the
event, either personally or by email and not by the student.
2. Food sales by the Department of Hotel Management students under the supervision of
faculty is permitted.
3. The sale of food by Individual students/student groups inside campus premises is not
permitted. However, refer to the Guidelines issued for Campus stalls for more information.
4. The Sponsorship guidelines will be amended from time to time and will be applicable with
immediate effect from the date of amendment.
5. In the event of an amendment to Sponsorship guidelines after Budget and Sponsor
approvals but before completion of the concerned event, the Sponsorship guidelines
applicable as of the date of obtaining Budget and Sponsor approvals shall prevail over the
amended Sponsorship guidelines.

6. It is expected that Schools, Departments, Centres, Cells and the Offices of the University
refer to the latest Sponsorship guidelines available in KP before the start of any event or
before reaching out to Sponsors for the event concerned.
7. In the event of a conflict between the deliverables requested by the Sponsor and the
applicable Sponsorship guidelines, the decision of the Assistant Registrar for Bangalore
Central Campus and Authorized Officer of other Campus shall be final and binding.
8. The University is not liable or responsible for any deliverable agreed upon with the
sponsor without complying with these guidelines.
I. Duties of the Sponsor
The clauses mentioned below shall be applicable as per the mutual arrangements/ Type of
Sponsorship/ type of products as part of the sponsorship between the sponsor and the
University.
a) The Sponsor shall have absolute responsibility in ensuring that all items and products,
sold on the University premises meet or exceed the quality standards.
b) The Sponsor shall always maintain the premises clean, hygienic, and safe and ensure
compliance with applicable laws pertaining to their item of sale.
c) The Sponsor shall possess and maintain all necessary licenses, permits, and
registrations from relevant authorities as applicable for the preparation and
distribution of food and other items.
d) Sponsors are not permitted to collect any type of confidential personal information of
the students, such as mobile numbers, addresses, or financial information.
e) Photography and videography in the Campus premises is strictly prohibited.
f) Any product promotion, content, or images used at the event should not infringe or
violate the religious identity of any community.
g) Promotion or distribution at any area other than the Premises is not permitted.
h) The use of loudspeakers by the Sponsor is not permitted on campus.
i) Sponsors providing Hospitality and Accommodation services should ensure the safety
of the occupants and maintain the facility according to the legally prescribed
standards.
j) Food Sponsors in addition to these terms, shall also follow the specific guidelines laid
down in Clause I.
J. Food Sponsor Guidelines
The Sponsors selling food items shall adhere to the following guidelines for the sale of
food, including but not limited to:
a) Products such as tin cans, aerated drinks, alcohol or alcohol-based products,
caffeinated drinks, tobacco-based products or any such harmful or hazardous products
are prohibited from being sold on the campus.
b) The University will not provide a Gas Cylinder or a provision for the vendor to place a
gas cylinder within the University premises.
c) Electric stoves are permitted along with the provision of electric points. The vendor
will have to get their own electric stoves.
d) The Sponsor shall ensure that all personnel involved in food preparation and handling
have received proper training in food safety and hygiene.
e) The Sponsor shall have absolute responsibility in ensuring that all food products
served or sold on the University premises meet or exceed the food quality standards,
safety guidelines, and regulations prescribed by the Food Safety and Standards
Authority of India (FSSAI) and other relevant local, state, and national authorities.
f) The Sponsor shall take extra care to maintain a clean, hygienic, and safe food
preparation and serving area at all times, ensuring compliance with FSSAI guidelines
and standards.
g) Stalls shall be set up for the promotion or sale, or distribution of food and beverages
only.

h) The Sponsor shall ensure that all food wastage arising from their operations in the
campus premises is cleared.
K. Governing Law and Dispute Resolution
Any dispute arising out of or in connection with this Agreement, including any question
regarding its existence, validity or termination, shall be mutually discussed and resolved
amicably. In the unlikely event of non-resolution, it may be referred to and finally resolved
by arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The
seat of the arbitration shall be in Bangalore. The tribunal shall consist of one arbitrator,
mutually agreed upon by the Parties. The language of the arbitration shall be English.
All the Agreements shall be governed by the laws of India and the state of Karnataka.
Courts in Bangalore shall have exclusive jurisdiction in the matters pertaining to the terms
of any Agreements.

Procedure for Sponsorship Approval
1. All sponsorship approvals are to be completed three (3) days prior to the commencement
of the event.
2. Approval process
a. Submission of Annexure 1 (Both for cash and kind sponsorship) with
details of the sponsor and the proposed deliverables to the Assistant Registrar a
minimum of five (5) working days prior to the commencement of the event.
b. Approval of the Sponsor and deliverable will be communicated by the Assistant
Registrar to the Head of the Department/ Centre/ Cell and Office.
c. Post the approval of the Sponsorship, the bank details will be shared by the Office
of Accounts with the departments concerned. Details sent previously for previous
events cannot be assumed for future transfers. Each event has to be approved
separately, and details will be shared accordingly by the Office of Accounts.
Note: Any sponsorship amount paid by the sponsor without the above approval or the
knowledge of the Office of Accounts, the University shall not be held liable for repayment/
refund and complying with the obligations committed by the Department for the event.
Further, such payment shall not guarantee stall booking.
3. Submission of Annexure 2 for Stall booking
a. Annexure 2 has to be submitted to the Assistant Registrar latest by three (3) days
prior to the commencement of the event.
b. Stall booking confirmation will be communicated by the Assistant Registrar within
1 working day of submission of Annexure 2 to the Head of the Department/
Centre/ Cell and Offices.
c. For product sales, along with the stall booking, departments have to submit the
signed agreement (Annexure 4) with the sponsor.
4. Submission of the consolidated statement of sponsorship.
a. Annexure 3 has to be submitted to the Assistant Registrar with a copy of the
Assistant Finance Officer and the Office of Accounts a maximum of one (1) day
prior to the commencement of the event.
b. Non-submission of the Annexure 3 will result in the cancellation of stalls booked
for the event.
5. Sponsorship Agreement
a. Annexure 4 (ORIGINAL SIGNED COPY) has to be submitted to the Assistant
Registrar for all types of sales by Sponsors within the campus premises.
Authorised Officer for campuses other than Bangalore Central Campus of the University for
approval of Sponsorship will be Dean / Associate Dean / Director of the Campus.

SPONSOR AGREEMENT
CHRIST (Deemed to be University)
This Sponsor Agreement (hereinafter referred to as the "Agreement") is made and entered into
as of the [Date:_____________] by and between CHRIST (Deemed to be University), a
Higher Education Institution declared under Section 3 of the UGC Act, 1956, having its registered
office at Central Campus at Hosur Road, Dharmaram College P.O, Bangalore, Karnataka 560029,
hereinafter referred to as (the "University"), and [Sponsor

UNIVERSITY and SPONSOR shall hereinafter be collectively referred to as the “Parties” and
individually as a “Party”.
Whereas, the University desires to provide the Sponsor with a provision to operate food and/or
non-food businesses on the University's campus and/or to provide hospitality and
accommodation services in specific context of an event in the University, in accordance with the
University guidelines;
Whereas, the Sponsor desires to operate a food or non-food service business through
sponsorships on the University campus and to provide high-quality food items, non-food items or
hospitality services to the University's students, faculty, staff, and visitors in adherence to the
University's safety standards and guidelines.
Now, therefore, in consideration of the mutual agreements contained herein, the parties agree
as follows:
1. Grant of Space
a) The University hereby grants to the Sponsor a non-exclusive license to use the space
located at ________________________________ (the "Premises") for the
conduct of business/distribution of food. The Premises shall be used for the distribution of
both packaged and non-packaged food and beverages in accordance with the terms of this
Agreement and the University's guidelines for sponsorships. Premises shall not be used for
any purpose other than the purpose agreed in this agreement. Premises shall not be in any
of the living spaces within the University buildings or hostels. This shall not be applicable
to Sponsors providing hospitality services.
2. Term
a) The term of this Agreement shall commence on the [Date:______________] and shall
continue for the period of the event/ or a [Date:____________] as mutually decided, or
unless terminated by the University.
3. Consideration
The considerations shall be applicable as per the mutual arrangements of the sponsorship
between the sponsor and the University.
a) In case of operating a Stall within the Campus premises, the Sponsor shall pay to the
University a consideration in the amount of [Rs_______________] transferred through
cheque or online to the given Bank Account:_____________________, IFSC
code:______________.

b) The Sponsor may also fully/partially sponsor the food/ snacks/ beverages that are being
distributed at the premises during an event.
c) The Sponsor as part of sponsorship may also provide hospitality and accommodation
services, fully/partially and shall not pay any monetary consideration but may provide
the services at a discounted rate.
4. Duties of the Sponsor
The clauses mentioned below shall be applicable as per the mutual arrangements/ Type of
Sponsorship/ type of products as part of the sponsorship between the sponsor and the
University.
k) The Sponsor shall have absolute responsibility in ensuring that all items and products,
sold on the University premises meet or exceed the quality standards.
l) The Sponsor shall always maintain the premises clean, hygienic, and safe and ensure
compliance with applicable laws pertaining to their item of sale.
m) The Sponsor shall possess and maintain all necessary licenses, permits, and registrations
from relevant authorities as applicable for the preparation and distribution of food and
other items. The Sponsor shall mandatorily submit a copy of the following
certifications to the University once they sign this Agreement:
i) FSSAI Certificate
ii) GST Registration
iii) PAN Card
n) Sponsors are not permitted to collect any type of confidential personal information of the
students, such as mobile numbers, addresses, or financial information.
o) Photography and videography in the Campus premises is strictly prohibited.
p) Any product promotion, content, or images used at the event should not infringe or violate
the religious identity of any community.
q) Promotion or distribution at any area other than the Premises is not permitted.
r) The use of loudspeakers by the Sponsor is not permitted on campus.
s) Sponsors providing Hospitality and Accommodation services should ensure the safety of
the occupants and maintain the facility according to the legally prescribed standards.
t) Food Sponsors, in addition to these terms, shall also follow the specific guidelines laid
down in Clause 5.
5. Food Sponsor Guidelines
The Sponsors selling food items shall adhere to the following guidelines for sale of food,
including but not limited to:
i) Products such as tin cans, aerated drinks, alcohol or alcohol-based products, caffeinated
drinks, tobacco-based products or any such harmful or hazardous products are prohibited
from being sold on the campus.
j) The Sponsor shall ensure that all personnel involved in food preparation and handling
have received proper training in food safety and hygiene.
k) The Sponsor shall have absolute responsibility in ensuring that all food products served or
sold on the University premises meet or exceed the food quality standards, safety
guidelines, and regulations prescribed by the Food Safety and Standards Authority of India
(FSSAI) and other relevant local, state, and national authorities.
l) The Sponsor shall take extra care to maintain a clean, hygienic, and safe food preparation
and serving area at all times, ensuring compliance with FSSAI guidelines and standards.
m) Stalls shall be set up for the promotion or sale or distribution of food and beverages only.
n) The Sponsor shall ensure that all food wastage arising from their operations in the campus
premises is cleared.
6. Insurance And Indemnification
The Sponsor shall maintain in full force and effect during the term of this Agreement and
agrees that:

A. The Sponsor has commercial general liability insurance in an amount of not less than
[Amount Rs___________] per occurrence and [Amount Rs______________] in the
aggregate. The Sponsor shall provide the University with certificates of insurance
evidencing the coverage required herein.
B. The University shall not be held responsible and is not liable for any loss, damage or
liability arising from the transactions between the Sponsor and the buyer/user of the
products/services or arising due to any kind of negligence on the part of the Sponsor and
the absolute liability rests upon the Sponsor in any of these incidents.
C. The Sponsor shall defend, indemnify, and hold harmless the University from and against
any and all losses, damages, liabilities, claims, costs, and expenses (including reasonable
attorneys' fees) arising out of or in connection with the Sponsor’s distribution of food and
other items on the Premises, including but not limited to any claims arising out of or in
connection with the quality or safety of the food served by the Sponsor or any violation of
the safety guidelines or laws of the nation.
D. The Sponsor's indemnification obligation includes but is not limited to, claims related to
foodborne illnesses, property damage, personal injury, or any other claims resulting from
the Sponsor's operations on the University premises or in their own facility in case of the
Sponsor providing hospitality services.
E. The Sponsor shall hold the University harmless from any liability, losses, damages, or
expenses incurred due to the Sponsor's actions or omissions while operating on the
University premises or in their own facility in case of the Sponsor providing hospitality
services.
F. This Agreement does not create a joint venture or partnership between the parties.
7. Termination
The University may terminate this Agreement immediately upon written notice to the Sponsor
if the Sponsor:
a) Fails to pay Rent when due.
b) Breaches any provision of this Agreement.
c) Violates any applicable law, regulation, or University guidelines.
The Sponsor may terminate this Agreement upon 30-day written notice to the University
before the commencement of the event. In case the Sponsor terminates the agreement between
a period of 14 days and up to 20 days, there will be a deduction of 5% from the deposit amount.
If the period is between 7 days and up to 14 days, there will be a deduction of 25% from the
deposit amount. There will be no refund if the Sponsor terminates the agreement any less than
seven days before the commencement of the event.
If the Sponsor is a hospitality service provider, they will be blacklisted in case of cancellation of
rooms or termination of this agreement any less than seven days before the commencement of
the event.
8. No Conflicts
Each Party represents and warrants that its actions with respect to this Agreement do not
conflict with any prior obligations to any third party.
9. General Terms
This Agreement shall be binding on the Parties and their successors and assigns. The waiver or
failure of either Party to exercise in any respect any right provided for in this Agreement shall
not be deemed a waiver of any further right under this Agreement. If any provision of this
Agreement is deemed or held by a court of competent jurisdiction to be contrary to law or
otherwise unenforceable, it shall be enforced to the extent legally permissible and as necessary
to reflect the intent of the Parties and shall not affect the remaining provisions of this
Agreement, which shall remain in full force and effect. This Agreement may only be amended
by writing, executed by duly authorised representatives of the Parties hereto.

10. Dispute Resolution
Any dispute arising out of or in connection with this Agreement, including any question
regarding its existence, validity or termination, shall be mutually discussed and resolved
amicably. In case the same is not resolved amicably, the decision of the Chief Financial Officer
of the University shall be final.
11. Governing Law
The Agreement shall be governed by the laws of India and the state of Karnataka. Courts in
Bangalore shall have exclusive jurisdiction in the matters pertaining to the terms of this
Agreement.
