Web Design Contract
This Website Design Agreement (“Agreement”) is being made between Ganymede Business
Ventures Private Limited (“Client”) located at Gurgaon and (“Wroffy”) Wroffy Technologies Pvt.
Ltd. on (date) 28/12/2020 to design and develop a website.
1. Services
Wroffy will provide the following services:
Website Designing of upto 10 Pages on Wordpress Platform using genuine licensed theme. The
website will include 1 contact form page.
The services will include the following number of revisions: 3 . This is the scope of work the
parties agree upon. For changes or additional requirements, a change order will have to be
filled, agreed upon, and signed by both parties.
2. Cost and Payment
Wroffy will charge Rs.35000 + 18% GST for the services mentioned above as a fixed price.
The payment will be 100% advance which should be paid before work commences.
3. Schedule
Wroffy will provide the following deliverables at the following dates:

The Client will have 2 business days to review and approve each step. At the end of said
time, if no answer has been given, the work will be considered approved, and the Wroffy will
continue their work.
4. Confidentiality
During the term of this agreement and afterward, the Wroffy will use reasonable care to prevent
the unauthorized use or dissemination of Client’s confidential information. Confidential
information is limited to information clearly marked as confidential.
Confidential information does not include information that: the Wroffy knew before Client
disclosed it; is or becomes public knowledge through no fault of Wroffy; Wroffy obtains from
sources other than Client who owe no duty of confidentiality to Client, or Developer develops
independently.
5. Maintenance
We define "Maintenance" as keeping the web site current. It is not intended to be a new design.
We maintain a current backup, and archive all submitted files for your website.
We reserve the right to distinguish between "updates" and "new designs". Changing the
navigation, the adding of new pages, graphic changes, buttons, etc. are considered new
designs and charged accordingly to our hourly design rate.
It is the client's responsibility to review updates and notify us of any necessary changes that we
need to make. There will be no charge for any errors on our part. However, if a change needs to
be made due to client error, the regular hourly update fees will be charged. Your rate is
calculated on the total time involved in completing the updates.
Updates should be provided electronically (by email) as much as possible. Attachments should
be in text format (.txt or Word .doc formats are fine). Send digitized pictures in common format
such as .jpg, .gif, .ai, .psd, .png, .bmp, etc. Updates may also be sent by postal mail or by fax.
Website maintenance contracts only cover minor alterations, updates and repairs. Maintenance
requests requiring extensive alterations or updates are beyond the scope of the website
maintenance contract and will be quoted separately.
6. Termination of Agreement
This Agreement will automatically terminate when both Parties have performed all their
obligation under the Agreement and all payments have been made.
Should there be a desire to terminate the agreement before the completion of the project, the
Client will notify the Wroffy 10 days in advance, and pay for services already completed.
7. Limitation of Liability
Neither party will be liable for breach-of-contract damages that are remote or speculative, or that
the breaching party could not reasonably have foreseen on entry into this agreement.
8. Intellectual Property
The Client will provide the content including text, images or videos to be used on the website
and should own the IPR of the content handed over to Wroffy by the client. Wroffy will turn over
all necessary files.
The Client guarantees that they have legal rights to all elements of text, photographs, and
anything else that they provide the Wroffy with, and will not hold the Wroffy responsible for any
third-party claims.
Wroffy will guarantee that they have legal rights to all elements related to the services they are
providing and will not hold the client responsible for any third-party claims.
9. Dispute Resolution
If either party accuses the other of being in breach of contract, the accused party will have 30
days to address the breach.
10. Applicable Law
This Agreement shall be governed by the laws of India. Both parties irrevocably submit to the
exclusive jurisdiction of the Courts in Gurgaon, for any action or proceeding regarding this
Agreement.
