Pricing and Payment Terms
The total cost for the design, development, logo design, testing, and launch of the
website will be $3,500. Payment will be scheduled as follows:
Initial Deposit (30% - $1050): Due upon contract signing.
Design Approval (30% - $1050): Due after approval of the website design and
logo.
Development Completion (30% - $1050): Due after the completion of website
development.
Final Payment (10% - $350): Due after testing and revisions, but before website
launch.
Disclaimer: This estimate is based on the details stated in this contract. We are very flexible with minor changes,
however, should major changes occur, we will draft a different contract.
Terms of Agreement
1. Authorization
CLIENT is entering into an engagement with Aidea Virtual Solutions, who will serve as an
independent contractor for the purpose of developing, deploying, and providing ongoing
support for the CLIENT website. Aidea Virtual Solutions will work closely with CLIENT to ensure
the successful execution of the project, meeting the agreed-upon requirements and
specifications. The collaboration between CLIENT and Aidea Virtual Solutions aims to deliver a
high-quality website that fulfills CLIENT's objectives and requirements.
2. Payment
Payment of fees to Aidea Virtual Solutions shall be made in accordance with the pricing table
provided above. CLIENT agrees to remit the specified payments to Aidea Virtual Solutions
within the agreed-upon timeframes and payment terms. Adherence to the payment schedule
ensures a smooth and timely progression of the project, enabling Aidea Virtual Solutions to
dedicate the necessary resources and deliver the desired outcomes for CLIENT.
3. Completion
Aidea Virtual Solutions and CLIENT will collaborate closely to ensure timely completion of the
project. Aidea Virtual Solutions commits to working diligently to meet the agreed-upon project
completion date. However, it is important to note that the project timeline may be subject to
adjustment if there are delays caused by factors beyond Aidea Virtual Solutions's control, such
as unresponsiveness or delayed provision of necessary materials or information from CLIENT. In
such cases, the delivery date may be extended accordingly to accommodate the additional time
required to address any challenges or dependencies. Effective communication and prompt
cooperation between Aidea Virtual Solutions and CLIENT are essential to achieving the project's
timely completion.
4. Assignment of Project
Aidea Virtual Solutions maintains the right to assign subcontractors to this project, ensuring a
suitable match for the job requirements and guaranteeing timely completion. Subcontractors
may be engaged to contribute their expertise and support the successful execution of the
project. Aidea Virtual Solutions will oversee and manage any subcontractors involved, ensuring
that they adhere to the project's objectives and deliverables while maintaining the desired
quality standards. The utilization of subcontractors, when deemed necessary, enhances the
efficiency and effectiveness of the project's execution.
5. Revision During Execution
CLIENT acknowledges that additional fees may be applicable if there are changes made to the
originally agreed-upon project scope and objectives. Aidea Virtual Solutions is committed to
accommodating minor changes and adjustments within the existing contract. However, it is
important to note that significant modifications or a major overhaul of the project will require a
new contract to be negotiated. Aidea Virtual Solutions remains flexible and open to discussing
any necessary changes, ensuring transparency and fairness in addressing modifications that
may impact the scope, timeline, or cost of the project.
6. Legal & License
Aidea Virtual Solutions provides a warranty that the functionality delivered in this project will
meet the requirements set forth by CLIENT and will operate reasonably error-free. CLIENT
assumes all risks associated with the quality and performance of the project. In no event shall
Aidea Virtual Solutions be held liable to CLIENT or any third party for any damages, including
lost profits, lost savings, or any incidental, consequential, or special damages arising from the
operation or inability to operate the website, even if Aidea Virtual Solutions has been advised
of the possibility of such damages.
If any provision of this agreement is deemed unlawful, void, or unenforceable, it shall be
considered separate and distinct from the remaining provisions, which will continue to be valid
and enforceable. Both parties agree to make good faith efforts to replace any unenforceable
provision with a lawful provision that reflects the intent and purpose of the original provision.

7. Copyrights & Trademarks
CLIENT represents and unconditionally guarantees to Aidea Virtual Solutions that all elements
provided to Aidea Virtual Solutions for inclusion in the project are either owned by CLIENT or
that CLIENT has obtained permission from the rightful owner to use each of these elements.
CLIENT further commits to holding harmless, protecting, and defending Aidea Virtual Solutions
and its subcontractors against any claims or suits arising from the use of such elements
furnished by CLIENT. This guarantee ensures that Aidea Virtual Solutions can confidently utilize
the elements provided by CLIENT without infringing upon any intellectual property rights or
facing legal repercussions.
8. Copyright to Project
Upon completion of the project, Aidea Virtual Solutions guarantees that all aspects of design
and construction will be fully disclosed to CLIENT. Additionally, Aidea Virtual Solutions will
transfer the full code, copyrights, and ownership of the project to CLIENT, making it the sole
property of CLIENT.
It is important to note that the transfer of ownership will be completed upon receipt of full
payment from CLIENT. Once payment is received, CLIENT will have full rights and ownership
over the project, including the code and intellectual property associated with it.
While ownership is transferred to CLIENT, Aidea Virtual Solutions retains the right to display
graphics and other design elements created for the project as examples of its work in its
portfolio, showcasing the expertise and capabilities of Aidea Virtual Solutions.
This agreement ensures transparency and guarantees that CLIENT retains full ownership and
control over the completed project, while allowing Aidea Virtual Solutions to showcase its work
as part of its professional portfolio.
9. Sole Agreement
The agreement outlined in this Contract represents the entire understanding and agreement
between Aidea Virtual Solutions and CLIENT regarding the scope of this project. Any additional
work or modifications beyond the scope of this contract must be authorized through a written
change order. The prices specified in this contract will be valid and honored for a period of one
(1) month from the date when both parties sign this contract. If services are required beyond
this period, a new agreement will need to be established to reflect any updated terms and
pricing. This provision ensures clarity and protects the interests of both Aidea Virtual Solutions
and CLIENT, providing a framework for managing any additional work or changes that may arise
during the course of the project.
10. Initial Payment & Refund Policy
In the event that CLIENT decides to halt work and applies for a refund within 4 days, any
completed work will be billed at the applicable hourly rate (depending on the current rate). The
amount corresponding to the completed work will be deducted from the initial payment, and
the remaining balance will be refunded to CLIENT. However, if, at the time of the refund
request, work has been completed beyond the scope covered by the initial payment, CLIENT
will be responsible for payment of all completed work at the hourly rate stated above. This
provision ensures a fair and equitable approach in calculating refunds, considering the work
completed up to the point of the refund request.
